SUMMARY & RECOMMENDATION
The attached Joint Resolution authorizes staffs from the City of La Porte and the City of Pasadena to expand
their investigation into: 1) the possibility of a joint venture youth baseball complex, and 2) a connecting
arterial roadway between GenoalRed Bluff in Pasadena, and the proposed Canada Road in La Porte (please
refer to the report submitted to Council titled "Report on Potential Joint Venture PasadenalLa Porte Sports
Complex and Connecting Arterial Roadway", dated March 4,2004.).
Staff recommends that the City Council consider approval of the Joint Resolution.

PASADENA, AND CANADA ROAD (EAST BOULEVARD) IN LA PORTE
WHEREAS, the dtizens of the City of Pasadena and the citizens of La Porte have approved bond
issues in both cities respectively, to address the present and future needs of their
respective youth sports programs, and
WHEREAS, the City Council of the City of Pasadena and the City Council of the City of La Porte
have authorized their respective staffs to begin work on the implementation of the
voter's wishes in that regard, and
WHEREAS, there appears to be much mutual benefit in a proposal to combine the efforts of both
cities in a joint venture project on property owned by the City of Pasadena and located
in the City of La Porte through economies of scale and duplication of common facilities
thereby generating a more beneficial use of taxpayer's money in both cities, and
WHEREAS, the proposed connection between Genoa-Red Bluff Road in Pasadena and Canada Road
(East Boulevard) in La Porte would offer an improved transportation corridor for the
area including an additional emergency evacuation route for both Pasadena and La
Porte residents; NOW THEREFORE,
BE IT JOINTLY RESOLVED BY THE CITY COUNCIL OF THE CITY OF PASADENA AND THE
CITY COUNCIL OF THE CITY OF LA PORTE, TEXAS:

That staffs of each respective city further explore the legal, operational, and logistical
ramifications of the proposed joint venture sports complex on property owned by the City of
Pasadena, and the proposed arterial roadway connecting Genoa-Red Bluff in Pasadena with Canada
Road (East Boulevard) in La Porte. If the proposals are deemed viable, then staffs are directed to
prepare the necessary Interlocal Agreement(s) to accomplish the two projects herein described.

BE IT ORDAINED BY THE CITY. COUNCIL OF THE CITY OF PASADEN1:
SECTION 1. That that certain Facilities Design AgreeLent, a
facsimile of which is annexed hereto, incorporated herein for all
purposes and designated Exhibit ~lU by and between the City of
Pasadena, Texas and the City of La Porte, Texas for the design of a
joint sports complex is hereby authorized and approved. 1
SECTION 2. That the City Council finds that such agre ment is
reasonable and necessary; and that the Mayor of the City of
Pasadena, Texas and any other necessary signatories' are hereby
authorized and directed to execute for and on behalf of the City

Facilities Design Agreement
~~ INTERLOCAL GOOPERAtION AGREEMENT is made and entered into, on this
day of G'.pJtJZ , 2007, by and between the City of Pasadena, a Home
Rule municipal corPoration under the laws of. the State of Texas, herein referrM. to as
"PASADENA," and the City of La Porte, a Home Rule municipal corporation uhder the
laws of the State of Texas, herein referred to as "LA PORTE".
WITNESSETH:

the Texas State Legi~lature has authorized the use of the Interlocal
Cooperation Agreements between and among governmental entities; and
this Interlocal Coop';"";on Agreement is made ander the authOrit)granted
by and pursuant to t)1e Interlocal Cooperation Act, V.T.C.A. Gov~rnment
code section 791, et seq. and V.T.C.A. Local Government CodelSection
332, et seq., and as otherwise provided herein, relative to the expressed
intent of the respective City Councils of PASADENA and LAPdR TE to
design a joint sports complex. ~

PASADENA and LA PORTE hereby agree as Design Phase I of such
sports complex to engage the design of various joint recreatio al and
support facilities described generally herein at Exhibit uB" lttached
hereto. "
PASADENA and LA PORTE express interest, after the design phase, to
enter an agreement, as appropriate, for construction and operltion of
such designed facilities on property owned by P ASAnENA
(Exhibit "A") to provide for joint use recreational opportuniti1es as a
"JOINT SPORTS COMPLEX", to serve as an athletic recrea~on and
special events complex designed to serve the various needs of oJganized
youth baseba1l/softb~ll activities.
LA PORTE and PASADENA have identified appropriate funding sources
to provide comm~urate costs for the proposed design, as designated
herein. '
FOR AND IN CONSIDERATION of the mutual agreements contained herein, the
parties here to do agree as follows:'

2. The parties understand and ~gre,e that the sports complex is planned to be located
on property owned by PASADENA described in the general Warran 'y Deed
attached hereto as Exhibit "A" and incorporated herein for all pwposes Jnd that

parties have had the opportunity ~o examine the property and all cohditions

Article I
DESIGN
After execution of this . Agreement and as soon as possible thereafter,
PASADENA and LA PORTE will designate representatives w~o will app~ove the
selection of an architectural design firm suitable to both PASADENA and LA
PORTE, in a manner similar to other PASADENA projects. '
The Mayor of Pasadena may appoint an architectural design firm to develop all
. .. necessary renderings, schematics, specifications, and details, and Pasadbna will
enter into a contract with said architectural design firm, I-
. PASADENA and LA ~ORTE agree that the Joint Sports ~omplex
ArchitecturalDesign Contract will be administered by PASADENA, and that each
party will provide total reSpective funding based on percentage particiJ,ation as
described herein. " 'I

representatives of PASADENA and LA PORTE shall approve plan I sets by
signature, in 50%, 75% and 100% iterations, resulting in prepared drawings and

PASADENA and LA PORTE for written approval by the respective City
Engineers, or designees.

PASADENA is willing to 90ntribute 60% and LA PORTE is willing to contribute

cost of the design will be' an amount agreed upon by both parties.

Upon PASADENA'S receipt of full payment from LA PORTE for its estimated
cost share of design cost described in 1,4 above a Joint Sports Comple~ design
contract may be let. Adjustments shall be made upon final cost billing t6 reflect

In the event that LA PORTE does not exercise its option to send their shaIte of the

PASADENA shal1.notify LA PORTE of its choice.

CONSTRUCTION AND OPERATION
2.1 It is contemplated at this 'time and the interest of the parties that, subject to
agreement of the parties ~of the design, that they will enter into a keparate
agreement for the constrUction and operation of the described Joint Sports
. Complex on terms mutually acceptable to both parties.
2.2 ~t is contemplated that such agreement for construction and operation m~y detail
the methods of bidding,! letting . of contracts, respective consideration and
contribution of the parties, bwnership interest, responsibilities of parties dbng all
phases, allocation of expertses and revenues, management of facilities, term of
agreement, insurance, and ~ther appropriate terms.

TERM AND TERMINATION

The term of this.agreeme~t shall be for a period of one year ("Initial Term")
commencing on the date of pJssage by the party last to ratify, unless terminated

party choose not to exercise tHeir option, the Agreement shall be considded at an

responsible for its proportional. share of the total costs of work.

, INDEMNITY

4. To the extent allowed by law, LA PORTE and PASADENA do hereby release,
~. indemnify and hold each otjIer and their respective officials, agents and I
employees, in both their public and private capacities, harmless from any and all
liability, claims, costs and expenses arising out of the performance of this'
. agreement due to their its respective negligence or that of its officials, officers,
employees or students. It is' expressly understOod and agreed that in the e~ecution
. of this contract, neither LA:POR TE nor PASADENA waives, nor shall bd deemed
to waive, any immunity or defense that would otherWise be available to eJch
:: against claims arising in the exercise of governmental powers and functiohs.

ENTIRE AGREEMENT
5. This instrument contains th:e entire Agreement between the parties relating to the
. rights granted in the agreement and the obligations assumed as a part of tIle
Agreement. Any representations or modifications concerning this agreetrtent shall
have no force or effect unl~ss modified in writing, and signed by each par!ty to the
Agreement. '

SEVERABILITY

In case anyone (1) or more of the provisions contained herein shall for any' reason
be held to be invalid, illegal ',or unenforceable in any respect, such invalidi~,

agreement shall construed as if such invalidity, illegality or un-enforceable

No right or remedy granted ?r reserved to the parties, is exclusive of any other

SUCCESSORS AND ASSIGNS
II. This agreement is binding on the successors, executors, administrators and assigns
of the parties to this agreement. Neither LA PORTE nor PASADENA will
assign, sublet, subcontract, ;or transfer agreement without the written cOrlsent of
the other party. No assigtiment delegation of duties or subcontract unBer this
agreement will be effective ~ithout the prior written consent of the other pby.
Article XI.
NOTICES
12. All notices required or permitted hereunder shall be in writing and shall be
deemed delivered when actually received or, if earlier, on the third day
following deposit in a United States Postal Service post office or recepta~le with
proper postage affixed (certified mail, return receipt requested) addressea to the
respective other party at the address prescribed hereinbelow or at such other
.address as the other party may have theretofore prescribed by noticd to the
