CenterPoint Energy has contracted with CLEAResult to sponsor, promote and administer the program. CI t q' &0,, LQ ID tr i , (herein referred to as `Partner") recognizes that it is a willing participant of this no -oast program designed to help reduce energy bills for our facilities, freeing up operating dollars for other needs and improving the work environment for staff. This Memorandum of Understanding reflects the voluntary collaboration between your organization and the CitySmart Program and details the commitments of each party in order to improve energy efficiency in your facilities. The Program agrees to provide these services at no cost to the Partner with the understanding that the Partner will exert its best efforts to complete the applicable steps below and implement cost-effective energy efficiency recommendations. Projects submitted to the 2012 CitySmart Program must be completed by Novmberjo, 2ffffto allow time for post - installation inspections to occur before the end of the calendar year. DESCRIPTION OF COMMITMENTS The CitySmart Program will help the Partner identify cost effective energy efficiency improvements that can help to make facilities less expensive to operate and more comfortable to use. To achieve potential energy savings and facility improvements, the CitySmart Program and Partner have agreed to work together to complete some or all of the following tasks according to the specific needs identified for your organization: • Identify and assess energy efficiency measures • Develop and adhere to an Energy Master Plan that outlines administrative and financial decision -making criteria for energy efficiency improvements, installation of energy efficiency measures, and maintenance and operation procedures in order to succeed in implementing a cost-effective energy program in a timely manner • Implement energy efficient operations and maintenance practices and procedures identified during walk-through energy assessments of specific facility/facilities • Locate funding sources to enable the Partner to complete capital projects • Use utility incentives to buy -down the capital cost of energy efficient systems 2012 CenterPoint Energy MOU CitySmart Program CenterPoint. PRINCIPLES OF AGREEMENT Specific responsibilities of the Partner and the CitySmart Program in this agreement are listed below: • Partner will select two contact persons to work with the CitySmart Program throughout the term of the Partnership, including a representative from both the Facilities/Energy Management Department and the FinanceBusiness Department. • If the Partner requests an energy performance benchmarking of Partner's existing facilities, then the Partner agrees to provide the needed energy usage and building information required to complete this analysis. The CitySmart Program will then develop a benchmarking report for the Partner illustrating the energy usage for the specified facilities. • If the Partner elects to provide assistance with development of an Energy Master Plan, Partner agrees to attend a facilitated workshop in order to help develop this document and process. Partner will strive to finalize any draft Energy Master Plans that are provided by the Program and will ask senior management to approve this plan. • The CitySmart Program will pay the Partner monetary incentives, as discussed in program materials, for eligible energy efficiency savings achieved by projects that are completed no later than November 30. • Partner will make its best effort to complete and submit relevant Project Application Forms, including necessary support documentation for each project, in a timely manner. Please note that due to increased participation in the CitySmart Program, the Project Application process is required in order to reserve financial incentives for your projects. • Partner acknowledges projects that receive monetary incentives in the CitySmart Program would not have been accomplished, or would have been completed with less efficient equipment, except for incentives and other services provided by this Program. • Partner agrees to submit to CLEAResult a copy of the original invoice for equipment cost, labor, and other costs associated with the project. If Partner uses internal labor and is therefore not invoiced for labor, Partner will submit to CLEAResult a copy of the equipment invoice and an estimate of internal labor spent. Your Program Representative can assist you in determining the cost. • Partner will not seek to participate in the C&I SOP efficiency programs sponsored by CenterPoint Energy. One exception to this agreement is for projects that had already been identified and submitted to the CenterPoint Energy C&I COP prior to the Partner signing this MOU. • Partner will allow the CitySmart Program to use Partner's name to promote participation in the Program to entities such as potential program partners, utilities, federal, state, or local entities, and the general public. 2012 CenterPoint Energy MOU CitySmart Program ACCEPTANCE OF AGREEMENT CenterPoint. CenGeftte 2012 CenterPoint Energy CillySmart Program F PROJECT APPLICATION FORM e IVE By signing this Project Application Form, the Partner acknowledges and agrees to the following: I) Partner is participating in the 2012 CenterPoint CltySmart Program and has reviewed the Program Manual available at http://www.centerl>ointenergy.com/services/electricity/business/energyef lciencyprograms/Koreandcitysmart/ and understands that It is the official program rulebook. The following points summarize the key elements of the Project Application process as described in the Program Manual. 2) Only project sites served by CenterPoint Energy are eligible for Inclusion on this Form. 3) Program staff can assist you to Complete the information requested on the Project Application Form. In particular, the estimated demand savings (kW), energy savings (kWh/yr), Incentive amounts, and reservation date are for Program staff to Complete. In order for the Program to estimate the savings land Incentives) for your projects, Partner must Complete step 4) below. 4) In order to reserve incentives in this Program, Partner must first Complete the following, depending on project type: A) retrofit projects must pass a pre - Installation Inspection before any installation work has begun or B) new Construction projects must have Construction drawings or similar (In electronic, POF file format) submitted to CLEAResult for review. Please note that the Partner may be asked to provide initial project details such as bldg. name and measure type on this Project Application Form before signing the second page of the Application. Once Partner has completed step 4) above, Program staff will return a revised draft of the Project Application Form to the Partner for their (electronic) signature. Approval of Project Application Forms and resulting reservations of Incentive funds are solely within the discretion of the Program. Incentive funds estimated In this form are not officially reserved until CLEAResult has approved them and notified Partner. Also, please note that all savings/incentive estimates are preliminary only and are based on ben available information at the time of this application. The incentive funds offered under the Program are limited to a Program budget. If the Programs budget is fully reserved, Project Application Forms will be placed on a waitlist. When/if additional budget becomes available, waftlisted Forms will be reviewed based on the date of receipt by CLEAResult. Project Applications are approved under the condition that project Installations will be completed by November 30 in the program year of the submitted Project Application. Project Installations not completed by November 30 of the program year of the submitted Project Application risk forfeiting, at the sole discretion of the Program, the incentive funds that have been reserved for that project. By no later than July 29 of the program year, Partners with approved Project Applications must verify, in writing to CLEAResult, that they will complete their project installations by November 30 in the current funding year. Partners that fail to meet this notice requirement, risk forfeiting, at the sole discretion of the Program, the Incentive funds that have been reserved for that project. Partner agrees to submit to CLEAResult a Copy of the original invoice for equipment cost, altar, and other Costs associated with the project. If Partner uses Internal labor and is therefore not Invoked for labor, Partner will submit to CLEAResult a copy of the equipment Invoice and an estimate of internal labor hours spent. your Program Representative can assist you in determining the appropriate project cost. CenterPoint Energy is not under any obligation to provide Partner with more Incentives than the amount reserved by the Project Application Form for any project, even if Partner achieves greater energy savings by the project than what were estimated. However, if budget Is available when a project achieves greater energy savings than estimated, CenterPoint has the option to pay Partner more than the amount reserved, up to the Incentive calculated by the achieved energy savings. For your convenience, once you enroll In the program, you will be re -enrolled every year unless you notify CLEAResult with your intention to not participate in the program.
