I have a few questions regarding the commercial business at the address of 3337 Canada
Rd. in La Porte, Texas.
We are currently looking in to purchasing the property for sale. I would like to see if first:
Are there any back taxes owed on this location?
Also, if we were to purchase this location, will there be any zoning within the next 10
years, which would cause the shut down of warehousing/trucking at this location.

Transport Realty, Inc. ("Transport"), successor by a name change to ABC-Treadco,
Inc., is the owner of approximately 3.78 acres described as the Easement Tract of
Canada Rd. in the W. B. Lawrence LAPORT Outlots Subdivision in the Wm. Jones
Survey, A482, Harris County, Texas. The City of La Porte now owns the land along
the west side of this easement and is preparing to build a city park on it
Transport has an interest in selling this easement to the City of La Porte. The

Dear Mr. Kneupper
Transport Realty, Inc. (Transport), successor by name change to ABC-Treadco, Inc., is party to a
certain Easement Agreement dated October 12, 1994, with GSL Investments, Inc. (GSL) as
successor owner to Trans -States Lines, Inc. Transport is the owner of approximately 18.35 acres
described as the ABC Tract in the Agreement and approximately 3.92 acres described as the
Easement Tract in the Agreement and GSL is the owner of approximately 13.56 acres described as
the TSL Tract in the Agreement.
I have a copy of a letter dated September 20, 2000, from John Joems, La Porte Assistant City
Manager, advising that the La Porte City Attorney has reviewed the Agreement and that, subject to
amendment of the Agreement, the City would be in agreement to exchange maintenance
responsibilities for access rights over the easement.
Transport is in general agreement to pursue this initiative and has potential interest in the City
acquiring a long -tern right-of-way. We would also like, in conjunction with this initiative, to get
the property's current residential zoning changed to a more appropriate commercial or tight
industrial designation. In fact, back in July of last year, we completed and submitted an
Application for Zone Change Request along with our fee payment in the amount of $100.00.
Masood Malik has told me, however, that the City has no record of our application. Accordingly,
we intend to file a new application. Before we can cut a replacement check for the application fee,
though, our accounts payable department requires that the payee of the original check complete the
enclosed affidavit. Please complete, or have another proper City authority complete as
appropriate, the affidavit and return to me.

Thank you for your interest in the planning and development of Canada Road.
The City Attorney has reviewed the Easement Agreement you provided and confirmed that it is
a private agreement between ABC Treadco and TSL (and their successors). Therefore, the
short-term idea of exchanging clean up for right of access by City has merit. However, the
Agreement will need to be modified in several places and executed by ABC Treadco, TSL, any
successors and/or mortgagees. Some examples of necessary amendments are:
• Grant the City and its leaseholders/invitees right to use easement to access 33.64 Ac
tract
• Section 5 (a) — remove no barrier limitation if parties wish to control access to the
easement
• Section 8 (b) - will need to be modified to prevent termination by Owners
Once you secure written confirmation from the necessary parties agreeing to these and other
necessary changes to the "Agreement" we can meet to discuss drafting the new document.
Long Term Right -of -Way Acquisition
The City is interested in your offer to discuss with adjacent property owners, donation of right-
of-way and engineering services for Canada Road south of Carlow Lane.
If you secure the owners agreement to move forward, please see that the City is involved with
preparation and review of the scope of work proposed by a qualified engineering firm.
The City will need to approve the scope of work, design standards and features, and oversee
the coordination of and transition to existing and proposed right-of-way north of Carlow Lane
to Spencer Highway. In fact, the City may later this year, retain a professional engineering

firm to assist us with other right-of-way and design issues affecting the future intersection at
Spencer Highway. An engineering firm with experience in roadway planning and design will
be able to assist with preparing a final scope of services.

interest in development of the roadway.

RECITALS
A. ABC is the owner of the ABC Tract (as hereinafter defined) and the Easement Tract (as
hereinafter defined) and TSL is the owner of the TSL Tract (as hereinafter defined).
B. ABC desires to grant to TSL and TSL desires to obtain from ABC an easement for
vehicular and pedestrian access and utilities over the Easement Tract in accordance with
the terms of this Agreement.
AGREEMENTS
}� For good and valuable consideration, the receipt and sufficiency of which hereby are

n 1. Certain Definitions. When used herein, the following terms shall have the

Ground Lessee" shall mean any person or entity who has leased any portion of the ABC
Tract or the TSL Tract pursuant to a Ground Lease.

"Mortgagee" shall mean any present or future beneficiary under any recorded mortgage
or deed of trust covering all or a portion of the ABC Tract or the TSL Tract.
"Owner" shall mean (i) the record owner of the fee simple title to any portion of the ABC
Tract or the TSL Tract (unless such portion is subject to a Ground Lease), or (ii) if such
portion is subject to a Ground Lease, the Ground Lessee of such portion of the ABC Tract
or the TSL Tract; but notwithstanding any applicable theory of mortgage, not a mortgagee
unless and until such mortgagee has acquired title to the fee or leasehold estate in such
portion of the ABC Tract or TSL Tract pursuant to foreclosure or any proceeding in lieu
of foreclosure.
"Permitted Successors" shall mean when used with reference to an Owner shall mean any
heir, personal or legal representative, successor or assign of such Owner (or a previous
Permitted Successor) who shall have succeeded to the ownership of all or a portion of the
fee simple title to, or leasehold estate pursuant to a Ground Lease in, the ABC Tract or
TSL Tract, as applicable.
"Roadway" shall mean the portion of the Easement Tract dedicated to the public for
roadway purposes by Dedication and Plat recorded in Volume 83 at page 344 of the Deed
Records of Harris County, Texas and shown as the cross -hatched area on Exhibit hereto.
"TSL Tract" shall mean that certain tract of land owned by TSL more particularly
described in Exhibit B attached hereto.
2. Grant of Easement ABC, as the Owner of the Easement Tract, does hereby
GRANT, SELL and CONVEY to TSL and its Permitted Successors, a non-exclusive right-of-
way easement for vehicular and pedestrian access and utilities (the "Easement") upon, over,
across and under the Easement Tract, including without limitation, the'non-exclusive right to
use and utilize the Easement Tract for ingress and egress to and from the TSL Tract (or any
portion thereof).
TO HAVE AND TO HOLD the Easement, together with all and singular the rights and
appurtenances thereto in anywise belonging, unto TSL and its Permitted Successors; and ABC
does hereby bind itself and its successors and assigns to warrant and forever defend all and
singular the Easement unto TSL, and its Permitted Successors, against every person
whomsoever lawfttlly claiming, or to claim the same, or any part thereof, but expressly subject
to the matters set forth in Exhibit D attached hereto.
Notwithstanding anything herein contained to the contrary, ABC makes no warranty of
ownership or title (statutory, express or implied) with respect to that portion of the Easement
Tract which is located within the Roadway, it being ABC's intention herein that ABC is only

quitclaiming an easement in and to ABC's right, title and interest, if any, to that portion of the
Easement Tract which is located within the Roadway.
3. Joint Use. The non-exclusive access and utility easement hereinabove granted shall
be interpreted to permit joint usage of such easement by (1) each Owner, (2) the Permitted
Successors of each Owner, (3) the customers, employees, agents and invitees of each Owner,
or such Owner's Permitted Successors, (4) Mortgagees, and (5) tenants (and subtenants,
customers, employees, agents, and invitees of any such tenant) of each Owner or Permitted
Successor when so authorized by such Owner or Permitted Successor. Such joint usage shall
be free of any charge or payment therefor. In addition, each Owner shall be permitted, at its
sole cost and expense, to connect to the Easement at one or more points, any further roadways
which hereafter may be constructed on the ABC Tract or the TSL Tract, but no such
connection shall be deemed to permit or allow the other Owner or such other Owner's
Permitted Successor to use such further roadways merely by virtue of such connection.
4. Dedication. ABC hereby reserves the right, in its sole discretion, to dedicate the
Easement Tract to the public for use as a public street, provided such dedication is accepted
by the City of LaPorte, in which event the provisions of this Agreement shall automatically
cease and terminate.
5. Limitations and Reservations. The Easement granted pursuant to this Agreement
shall be subject to the following terms, limitations and reservations:
(a) No Owner or any Permitted Successor of an Owner shall erect on the
Easement Tract any building or buildings or any fence or barrier or change in grade or
elevation or other device or facility, the effect of which would be to prohibit or materially
impair the flow of vehicular or pedestrian traffic thereover.
(b) The Easement Tract shall be used for roadway and utility purposes only,
shadl not be used for parking of vehicles, and shall not be used for loading or unloading
of vehicles if such use would materially (i) interfere with access to the other Owner's
property or (ii) interfere with vehicular or pedestrian traffic over the Easement Tract.
(c) Each Owner hereby reserves the right, upon at least fourteen (14) days prior
written notice to the other Owners, (i) to install, operate, maintain, repair, remove and
replace underground utility lines and all underground appurtenances thereto; provided the
same is completed with reasonable diligence and in accordance with applicable.
requirements of the City of La Porte, and (ii) if necessary or appropriate, to create and
grant to third parties one or more easements for such purposes, in, across, along and under
the Easement Tract, including, without limitation, electric, gas, telephone, storm sewer,
sanitary sewer and water lines, and other utility facilities. The foregoing rights are granted
upon the following conditions: (i) prior to commencing any work, the Owner undertaking

such installation, operation, maintenance, repair, removal or replacement immediately shall
deliver to the other Owners a map or survey drawing showing the exact location of such
underground utility lines and appurtenances; (ii) no such installation, operation,
maintenance, repair, removal or replacement of such underground utility lines or
appurtenances shall interrupt, join, cross, or otherwise interfere with any existing utility
lines or appurtenances; (iii) if any such installation, operation, maintenance, repair, removal
or replacement of such underground utility lines or appurtenances by such Owner or its
representatives, successors, assigns, agents, servants or contractors, should in any way
damage the Easement Tract or unreasonably interrupt or interfere with the maintenance of
the Easement Tract, then the Owner conducting such installation, operation, maintenance,
repair, removal or replacement shall be obligated to repair such damage and reimburse
(within ten (10) days after written demand therefor) the other Owner for any damages
incurred because of such interruption of or interference with said construction or
maintenance; and (iv) each Owner sW have the right, from time to time, to partially
block portions of the Easement Tract, in order to install, operate, maintain, repair, remove
and replace any such utility line or underground appurtenance; provided that same is
completed with reasonable diligence.
6. Maintenance of the Easement Tract,
(a) Limited Maintenance Oblieltion. No Owner shall have any obligation to
maintain the Easement Tract; provided, however, each Owner shall have the right to
maintain the Easement Tract (or any portion thereof), at its sole cost and expense, in a
manner consistent with the purposes set forth herein. Notwithstanding the foregoing, no
Owner shall be deemed to have accepted or undertaken any continuing or subsequent
obligation to maintain the Easement Tract (or any portion thereof) or anv improvement
thereon by virtue of any single maintenance activity or series of maintenance activities
which it performs on the Easement Tract
(b) fri_ainienanee. To the extent that any Owner undertakes to maintain the
Easement Tract (or any portion thereof), such maintenance shall be performed in a
consistent and timely manner and completed with reasonable diligence so that the
Easement Tract (or the portion thereof on which such maintenance is performed) is
maintained in a condition substantially equivalent to the condition and usefulness as of the
date hereof.
(c) Inkernnity In each instance where, under the terms of this Paragraph 6,
an Owner undertakes to perform any maintenance of the Easement Tract, that Owner shall
indemnify and hold harmless the other Owners from any and all liability or damages (other
than any payment obligations of the indemnified Owners) which the indemnified Owners
may suffer as a result of claims, demands, costs, liens, judgments or awards against the

indemnified Owners brought by a third party and arising out of or as a result of the
performance of such maintenance by the indemnifying Owner.
7. Eminent Domain. In the event of an eminent domain taking of all or any portion
of the Easement Tract, the eminent domain award trade with respect to such property (whether
as compensation for the portion thereof taken or as severance damages, and whether made with
respect to the easement rights over and across such property as herein created or with respect
to the servient fee estate in such property) shall belong solely to the Owner of the ABC Tract
or its Mortgagee; and the Owner(s) of the easement rights over and across the Easement Tract,
including but not limited io TSL, shall not be entitled to any award made with respect to the
Easement Tract. The foregoing shall not, however, prevent the Owner of the TSL Tract from
asserting a claim for damages to the portions of the TSL Tract (even though no portion thereof
is taken) by reason of the eminent domain taking of the whole or any portion of the Easement
Tract which is not for public street or roadway purposes, to the extent that such damages may
be awarded or paid by the taking authority (in recognition of reduced access, loss of business
or similar consequences); provided, that in no event shall the award so trade to such Owner
of the TSL Tract (of the portions of the TSL Tract not taken) diminish the award paid to the
Owner of the portion of the ABC Tract or the Easement Tract which is taken. The term
"eminent domain taking" includes a voluntary conveyance made under threat of or in
anticipation of an involuntary eminent domain taking.
8. Miscellaneous
(a) Rights of Third Parties. No consent to the modification or termination of
the provisions of this Agreement shall ever be required of any patron, guest, tenant or
invitee of any portion of the TSL Tract or the ABC Tract, nor from any customer,
employee, agent or invitee of any such tenant nor shall any such patron, guest, tenant,
customer, employee, agent or invitee have any right to enforce any of the provisions of
this Agreement or any modification thereof.
(b) Provision for Modification. The provisions of this Agreement may be
modified from time to time or terminated by the written agreement of each Owner or their
respective Permitted Successors, and all Mortgagees holding liens covering all or a portion
of the ABC Tract, the Easement Tract, or the TSL Tract.
(c) Enforcement of this Agreement. The provisions of this Agreement, insofar
as they respectively affect the ABC Tract, the Easement Tract, and the TSL Tract, may be
enforced respectively by each Owner, their respective Permitted Successors, or any
Mortgagee.
(d) Mortgagee Provisions. All of the terms and provisions of this Agreement
shall be binding upon any Mortgagee or any party claiming under such Mortgagee only

with respect to defaults hereunder occurring after such Mortgagee or parry claiming under
such Mortgagee shall acquire title by reason of a foreclosure of the mortgage held by such
Mortgagee or by a conveyance in lieu of foreclosure with respect to any default occurring
prior to acquisition of title by such Mortgagee or any patty claiming under such
Mortgagee. Any Mortgagee shall have the same right as any Owner or other party in
default hereunder may have under the terms hereof to cure any default by such defaulting
Owner or parry, and in the event a Mortgagee shall cure any such default, such curative
action shall have the same effect, and such default shall be deemed cured to the same
effect, as if such action had been taken by such defaulting Owner or parry. In all events
in which it is herein required that an Owner give notice to another Owner, the Owner
giving such notice shall also deliver a copy of such notice to any Mortgagee of the other
Owner whose interest is filed of record in the Real Property Records of Hams County,
Texas, and who has given notice of such interest to the Owner giving such notice in
accordance with the provisions regarding notices contained herein, and further provided
that an address for such Mortgagee appears of record or has been delivered to the Owner
giving such notice. Any such notice given to such Mortgagee shall be given in accordance
with the provisions regarding notices contained in this Agreement.
(e) lU Restraint on Development. Except as specifically provided herein, no
provision of this Agreement shall limit the right of any Owner to develop such Owner's
Property in such a matner as such Owner deems desirable.
(f) No Implied Dedication. Nothing in this Agreement shall constitute or be
construed as a dedication of any interest in the Easement Tract to the public or give any
member of the public any right whatsoever. Nothing in this Agreement is intended to
create, nor shall this Agreement be construed as creating easements or rights -of -way over
any portion of the land within the A13C Tract or the TSL Tract other than the portions
thereof which arc within the Easement Tract.
(g) Estoppel Certifintes. Recognizing that an Owner may find it necessary
from time to time to establish to banks, Mortgagees, or other parties the then -current status
of performance hereunder, each Owner agrees, within fifteen (15) days after written
request of the other, that it will from time to time, but in no event more than two (2) times
rn any calendar year, furnish a written statement in recordable form on the status of any
matter relating to this Agreement.
(li,) Assignments: Termination, All rights and benefits of ABC and TSL under
the terms of this Agreement shall be freely assignable by each to any Permitted Successor;
provided, that no such assignment shall relieve ABC or TSL of any covenant, agreement
or obligation binding upon it under this Agreement.

W Severablilty. If any provision of this Agreement shall, for any reason, be
held violative of any applicable law and/or unenforceable, then the invalidity of such speci-
fied provision herein shall not be held to invalidate any other provision herein, all of which
such other provisions shall remain in fill force and effect.
0) Notices Any notice, communication, request, reply or advice (severally and
collectively, 'notice,,), in this Agreement provided or permitted to be given, made or
accepted by one party to the other party must he in writing and may, unless otherwise in
this Agreement expressly provided, be given or be served by (a) depositing the same in
the United States Mail, postage paid and registered or certified and addressed to the parry
to be notified, with return receipt requested, (b) delivering the same in person to such parry
or to an officer or agent of such party, or (c) telecopy or telefax addressed to the parry to
be notified. Notice deposited in the mail in the manner hereinabove described shall be
effective from and after the expiration of five (5) days after it is so deposited. Notice
given in any other manner shall be effective when received at the address set forth below.
For purposes of notice, the addresses of the parties, until changed as hereinafter provided,
shall be as follows:

The parties hereto shall have the right from time to time to change their respective addresses,
and each shall have the right to specify as its address any other address within the United
States of America, by at least five (5) days written notice to the other party.
(k) Governing Law. This Agreement shall be construed and enforced in
accordance with the laws of the State of Texas.
(1) Incorporation of Exhiki . The exhibits referred to herein and attached

(m) Binding Effect. The provisions hereof shall be binding upon the

Zoning Compliance and Road Improvements Questions / Clarification
Dear Mr. Kneupper:
GSL Investments, Inc., the prospective Buyer for the subject industrial property located at 3337 Canada
Road, La Porte, Texas, has asked the following questions regarding the subject property that only the City
of La Porte can address. The questions are as follows:
1. When will Canada Road be extended from Spencer Highway to Fairmont Parkway?
2. What will be the nature of those improvements and will they extend South of Fairmont Pkwy?
3. If the road has no date to be completed, what would be required to open that discussion?
4. The Canada Rd. industrial property is a $1+M facility that has been used as a trucking,
warehousing, and crating / assembly site since the mid 1980's, long prior to annexation. The
property is currently zoned residential. The Canada Road site (13.5 acres) is adjoined by
three vacant land tracts (zoned residential) to the South consisting of 35+ acres bounded by a
major flood control ditch to the North and Fast, Fairmont Parkway on the South and proposed
Canada Road on the West. Property to the West of Canada Road and South of the Flood
Ditch is undeveloped City of La Porte land for a proposed park. This entire area could easily
be rezoned for commercial and industrial use in conformance with the only major existing
taxable improvements currently in existence. What would be required for La Porte to re -zone
this and adjoining property? Who can pre approve a broader based industrial use for the
property? The prospective Buyer is currently seeking tenants who might lease the property.
A prospective list of SIC code uses has been submitted for the City's review and hopeful
approval in writing.
The prospective Buyer has approximately seven days to segue these answers from the City before the due
diligence window on this property comes to a close. Your assistance in addressing these questions within
the next few days is critical to both Buyer and Seller if the property is to close.

facility was determined to be pre-existing, nonconforming. The City's record
shows the facility has been operated under Standard Industrial Classification
(SIC Code # 4225), as General Warehouse & Storage.
• A change in the zoning districts would require a request for zone change from
all the property owners. This would be subject to approval from the City's
Planning & Zoning Commission and the City Council.
• The previous use was determined to be legally pre-existing nonconforming.

Per our conversation I am sending you this letter on behalf of Baypoint Townhome
Association.
The two Ash Trees at 814 and 816 Gardenwalk need to be removed. We have been
told by Morgan's Lawn and Landscaping and Bay Area Tree Experts that both these
trees have reach their life expediency and are the cause of the damage to the
sidewalks, driveways, and foundation of the homes.
We would like to remove the two Ash Trees and replace them with Ornamental
Pears.

It is with regret that I advise you of my resignation from the Planning and Zoning
Commission of the City of La Porte. I prefer the resignation to be effective March 1,
2000. However, I recognize that with Mike Jetty's resignation, my resignation could
present further problems in establishing a quorum. Therefore, I am willing for the
resignation to be effective the first day of the month in which a replacement for Mike or
me is appointed, but no later than May 1, 2000.
The resignation is not related to any problems arising from my association with the City
or P&Z. To the contrary, I am even more convinced after serving over three (3) years with
P&Z that the City is in good hands and well managed. But, try as I might, I have not been
able to develop a deep interest or passion for P&Z work, as important as it obviously is.
As a result, I have not, in my opinion, made a significant contribution to P&Z, and this
has troubled me for some time. Therefore, I have concluded it is in both our interests that
I resign.
On a personal note, it was a pleasure serving with you as Chairperson of P&Z. The City is
fortunate indeed to have had someone with your experience, judgment and dedication as
Chairperson of P&Z.
Betty, I wish the members of the City's planning department, the other members of P&Z
and you the best of luck. It was fun serving with all of you.
