Mr. Brain Sterling:
CenterPoint Energy Houston Electric, LLC and CenterPoint Energy Resources Corp., d/b/a
CenterPoint Energy Texas Gas Operations, has been asked to provide a Letter of No Objection for
the above referenced plat dated September, 2006.
At this time, CenterPoint Energy has no objection associated with the utility easements as exhibited
on said plat.
In cases where utility easements are• overlapping with drainage or other specific or pre-existing
easements, CenterPoint will require exclusive easements.
Upon completion of CenterPoint's facility designs, dedicated utility easements may be
determined inadequate by CenterPoint Energy. In these cases, the developer, his successors or
assigns, will be required to provide CenterPoint with exclusive easements.
This letter does not give consent to any abandonment of pre-existing easements, roads, alleys or
street right-of-ways. Abandonment of any of the above requires a formal review, consent and
closure process.

UTILITY EXTENSION AGREEMENT
(Owner Funded Extension)
THE STATE OF TEXAS:
COUNTY OF HARRIS:
This agreement, made this 20 day of October, 20D6 by and between the City of La Pone, herein called "City",
acting herein through its City Manager and Eric Lowenthal, individually and as trustee, of 696 Rim Rock Road.
Kerrville, County of Kcr , and State of Texas , hereinafter called "Owner", and ValPlace Dcyelopment
Texas LP. of 5400 Dallas Parkway. Frisco, County of Collin, and State of Texas. hereinafter called "Agent of
Owner".
1. All references to "Utility Main(s)" hereunder shall, for the purposes of this agreement, refer to the extension of
on 8 inch sanitary sewer line and related appurtenances along the south side of West I Street from the alley west
of South 14' Street west to the easterly side of South 15ib Street as per plans and specifications prepared by
McDonough Engineering Corporation, Drawing No. 6220- P&P DWO dated July 10, 2006 (CLP Project
No. 2006-7102 ) attached hereto and incorporated by reference herein.
2. Owner is the owner of certain property in the City of La Porte, Harris County, Texas, identified as 1,7944 acres
consisting of Lots 1-16, Lots 26-32 and the alley in Block 898 (the "Propene" ). Agent of Owner has agreed to
purchase the Property from Owner. City's utility main(s) are located in the West I Street right of way and
presently do not extend along the entire northern boundary of the Property. Owner and Agent of Owner have
requested the extension of City's utility main(s) to serve the Property.
3. City hereby agrees to the design, construction and installation of an extension of the utility main(s) located
within the West I Street right of way along the entire northern boundary of the Property commencing at the
nearest existing utility main(s) of sufficient size and capacity at its current end point westward to the easterly
boundary of South 15* Street.
4. Agent of Owner agrees to pay all costs related to the design, construction and installation of said utility main(s)
including necessary appurtenances in conformance with City's standards and specifications for said utility
main(s). Agent of Owner further agrees to pay all engineering fees for survey, design, contract documents,
bidding, construction staking, construction inspection, and preparation and submittal of final As -Built
construction drawings upon completion of construction.

5. Subject to the provisions of this agreement, City hereby agrees to the design, construction and installation of
said utility main(s) according to the plans and specifications attached hereto. Upon final approval of plans and
specifications, Agent of Owner will solicit no less than three (3) competitive quotes for construction of the
project each from a contractor with demonstrated experience in construction of public utility mains. When
received, the Agent of Owner's engineer shall tabulate quotes and a copy of said tabulation shall be provided to
City. The lowest quote shall be deemed as the "Cost of Utility Main(s)" and the City shall authorize
construction of said utility main(s). It is agreed and understood that the Agent of Owner shall pay for any
unforeseen costs or cost overruns in the project that result from circumstances beyond the control of the City.
6. It is agreed and understood that the Agent of Owner shall be responsible for maintenance of said utility main(s)
until final acceptance of the construction and installation of said utility main(s) by City, at which time
maintenance responsibilities of said utility main(s) shall be transferred to City.
7. City agrees to accept the Cost of Utility Mairt(s) as an offset against Agent of Owners connection fees for water
and/or sanitary sewer service against the Property, which fees are calculated based on the prevailing square
footage and/or front footage. Agent of Owner shall be responsible for all other customary charges.
8. Upon execution of this agreement and compliance with terms herein, Agent of Owner agrees to begin
construction thereof as soon as the same may be let for contract as herein provided. City shall require the
contractor under such contract to diligently pursue the construction of the project to completion.
9. In the event that other owners of property abutting or in the vicinity of the line(s) extended by Agent of Owner
under this contract, as shown on Exhibit "A" and incorporated by reference herein, shall utilize the extended
line(s) constructed under this agreement, by making connection thereto under a permit from City within a
period of ten (10) years from and after the date City has accepted the construction of said facilities by the
contractor, City agrees to collect from said property owners, its prevailing square footage and/or front footage
connection fees from said property owners and to reimburse Agent of Owner the amount collected from such
property owners, until Agent of Owner has be reimbursed a maximum total of the costs related to the
construction and installation of said lines paid by Agent of Owner under the terms of this agreement, less
amount of City participation, and less Agent of Owners own water square footage connection charges. The
Maximum Amount Reimbursable to Agent of Owner under this paragraph 9 is calculated as follows:

a copy of said tabulation with the design costs shall be provided to City. City shall approve Agent of Owner's
selection of a contractor based on the competitive quotes and City shall authorize construction of said utility
main(s). It is agreed and understood that the Agent of Owner shall pay for any unforeseen costs or cost
ovemms in the project that result from circumstances beyond the control of the City.
6. It is agreed and understood that the Agent of Owner shall be responsible for maintenance of said utility main(s)
until foal acceptance of the concoction and installation of said utility main(s) by City, at which time
maintenance responsibilities of said utility main(s) shall be tramferred to City.
7. City agrees to accept the value of the extension(s) as a pro into portion of the prevailing square footage and/or
font footage connection charge for water and/or sanitary sewer service against said property belonging to
Owner and under contract to Agent of Owner. Agent of Owner shall be responsible for all other customary
charges.
8. Upon execution of this agreement and compliance with terms herein, Agent of Owner agrees to begin
construction thereof as soon as the same may be let for contract as herein provided City shall require the
contractor under such contract to diligently pursue the construction of the project to completion.
