The invocation was given by Councilperson Malone.
The meeting was called to order by Mayor Cline at 7:00 P.M.
Members of the Council Present: Mayor Virginia Cline, Council-
persons Lindsay Pfeiffer, Deotis Gay, B. Don. Skelton, Norman
Malone, John Longley, Edward Matuszak

Council considered the minutes of the Regular Meeting of the
City Council held August 3, 1983.
Motion was made by Councilperson Skelton to ap rove the minutes
of the August 3, 1983, meeting as resented. Second by Council-
person Pfeiffer. The motion carried, 7 ayes and 0 nays.

Matuszak and Mayor Cline
Nays: None
4. Mayor Cline recognized Robert Horton as Employee of the Month
for July and presented him with a certificate of appreciation.
Mr. Horton conveyed his thanks and his please to be a City
employee.
Mayor Cline presented Carl Cole with a certificate of appre-
ciation for being selected employee of the month of August.
Mr. Cole conveyed his thanks for the honor.
5. Council considered emergency action due to Hurricane Alicia.
City Attorney Askins read Resolution 83-15, authorizing the
City Manager to be named as the applicant's agent for obtaining
. certain Federal financial assistance under the Disaster Relief
Act or otherwise available from the President's Disaster Relief
Fund.

Motion was made by Councilperson Gay to approve and adopt
Ordinance 83-15 as read by the City Attorney. Second by
Councilperson Matuszak. The motion carried, 7 ayes and 0
nays.
Ayes: Councilpersons Pfeiffer, Gay, Skelton, Malone,
Longley, Matuszak and Mayor Cline

6. Council considered awarding an annual contract for PVC pipe,
fittings, gate valves and fire hydrants.
Motion was made by Councilperson Matuszak, second by Council-
person Longley, to accept staff's recommendation and award the
bid for PVC pipe to Rohan Com an in the amount of 6, 72;
PVC fittings to Utility Supply in the amount o ,66 .55;
cast iron fittings to Utilit Su ly in the amount of
$17,305.75; gate valves to Utili~ Supp y in the amount of
$12,059.59; fire hydrants to Utility Supply in the amount
of $22,336.10; and dr granular chlorine to Golden Triangle
in the amount of T.06 per pound. The motion carried, 7 ayes
and 0 nays.

7. Council considered awarding a bid for flexible base.
Motion was made by Councilperson Matuszak to award the bid
for flexible base (crushed limestone) to Parker Brothers in
the amount of $11.52 per ton delivered and $8.85 per ton picked
u~. Second by Councilperson Malone. The motion carried, 7
ayes and 0 nays.

8. Council considered awarding a contract to prepare the Airport
Master Plan.
Motion was made by Councilperson Skelton to award the contract
for the Airport Master Plan to Coffman Associates, subject to
grant approval by FAA, not to exceed 36,600. Second by
Councilperson Pfeiffer.

9. Council considered a hotel occupancy tax.

10. Administrative Reports
Mr. Owen thanked Council for their wonderful support of the
staff and employees during the hurricane. We-are very thank-
ful for it.
Reminded Council of budget workshop sessions starting Monday,
August 29, at 5:30 P.M.
Requested an executive session on a contractual matter con-
cerning the ambulance corps.

Gay_: Would also like to thank the staff for the work they did,
the employees of the City in working to try to get us back to
normal once again. Is in accord with Mr. Pfeiffer - it's going
to take us a month or so to get back to normal. We will
probably catch the blunt of percussions because they don't have
services, but I hope the citizens will bear with us. I thank
the employees again, and also thank the Council for working
with them and giving them permission to go about their business.
Would like a thank you letter written to Texas Baptist Men for
their food service they set up.

Skelton: Would like to commend the two gentlemen for being
selected employee of the month for July and August. It's
wonderful that `ah have such a program that we can recognize
our dedicated employees and we certainly realize that they're
doing a good job or they wouldn't be here. Would like to
point out that trash along the streets is a potential fire
hazard because it is dry and one flip of a match or cigarette
could-cause a major fire. It is also a hazard for driving.
Hopes people will be aware of this and drive more carefully
and courteously. Appreciative of the whole City's efforts
because it shows what we can do when we pull together and
have dedicated employees who are willing to do whatever it
takes to do the job, and he greatly appreciates it; is happy
to be on a Council that has people such as that to take
care of us.
Malone: I'm going to throw flowers just like everyone else.
I hope if people read about the brush being a fire hazard it
doesn't give anyone ideas about starting a fire. Would like
for Council to instruct Mr. Owen to get something together
in the way of showing appreciation to our City employees and
• their families for the dedication and hard work they did.
Has an idea he'd like to tell you after while, and it might
be something to talk about in executive session rather briefly.
Longley: Would like to echo everyone else's feelings of our
gratitude for Mr. Owen's management. We have some super
employees and there's just not enough good you can say. Also,
I'd like to thank Mr. gleener for the use of his helicopter.
Got to go up and survey the damage. Tt's really sad to see
the damage we had - it's really more than can be imagined.
You just have to see it before you can believe it. At the
same time, was really impressed with the recovery efforts.
They may be more impressing than the damage from the storm.
It's amazing how quickly things are coming back to a normal
situation and he's certainly impressed with that.
Matuszak: Would also like to thank the staff. They have been
nothing but responsive to all the needs of the citizens to the
best of the resources the City has to offer. I spent some time
with Jerry just before the storm and went down to public works
about 1 or 2 o'clock in the afternoon the day the storm hit,
and believe me, those folks were drained; they were emotion-
ally drained, but they were still out there working. They
still kept plugging. Was tremendously impressed with the
dedication; it certainly was there. This was an excellent
opportunity for citizens to get to know their neighbors. Un-
fortunately it's under circumstances we wouldn't like to have.
But a lot of people have met a lot of people up and down their
blocks that they normally wouldn't have met or talked to under
any other circumstances. The citizens do band together and
help out.

One observation - thank God this thing hit when it hit - in
the middle of the night. Tf it had hit at 10 or 12 in the
daytime, people would have been out looking at it. Since it
hit at night, people were in their houses and T feel this
cut down on injuries.
Once again, thanks to the staff, and T hope we can do some-
thing to show the city employees how much we do appreciate
them..
Cline: Letters will be sent to all organizations and those
who helped during the storm.. Was more appreciative of our
good La Porte water than she is of electricity. We kept our
water supply and I want to thank Jerry and the people who
worked on that for keeping it supplied. to our citizens.
Reminded Council that August 20 had been scheduled for the
employee picnic. This still planned to have the picnic at
a later date when things are cleaned up and wants to see this
go forth. This has always been an annual picnic for the
employees and their families, and this year we were to make
our first service awards to them. Thinks that is very impor-
tant and as soon as we can find a place that we can get cleaned
up we need to go ahead with it. Thinks Council needs to do
something separate. from the picnic for the employees them-
selves.
Skelton: Some senior citizens are still without power, and
some of them are ill. Ts there any way to get them emergency
generators? Feels some of them might not make it until they
get power.
Mr. Owen: Knows of no generators available, but Red Cross will
send a nurse down to check on them daily, and will move them if
they feel it is necessary.
12. Motion was made by Councilperson Longley to adjourn into execu-
tive session. Second by Councilperson Malone.: Council adjourned
into executive session at 7:43 P.M. and returned to the Council
table at 8:15 P.M.

area on the next agenda. The motion carried, 7 ayes-and O~nays.

• EMPLOYEE OF THE MONTH FOR AUGUST - CARL COLE
Carl is foreman in the Water & Wastewater Department, and
has worked for the City since 1976.
Carl is a conscientious employee, and. is often seen working
beside his men on difficult projects.
Carl has obtained his "B" license in Water and Wastewater,
and his knowledge of the water and sewer lines in the city is
extremely valuable. He shares his knowledge of the utility
system with his men.
Carl is eager and enthusiastic about getting the job done
in his area of responsibility and is always willing to lend a
helping hand in other areas.
Carl has saved the city money by preventive maintenance
on the backhoes, thus eliminating crew downtime and major work
needing to be done.

APPLICANT ASSURANCES
The Applicant hereby assures and certifies that he will comply with the FEMA regulations, policies, guidelines, and requirements including
OMB's Circulars No. A-95 and A-102, and FMC 74-4, as they relate to the application, acceptance and use of Federal funds for this Federally-
assisted project. Also, the Applicant gives assurance and certifies with respect to and as a condition for the grant that:
1." It possesses legal authority to apply for the grant, and to finance
. and construct the proposed facilities; that a resolution, motion or
similar action has been duly adopted or passed as an official act
of the applicant's governing body, authorizing the filing of the
application, including all understandings and assurances contained
therein, and directing and authorizing the person identified as the
official representative of the applicant to act in connection with
the application and to provide such additional information as
may be required.
2. It will comply with the provisions of: Executive Order 11988,
relating to Floodplain Management and Executive Order 11990,
relating to Protection of Wetlands.
3. It will have sufficient funds available to meet the non-Federal
shaze of the cost for construction projects. Sufficient funds will
be available when construction is completed to assure effective
operation and maintenance of the facility for the purpose
constructed.

4. It will not enter into a construction contract(s) for the project or
undertake other activities until the conditions of the grant pro-
gram(s)have been met.
5. It will provide and maintain competent and adequate architectur-
al engineering supervision and inspection at the construction site
to insure that the completed work conforms with the approved
plans and specifications; that it will furnish progress reports and
such other information as the Federal grantor agency may
6. It will operate and maintain the facility in accordance with the
minimum standards as may be required' or prescribed by the
applicable Federal, State and local agencies for the maintenance
and operation of such facilities.
7. It will give the grantor agency and the Comptroller General,
through any authorized representative, access to and the right to
examine all records, books, papers, or documents related to the
grant.
11. It agrees to comply with Section 311, P.L. 93-288 and with
Title VI of the Civil Rights Act of 1964 (P. L. 83-352) and in
accordance with Title VI of the Act, no person in the United
States shall, on the ground of race, color, or national origin, be
excluded from participation in, be denied the benefits of, or be
otherwise subjected to discrimination under any program or
activity for which the applicant receives Federal financial as-
sistance and will immediately take any measures necessary to
effectuate this agreement. If any real property or structure is
provided or improved with the aid of Federal financial assist-
ance extended to the Applicant, this assurance shall obligate the
Applicant, or in the case of any transfer of such property, any
structureeis ased for erpurposetfor which the Federal fnancial
assistance is extended or for another purpose involving the
provision of similar services or benefits.
12. It will establish safeguards to prohibit employees from using
their positions for a purpose that is or gives the appearance of
being motivated by a desire for private gain for themselves or
others, particularly those with whom they have family, business,
or other ties.
8. It will require the facility to be designed to comply with the
"American Standard Specifications for Making Buildings and
Facilities Accessible to, and Usable by the Physically Handi-
capped," Number A117.1.1961, as modified (41 CFR 101-17-
7031). The applicant will be responsible for conducting in-
spections to insure compliance with these specifications by
the contractor.
9. It will cause work on the project to be commenced within a
reasonable time after receipt of notification from the approving
Federal agency that funds have been approved and will see that
work on the project will be prosecuted to completion with
reasonable diligence.
10. It will not dispose of or encumber its title or other interests in
the site and facilities during the period of Federal interest or
while the Government holds bonds, whichever is the longer.
13. It will comply with the requirements of Title II and Title III of
the Uniform Relocation Assistance and Real Property Acqui•
sitions Act of 1970 (P. L. 91.646) which provides for fair and
equitable treatment oC persons displaced as a result of Federal
and Federally-assisted programs.
14. It will comply with all requirements imposed by the Federal
grantor agency concerning special requirements of law, program
requirements, and other administrative requirements approved in
accordance with OMB circular A-102, P.L. 93.288 as amended,
and applicable Federal Regulations.
15. It will comply with the provisions of the Hatch Act which limit
the political activity of employees,
16. It will comply with the minimum wage and maximum hours
provisions of the Federal Fair Labor Standards Act, as they apply to
hospital and educational institution employees of State and
local governments.
17. (To the best of his knowledge and belief) the disaster relief work
described on each Federal Emergency Management Agency
(FEMA) Project Application for which Federal Financial as-
sistance is requested is eligible in accordance with the criteria
contained in 44 Code of Federal Regulations, ~'3rt 205, and
applicable FEMA Handbooks. ~

18. The emergency or disaster relief work therein described for
which Federal Assistance is requested hereunder does not or
will not duplicate benefits received for the same loss from
another source.
19. It will (1) provide without cost to the United States all lands,
easements and rights-of-way necessary for accomplishment of the
approved work; (2) hold and save the United States free from
damages due to the approved work or Federal funding.
20. This assurance is given in consideration of and for the purpose of
obtaining any and all Federal grants, loans, reimbursements, ad-
vances, contracts, property, discounts of other Federal financial
assistance extended after the date hereof to the Applicant by
FEMA, that such Federal Financial assistance will be extended in
reliance on the representations and agreements made in this as-
surance and that the United States shall have the right to seek
judicial enforcement of this assurance. This assurance is binding
on the applicant, its successors, transferees, and assignees, and the
person or persons whose signatures appear on the reverse as au-
thorized to sign this assurance on behalf of the applicant.
21. It will comply with the flood insurance purchase requirements of
Section 102(x) of the Flood Disaster Protection Act of 1973,
Public Law 93.234, 87 Stat. 975, approved December 31, 1973.
Section 102(a) requires, on and after March 2, 1975, the purchase
of flood insurance in communities where such insurance is
available as a condition for the receipt of any Federal financial
assistance for construction or acquisition purposes for use in any
area that has been identified by the Director, Federal Emergency
Management Agency as an area having special flood hazards. The
phrase "Federal financial assistance" includes any form of loan,
grant, guaranty, insurance payment, rebate, subsidy, disaster
assistance loan or grant, or any other form of direct or indirect
Federal assistance.
22. It will comply with the insurance requirements of Section 314,
PL 93-288, to obtain and maintain any other insurance as may be
reasonable, adequate, and necessary to protect against further loss
to any property which was replaced, restored, repaired, or con-
structed with this assistance.
23. It will defer funding of any projects involving flexible funding
until FEMA makes a favorable environmental clearance, if this
is required.
24. It will assist. the Federal grantor agency in its compliance with
Section 106 of the National Historic Preservation Act of 1966,
as amended, (16 U.S.C 470), Executive Order 11593, and the
Archeological and Historic Preservation Act of 1966 (16 U. S. C:
469a-1 et seq.) by (a) consulting with the State Historic Preser•
vation Officer on the conduct of investigations, as necessary,
to identify properties listed in or eligible for inclusion in the
National Register of Historic places that are subject to adverse
effects (see 36 CFR Part 800.8) by the activity, and notifying
the Federal grantor agency of the existence of any such proper-
ties, and by (b) complying with all requirements established by
the Federal grantor agency to avoid or mitigate adverse effects
upon such properties.
•25. It will, for any repairs or construction financed herewith, compl}•
with applicable standards of safety, decency and sanitation and
in conformity with applicable codes, specifications and stan-
dards; and, will evaluate the natural hazards in areas in which
the proceeds of the grant or loan are to be used and take ap-
propriate action to mitigate such hazards, including safe land
use and construction practices.

The State agrees to take any necessary action within State capabilities
to require compliance with these assurances and agreements by the

and Fire Hydrants
Advertised , sealed bid 00010 was opened and read is City Council Chambers July 15.
l983. Vendors submitted pricing on pipe, fittings, gate valves, and fire hydrants
which the City of La Porte will purchase on an as needed basin fos inventory.
Bid packages were mailed to nine vendors with the following five returning bids:
(1) Utility Supply, (2) Ronan Co., (3) Golden Trian le
(S) Dixie Chemical Co. Commodities were divided into sections ~th bid iawardsd
based upon low total per section.
Recommendations are as follows:
Section I. A: PVC Pi e: Award annual fixed price contract to Ronan Co. for second
low total of 46,172. Low bidder was Golden Triangle at $45,312 but prices were
firm for only fourty-five (45)~ days.
Section I. B: PVC Fittin ss Award annual fixed price contract to Utility Supply
Inc. for low total of 2,662.55.
Section II. A: Cast Iron Fittin ss Award annual fixed price contract to Utility
Supply Inc. for low total o $17.305.75.
Section II. B: Gates Valves: Award aaaual fixed price contract to Utility Supply
Inc. for low total of $12,059.59.
Section III. Fire H drants: Award aaaual fixed price contract to Utility Supply
Inc. for low total of 22.336.10.

SUBJECT: Seale d X10013: Flexible Base (Crushed Limestone) -
Advertised sealed bid X0013 was opened and read in Council Chambers
August 1, 1983 at 4:00 P.M. Vendors submitted Pricing for the pur-
chase of flexible base (crushed limestone) on an as needed basis.
The current contract for flexible base (contract X010-08-83) is held
by Parker Brothers b Company Inc. of Houston, Texas and will expire
August 24, 1983.
Bids were received from Parker Brothers & Company Inc.. Gulf Coast
Limestone Inc., and Texas Crushed Stone Company. Low bid meeting _
specifications was submitted~by Parker Brothers b Co., Inc. in the
amount of $8.85 per ton picked up and $11.52 per ton delivered.
These prices compare favorably with current pricing for the material
of $9.00 per ton picked up and $11.67 per ton delivered.
I hereby recommend accepting the low bid by Parker Brothers & Company,
Inc. and awarding a one year contract for the supplying of flexible
base to the City of La Porte. I trust this recommendation will meet
with your approval.

AN ORDINANCE OF THE CITY OF LA PORTE, TEXAS, ADDING CHAPTER
12 1/4 TO THE CODE OF ORDINANCES, ENTITLED "HOTEL OCCUPANCY
TAX"; PROVIDING FOR THE LEVY AND COLLECTION OF A HOTEL OCCUPANCY
TAX; PROVIDING FOR EXEMPTION; PROVIDING FOR REPORTS; PROVIDING
FOR RULES AND REGULATIONS BY THE TAX COLLECTOR; PROVIDING FOR
A PENALTY; PROVIDING A SEVERABILITY CLAUSE; AND PROVIDING AN
EFFECTIVE DATE.
BE IT ORDAINED BY THE CITY COUNCIL OF THE CITY OF LA PORTE:
PART I.
Chapter 12 1/4 shall be added to the Code of Ordinances
of the City of La Porte, Texas, entitled "Hotel Occupancy
Tax," which shall read as follows:
CHAPTER 12 1/4
HOTEL OCCUPANCY TAX
SECTION 12 1/4-1 - DEFINITIONS
The following words, terms and phrases are, for the purposes
of this chapter, except where the context clearly indicates a
different meaning, defined as follows:
(a) Hotel - Shall mean any building or buildings, trailer
or other facilities, in which the public may, for a considera-
tion, obtain sleeping accommodations. The term shall include
hotel, motels, tourist homes, houses or courts, lodging houses,
inns, rooming houses, or other buildings where rooms are fur-
nished for a consideration, but hotels shall not be defined so
as to include hospitals, sanitariums or nursing homes.
(b) Consideration - Shall mean the cost of the room,
sleeping space, bed or other facilities in such hotel and shall
not include the cost of any food served or personal services
rendered to the occupant of such room not related to the cleaning
and readying of such room, sleeping space, bed or other facility
for occupancy.

(c) Occupancy - Shall mean the use or possession, or the
right to use or possession of any room or rooms in a hotel for
any purpose.
(d) Occupant -Shall mean anyone, who, for a consideration,
uses, possesses, or has a right to use or possess any room or
rooms, sleeping space, bed or other facility in a hotel under
any lease , concession, permit , right of access , 1 icense , contract
or agreement.
• (e) Person - Shall mean any individual, company, corpora-
tion or association owning, operating, managing or controlling
any hotel.
(f) Tax Collector - Shall mean the Tax Collector of the
City of La Porte, Texas.
(g) Quarterly Period - Shall mean the regular calendar
quarters of the year, the first quarter being composed of the
months of January, February and March; the second quarter being
the months of April, May and June ; the third quarter being the
months of July, August and September; and the fourth quarter
being the months of October, November and December.
(h) Permanent Resident - Shall mean any occupant who has
or shall have the right to occupancy of any room or rooms or
sleeping space or other facility in a hotel for at least thirty
(30) consecutive days during the current calendar year or
preceding year.
SECTION 12 1/4-2 - LEVY OF TAX; RATE; EXCEPTION

(b) No tax shall be imposed hereunder upon a Permanent
Resident.
(c) No tax shall be imposed hereunder upon a corporation

or association organized and operated exclusively for religious,
charitable or educational purposes, no part of the net earnings
of which inures to the benefit of any private shareholder or
individual.
SECTION 12 1/4-3 - COLLECTION.
Every Person owning, operating, managing or controlling
any Hotel shall collect the tax imposed in Section 12 1/4-2
hereof for the City of La Porte.
SECTION 12 1/4-4 - REPORTS.
On the last day of the month following each quarterly
period, every Person required hereby to collect the tax imposed
by this Article shall file a report with the Tax Collector
showing the Consideration paid for all room occupancies in the
preceding quarter, the amount of the tax collected on the
City's behalf on such occupancies, and any other information
as the Tax. Collector may reasonably require; such reports
shall be in writing. Such Person shall pay over the tax due
on such occupancies at the time of filing such report. There
shall also be furnished to the Tax Collector of the City of
La Porte at the time of payment of such tax, a copy of the
quarterly tax report filed with the State Comptroller in con-
nection with the State of Texas Hotel Occupancy Tax. The
Person required to collect the tax may deduct and withhold from
the Person's payment to City, as reimbursement for the cost of
collecting the tax, an amount equal to one per cent (1$) of

the amount of tax collected and required to be reported to City.
Such reimbursement shall be forfeited in case of failure of
Person to pay the tax or file reports as required by City.
SECTION 12 1/4-5 - ADOPTION OF PROCEDURES, RULES & REGULATIONS;
ACCESS TO BOOKS, RECORDS.
The Tax Collector shall adopt such procedures, rules and
regulations as are reasonably necessary to effectively collect
the tax levied herein, and shall upon request of any Person
• owning,. operating, managing or controlling any Hotel furnish a
copy of such procedures, rules and regulations for the guidance
of such Person and facilitate the collection of such tax as
such collection is required herein. Such procedure, rules and
regulations shall be in writing and a copy thereof shall be
placed on file with the City Secretary. The Tax Collector
shall be permitted to have access to the books and records
during reasonable business hours as shall be necessary to
enable the Tax Collector to determine the correctness of the
amount due under the provisions of this article, or to determine
whether or not a report should have been f filed and the amount ,
if necessary, of taxes due.
• SECTION 12 1/4-6 - PENALTIES
(a) If any Person required by the provisions of this
article to collect a tax imposed herein or make reports as
required herein, and pay to the Tax Collector the tax imposed
herein, shall fail to collect such tax, file such report, or
pay such tax, or if any Person shall file a false report, or
any Person shall violate any of the provisions of this article,
such Person shall be deemed guilty of misdemeanor and upon
conviction shall be punished by a fine not to exceed two hundred
dollars ($200.00).

(b) If the operators of any Hotels shall fail to
file a report for any period as required by this article, or
shall fail to pay the tax for any period as required by this
article, then the Tax Collector is hereby authorized to make an
assessment of the tax for such period. The tax assessed together
with any penalty provided by this article shall be a prior and
superior lien on the property of the Hotel. In addition, City
may enforce the payment of delinquent taxes hereunder, by bring-
• ing suit to close down the particular Hotel or Motel until such
taxes are paid in full, as authorized by Art. 12691-4.1, Sec-
tion 3, V. A.T. S.
PART II.
If any section, sentence, phrase, clause, or any part of
any section, sentence, phrase, or clause, of this ordinance
shall, for any reason, be held invalid, such invalidity- shall
not affect the remaining portions of this Ordinance, and it is
hereby declared to be the intention of this City Council to
have passed each section, sentence, phrase or clause, or part
thereof, irrespective of the fact that any other section,
sentence, phrase or clause, or part thereof, may be declared
• invalid.

This Ordinance shall be effective October 1, 1983. The
City .Secretary shall give notice of the passage of this ordinance
by causing the caption hereof to be published in the official
newspaper in the City of La Porte at least twice within ten
(10) days after the passage of this ordinance.

PART IV.
The City Council officially finds, determines, recites
and declares that a sufficient written notice of the date,
hour, place and subject of this meeting of the City Council
was posted at a place convenient to the public at the City
Hall of the City for the time required by law precediDg this
meeting, as required by the Open Meetings Law, Article 6252-17,
Texas Revised Civil Statutes Annotated; and that this meeting
• has been open to the public as required by law at all times
during which this ordinance and the subject matter thereof has
been discussed, considered and formally acted upon. The City
Council further ratifies, approves and confirms such written
notice and the contents and posting thereof.

This agreement made and entered into effective the 1st day of
October, 1983, by and between the City of La Porte, a municipal
corporation, hereinafter called "City", and The La Porte - Bayshore
Chamber of Commerce, a non-profit corporation chartered under the
Laws of the State of Texas, hereinafter called "Chamber",
W I T N E S S E T H:
WHEREAS, City has recently passed an ordinance providing for the
assessment and collection of a Hotel Occupancy Tax in the City of
La Porte of four percent (4$) of the consideration paid by the occupant
of a room, space or facility in any hotel; and
WHEREAS, the Chamber is well equipped to advertise and conduct
solicitation programs to acquaint potential users with public meeting
and convention facilities and to promote tourism and advertise the
City of La Porte; and
WHEREAS, it is to the mutual benefit of the City and Chamber that
the .City provide funds. to the Chamber for the above stated purposes
and that the Chamber use such funds to the Chamber for the above stated
purposes and that the Chamber-use such funds for such purposes;
NOW, THEREFORE, in consideration of the premises and of the mutual

covenants herein contained, City and Chamber hereby agree as follows:
1. Chamber shall employ its best efforts for general promotional
and tourist advertising of the City of La Porte and conducting solici-
tation and operating programs to contract conventions and visitors,
including the establishment and operation by Chamber of a .convention
and visitors bureau.
2. As a consideration for the services set forth in Paragraph 1
hereof, City agrees to pay to Chamber an amount equal to twenty-five

per cent (25$) of the amount actually collected by the City from the
Hotel Occupancy Tax in any City fiscal year during the term of this
agreement.
3. The City shall, on or before the 45th day following the end
of each quarter, pay twenty-five per cent (25$) of any amount of the
monies collected for that quarter, less one percent (1~), to the
Chamber . The quarters will end on the 31st day of March, the 30th
day of June, the 30th day of September and the 31st day of Dece mber
of each year.
4. The Chamber agrees that it will record expenditures involved
in this program on a monthly basis in separate accounts. The books
of account will be maintained in a form approved by the City Manager
of the City of La Porte, and will be available for inspecting and
copying by the City Manager, his duly authorized agents and repre-
sentatives, during regular business hours of the Chamber.
5. Thirty days after the end of every year the Chamber will

furnish to City a performance report of its work under this contract
in a form determined by the City Manager and which shall reflect
overall activity, meetings, conventions and conferences conducted,
identity and amounts of advertising conducted, copies of literature
produced as well as a description of direct mailings in the last
year, and the expenditures during the year of the funds received
pursuant to this contract.
6. It is understood and agreed that Chamber shall not in any
sense be considered a partner or joint venturer with City, nor shall
Chamber be considered nor in any manner hold itself out as an agent or
official representative of City. Chamber shall be considered an inde-
pendent contractor for the purposes of this agreement and shall in no
manner incur any expenses or liability on behalf of City.

7. Chamber does further agree to hold City harmless from any and
all claims by third parties for any injuries, damage or liability
occasioned by Chamber in connection with this agreement.
8. In is understood and agreed that this contract shall be ter-
urinated upon occurrence of any of the following events:
(a) The giving of written notice by either party to the other
party at least ninety (90) days prior to the date of termination;
(b) The termination of the corporate existence of Chamber;
(c) The insolvency of Chamber, the filing of a petition in
. bankruptcy, either by or against Chamber, or an assignment by Chamber
for the benefit of creditors;
(d) The breach by Chamber of any of the terms and conditions of
this agreement and the continuation of such breach for a period of ten
(10) days after written notice is given by City to Chamber of such
breach;
9. In the event of the termination of this agreement as provided
in Paragraph 8 hereof , Chamber shall submit to City a statement showing
any expenses incurred by it for the present year in which said termi-
nation takes place and City agrees to reimburse Chamber, to the
extent that said monies are collected from the Hotel Occupancy Tax
during that year, an amount equal to the lesser of the expenses
• incurred by the Chamber during that year or the amount of tax collected
for that year. City also realizes that Chamber may have committed
themselves to pay expenses for conventions that will occur after the
termination of this agreement, and City agrees to reimburse the
Chamber for such expenses up to the cumulative sum of $1, 000.00 from
the Hotel Occupancy Tax.
10. Chamber shall not assign this contract without the written
consent of City first obtained in writing.

11. Any notice required to be given under ,the terms and provi-
sions of this agreement shall be effective if and when given in writing
and deposited in the United States Mail, certified or registered mail,
return receipt requested, on the date so deposited and addressed to the
respective parties as follows:

12. All the terms, conditions and stipulations of this contract
