MINUTES OF THE SPECIAL CALLED JOINT WORKSHOP MEETING OF THE
LA PORTE CITY COUNCIL AND THE CHAMBER OF COMMERCE
JUNE 7, 1993
1. The meeting was called to order by Mayor Malone
Members of City Council Present: Mayor Norman Malone,
Councilpersons Guy Sutherland, Mike Cooper, Bob Thrower, Bob
McLaughlin, Deotis Gay, Jack Maxwell, Jerry Clarke.
(Councilperson Alton Porter came in after the meeting had
begun)
Members of Chamber of Commerce Present: President Kathleen

Smith, Vice President Barry Beasley and Executive Vice

Members of City Staff Present: City Manager Bob Herrera,
Assistant City Manager John Joerns and City Secretary Sue

Meadowcrest Homeowners Association
2. Opening comments were made by City Manager Bob Herrera who
gave a brief back ground on the preparation of the agenda
formate. The Chamber of Commerce President Kathleen Lemon
introduced the order of business. Loretta Smith began the
discussion of how the Chamber operates and passed out a packet
of information to each person present. The packets were a
overview of the City of La Porte and the many amenities it
offers businesses and residents. Each of the Chamber Vice
Presidents explained a portion of the Chamber operation.
3. Kathleen Lemon discussed the working relationship between the
City and the Chamber and mentioned how cooperative Tim
O'Connor and all Parks and Recreation personnel have been and
how much the Chamber appreciates the City Council and City
staff and their relationship to the Chamber of Commerce and
it's activities.
4. Vice President Barry Beasley discussed economic development
and the goals the Chamber is pursuing to bring new businesses
to La Porte.
5. Harry Hank discussed contract obligations between the City and
Chamber. Mr. Hank gave an overview of the obligations of both
Chamber and City and the procedures followed in assessment and
collection of the Hotel Occupancy Tax.

Executive Vice President John Paul Zemanek complimented the
staff of the City of La Porte and commended Director of
Planning Mr. Chuck Harrington for the great job he is doing
and praised his accomplishments.
Mayor Malone, City Council and Chamber of Commerce Directors
discussed goals for the future. City Manager Bob Herrera and
Chamber President Kathleen Lemon were instructed to meet and
put together a package outlining the roles which the City and
Chamber may pursue in a joint effort toward enhancing economic
development within the City of La Porte. A 30 day time frame
was suggested for another joint meeting of the City and
Chamber to review the prepared package.
City Council suggested Bob Herrera review the agreement
between the City and Chamber of Commerce and ascertain if an
updated agreement would be in order.
6. There being no further business, the meeting was adjourned at
8:22 P.M.

BY-LAWS
LEADERSHIP LA PORTE-BAYSHORE
ARTICLE I-PURPOSE
The purpose of the La Porte-Bayshore Leadership Program is to
encourage and foster the development of community leaders from all
segments of the La Porte-Bayshore area, specifically to
1. Identify and select highly motivated emerging leaders to
participate in the program.
2. Motivate and develop the potential leaders to assume the
responsibilities and opportunities inherent in the leadership
program.
3. Provide information to potential leaders on the key
organizational structure within a community.
4. Acquaint potential leadership with problems and needs of the
community.
5. Place program graduates in responsible positions within
community structures.
6. Develop the realization-that .leadership is not only an honor
but a public responsibility.
7. Provide opportunities .for communication between emerging and
established leadership.
8. Be a source of qualified and trained leadership for public
and private agencies, organizations, planning bodies, and
commissions.
9. Help participants learn how to strike a balance between
community and individuality, thereby enhancing the overall
quality of their lives and the ability to stay involved as
community leaders.
ARTICLE II-BOARD OF DIRECTORS
Section 1. There shall be a Board of Directors of 9 members whose
duty is to establish policies and provide guidance in
such a manner as to promote the purpose of Leadership
La Porte-Bayshore.

Section 3. The Board Chairman shall select all committee chairmen
from the Board of Directors.
Section 4. The Board Chairman and Committee Chairman shall make
committee assignments from the Board of Directors.
Section 5. Individuals not affiliated with Leadership
La Porte-Bayshore may be appointed to standing
committees by Committee Chairman subject to the
approval of the Board Chairman.
Section 6. The membership of any committee appointed for the
purpose of selecting participants in Leadership
La Porte-Bayshore program shall remain anonymous.
Section 7. Contributions to Leadership La Porte-Bayshore should be
made payable to the La Porte-Bayshore Chamber of
Commerce and may be tax deductible as a business
expense.
Section 8. ~ A committee, by its specific or implied action or.
consideration, does not commit Leadership La Porte-
Bayshore, nor should it assume that it does, until its
recommendation upon a given project has been approved
by the Board of Directors.
ARTICLE IV-PARTICIPANTS
Section 1. All applicants will be required to sign a commitment
pledge.
Section 2. Any participant missing more than two (2) sessions, or
any portions thereof,-shall be dropped without refund.
Participant attendance at the retreat is mandatory.
Section 3. Financial payment or scholarship arrangements for
tuition must be finalized with the Chamber of Commerce
by August 15th of the current year.
Section 4. All money paid for tuition should be made payable to
the La Porte-Bayshore Chamber of Commerce and is to be
considered an admission fee and shall not be refundable
after August 15th.
Section 5. The total number of participants shall be determined
each year by the Board of Directors.

Dear Partners In Education Steering Committee Member,
Thanks for attending the last P.I.E. Steering Committee meeting on May 13. Below is information
from the meeting.
First the committee brainstromed suggestions to improve the P.I.E. Chamber of Commerce
Luncheon held on Apri121. We have attached those suggestions, and a small survey so that you may
provide additional feedback.
The Special Resources Committee presented "Wish Lists" developed by each of the eleven campuses.
Also, were lists of ongoing activities created by both the schools and the partners. (All three are enclosed).
Also discussed was a project with the McDonalds Children Charities. The project, "Science Start,"
is an extensive curriculum developed to enhance science learning for the second grade. It was felt that
this sort of curriculum based project would need to first be investigated by a campus administrator and
second grade teacher(s). Cindy said she would contact Mary McDermott Jackson and see if she will follow
through on this.
We agreed to work toward an open P.I.E. Orientation meeting to be scheduled on August 23, between
4 - 6 p.m. at the La Porte High School student center. The purpose of this meeting will be to involve as
many new volunteers as possible to work in the Partners program.
In order to prepare for this meeting we agreed to do the following:
• Each industry partner will contact their school to refine%xpand the wish list for that campus.
The idea is to have a clear definition on each school's needs. Bill Allen and Bob Mayo will
coordinate this.
• Sandra Dwyer and Nancy Day will work with the Mentoring/'l~itoring group to develop a
training program for potential mentors, prior to the start of the fall semester.
• Cindy Bragg-Carter volunteered to begin developing a data base of people who have expressed
an interest in the Partners Program. This list will be the basis for inviting potential volunteers
to the August orientation meeting.
• Cindy and John Siemssen will seek additional volunteers at the July 21st Chamber of
Commerce luncheon, as well as with any other civic groups which might be interested. At the
July 21st Chamber luncheon we will invite two students from each school to sit with the
Chamber members. Bob Mayo and Ed Tyler volunteered to pick up the students lunch tabs.
• Copies of the "Mindware"video, which we viewed at the April 6th meeting were distributed to
all present. Additional copies are available. Call John at 291-2888 if you would like a copy.
Our next P.I.E. Steering Committee meeting will be Thursday, June 24 at 1:30 p.m. at Lyondell
Polymers, Fairmont Parkway & Underwood. We will be developing the agenda for the August 23rd
Orientation .Please plan to attend.

At the May 13 P.I.E. Steering Committee meeting the Chamber of Commerce Luncheon was
discussed and the following suggestions for improvements were made:
* Largest problem was the lack of general Chamber of Commerce participation. We need to
«~ork on ensuring that small businesses and individuals attend next P.I.E. Luncheon.
• Have meeting announced at the monthly Chamber luncheon-possibly one or two months
in advance
• Invite the La Porte Rotary Club, Civic Club, Optimist Club, and Lions Club, etc. to join
the luncheon representing their organization. Will need to be coordinated with civic
organizations so their schedule can be adjusted.
• Encourage more P.I.E. volunteers to attend
• Might consider having an event in the evening so teachers could attend.

The Partners In Education Steering Committee would like to invite two students from each campus
to attend the Chamber of Commerce Luncheon on July 21st at the Houston Yatch Club. During that meeting
we will be announcing the Partners In Education Orientation meeting scheduled for August 23 at the La Porte
High School student center from 4-6 p.m.
Bob 1Zayo from Dow USA and Ed Tyler from AI~'LO-Bayport have offered to pick up the students' lunch
tabs. We would like for each principal to recommend two students currently involved in the P.I.E. program
in some way- a student that has been mentored or a student that has worked on special P.I.E. projects, etc.
You might like to send a student that is a good communicator in case their table partners have questions.

submit a general budget to the governmental entity prior to funding, and must also submit

JOINT RESOLUTION BY THE EXECUTIVE BOARD AND THE BOARD OF
DIRECTORS OF THE LA PORTS BAYSHORE CHAMBER OF~ COMMERCE
WHEREAS, the City Council of the City of La Porte, pursuant
to the recommendation of the Comprehensive Plan Steering Committee
and the Citizens Capital Improvement Committees, has placed be-
fore the voters of the City of La Porte nine Capital Improvement
Project Proposals; and ,
WHEREAS, said Capital Improvement Project Proposals are pro-
posed to be funded by ,the phased issuance of bonds by the City of
La Porte; and
WHEREAS, the proposed Capital Improvement Projects, will, if
approved by the voters of the City of La Porte, make the City of
La Porte a better place to live, work, and enjoy life, boost the
local economy, and provide new jobs in the five year construction
perio~9 contemplated for completion of said Capital "'Improvement
Projects; and
WHEREAS, approval of all nine Project Proposals will at most
result in a three cent per one hundred dollars of appraised
valuation tax rate increase; and
WHEREAS, several of said Capital Improvement Projects, if
not funded by the ,issuance of bonds, must be funded fn the near
future •i~y short term tax increases and service rate increases; and
WHEREAS, La Porte must provide the basic municipal services
necessary to service the fast population growth experienced by
the community, and prepare and look forward to the future growth
and prosperity of the City;

THE BOARD OF DIRECTORS OF THE LA PORTS BAYSHORE' CHAMBER OF
COh1h1ERCE, ACTING ON BEHALF OF THE GENERAL MEMBERSHIP:
THAT the continual planning efforts of the Comprehensive
Plan Steering Committee, the Citizens. Advisory Committee, and
the Citizens Capital Improvements Committee, together with the
City Council of the City of La Porte, be applauded; and
THAT the La Porte Bayshore Chamber of Commerce urge increased
citizen participation in said continuing planning efforts; and
THAT the La Porte Bayshore Chamber of Commerce • urge the
citizens of the City of La Porte to vote in favor of all nine
Capital Improvement Project Proposals, at the election on said
project proposals to be held on June 15th, 1985, between the hours
of 7:00 A. M. and 7:00 P. M.

~~HEREAS,~Th'e La Porte Texans' War on Drugs began two years ago as
a nonprofit organization, in response to concerned parents who wanted
to prevent drug and alcohol abuse among the youth in our community; and
WHEREAS, The organization proposes the extension of its program
into full-time community intervention; and
WHEREAS; In our opinion, this extension would provide highly
positive benefits for the La Porte-Bayshore Area; and
jVHEREAS, The primary purpose of the La Porte Texans'~War on Qrugs
is to inform and educate parents, adolescents and children, and others
about the dangers of marijuana, alcohol, and other mind-altering drugs;
and
~QHEREAS, The organization's shared unity among families, educators,
clergymen, law enforcement, and local 'business has brought the group
successfully to this point; and
WIlERE115, Ttie extension of the program would enable the organization
to continue its record of successes and to work with the community on
a daily basis. '
NOW, THEREFORE, BE IT RESOLVED by the.Soard of Directors of the
La Porte-Bayshore Chamber of Commerce that the La Porte-Bayshore Chamber
of Commerce goes on record as supporting, the e~fforts•of the La Porte
Texans' War on Drugs to secure `a full-time community intervention
program, which, if successful, would he extremely beneficial for the
citizens of the La Porte-Bayshore Area.

WHEREAS, the 69th Legislature of the State of Texas has passed a
comprehensive plan relating to the conservation, development, protect-
ion and enhancement of surface water, underground water, bays and
estuaries.; and .
WHEREAS, this Legislation also provides financing mechanisms for
water development and conservation, water quality enhancement and
flood control; and
WHEREAS, the La Porte-Bayshore Chamber of Commerce is an organi-
zation of local businessmen and merchants serving the La Porte-
Bayshore area; and
WHEREAS, the region faces multi-dimensional water-related
problems including shortages of supply, severe flooding and needed
sewage treatment facilities; and
WHEREAS, Propositions One and Two on the November 5, 1985, ballot
provide for constitutional amendments for financing of improved water
conservation, water development, water pollution control and drainage
in Texas.
NOW, THEREFORE, BE IT RESOLVED that the Board of Directors of the
La Porte_Bayshore Chamber of Commerce supports passage of Propositions
Orie and Two.

A RESOLUTION OF THE LA PORTE-BAYSHORE CHAMBER OF COMMERCE,
DECLARING MAY 25-31, 1992, AS OALVESTON BAY WEEK.
WHEREAS, Galveston Bay is a natural resource of great proportions
and provides important commercial, recreational, and ecological
benefits to all the citizens of~the State of Texas; and
WHEREAS, the United States Congress has declared Dalveston Bay to
be a Nationally Significant Estuary; and
WHEREAS, the Bay Day Steering and Honorary/Advisory Committees
have been formed from representatives of commerce, navigation,
recreation and conservation organizations to plan, conduct and
support a public celebration of Galveston Bay scheduled for May
30 and 31, 199?, at Sylvan Beach Park and named BAY. DAY; and
WHEREAS, the La Porte-Bayshore Chamber of Commerce has long
recognized the many diverse benefits of Galveston Bay;
Now, THEREFORE, BE iT RESOLVED BY THE LA PORTE-BAYSHORE CHAMBER
OF COMMERCE:
SECTION 1. The findings and recitations set out in the preamble
to this Resolution are found to be true and correct and that they
are hereby adopted by the La Porte-Bayshore Chamber of Commerce

experienced dramatic changes in the last several"years concerning
the availability, cost, and adequacy of liability insurancef and
WHEREAS, annual increases in the cost of premiums for'-such insur-
ance by several hundred percent have become commonplace= and
WHEREAS, such insurance has, in many instances",''`become unavail-
able to Texas businesses and professionalst and
WHEREAS, such changes have had a profound detrimental impact on
the financial condition of businesses forcing them~in~'~some cases
to go out of business or to move their operations to ;:another
state; and
WHEREAS, this has resulted in the loss of jobs for~~Texas citizens
and the decreased ability of Texas cities to draw new businesses
to their areas; and
WHEREAS, the increased costs of liability insurance are almost
always passed on in higher prices charged to Texas consumers= and
WHEREAS, a major cause of such insurance crisis. is the explosion
of tort liability and damage awards in this state and throughout
the nation; and
WHEREAS, a trend is occurring which has resulted iA~,an;increase
in the amount of and number of court awards based~on~~actors
which are not related to economic loss, inoludinq~`dwards for pain

School District has placed before the voters' of the La Porte
Independent School District six Capttal Improvement Project

WHEREAS, said Capital Improvement Project~'~.Proposals are
proposed to be funded by the phased issuance of bonds by the La
Porte Independent School District; and
WHEREAS, the proposed Capital Improvement Projects, will,. if
approved by the La Porte Independent School District make the La
Porte Independent School District a better place for-students to be
educated, boost the local economy, and pro~tide nets jobs in the five
year construction period contemplated for completion of said
Capital Improvement Projects; and

AN ORDINANCE OF THE CITY OF LA PORTS, TEXAS, ADDING CHAPTER
12 1/4 TO THE CODE OF ORDINANCES, ENTITLED "HOTEL OCCUPANCY
~~
TAX PROVIDING FOR THE LEVY AND COLLECTION OF A HOTEL OCCUPANCY
TAX; PROVIDING FOR EXEMPTION; PROVIDING FOR REPORTS; PROVIDING
FOR RULES AND REGULATIONS BY THE TAX COLLECTOR; PROVIDING FOR
A PENALTY; PROVIDING A SEVERABILITY CLAUSE; AND PROVIDING AN
EFFECTIVE DATE.
BE IT ORDAINED BY THE CITY COUNCIL OF THE CITY OF LA PORTS:
PART I.
Chapter 12 1/4 shall be added to the Code of Ordinances
of the City of La Porte, Texas, entitled "Hotel Occupancy
Tax," which shall read as follows:
CHAPTER 12 1/4
HOTEL OCCUPANCY TAX
SECTION 12 1/4-1 - DEFINITIONS
The following words, terms and phrases are, for the purposes
of t'nis chapter, except where the context clearly indicates a
different meaning, defined as follows:
(a) Hotel - Shall mean any building or buildings, trailer
or other facilities, in which the public may, for a considera-
tion, obtain sleeping accommodations. The term shall include
hotel, motels, tourist homes, houses or courts, lodging houses,
inns, rooming houses, or other buildings where rooms are fur-
Wished for a consideration, but hotels shall not be defined so
as to include hospitals, sanitariums or nursing homes.
(b) Consideration - Shall mean the cost of the room,
sleeping space, bed or other facilities in such hotel and shall
not include the cost of any food served or personal services
rendered to the occupant of such room not related to the cleaning
and readying of such room, sleeping space, bed or other facility
for occupancy.

(c) Occupancy - Shall -Wean the use or possession, or the
right to use or possession of any room or rooms in a hotel for
any purpose.
(d) Occupant -Shall mean anyone, who, for a consideration,
uses, possesses, or has a right to use or possess any room or
rooms, sleeping space, bed or other facility in a hotel under
any lease , concession , permit , right o f access , 1 icense , contract
or agreement.
(e) Person - Shall mean any individual, company, corpora-
tion or association owning, operating, managing or controlling
any hotel.
(f) Tax Collector - Shal)_ mean the Tax Collector of the
City of La Porte, Texas.
(g) Quarterly Period - Sha11 :Wean the regular calendar
quarters of the year, the first quarter being composed of the
months of January, February and March; the second quarter being
the months of April, May and June; the third quarter being the
months of July, August and September; and the fourth quarter
being the months of October, ~lovember and December.
(h) Permanent Resident - Shall mean any occupant who 'Was
or shall have the right to occupancy of any room or rooms or
sleeping space or other facility in a hotel for at least thirty
(30) consecutive days during the current calendar year or
preceding year.
SECTION 12 1/4-2 - LEVY OF TAX; RATE; EXCEPTION
(a) There is hereby levied a tax upon the cost of Occu-
pancy of any room or space furnished by any Hotel where such
costs of Occupancy is at the rate of t4vo dollars ( $ 2.00) or
more per day, such tax to be equal to four percent (4%) of the ,
Consideration paid by the Occupant of such rooms to such Hotel.

(b) No tax shall be imposed hereunder upon a Permanent
Resident.
(c) No tax shall be imposed hereunder upon a corporation
or association organized and operated exclusively for religious,
charitable or educational purposes, no part of the net earnings
of which inures to the benefit of any private shareholder or
individual.
SECTION 12 1/4-3 - COLLECTION.
Every Person owning, operating, managing or controlling
any Hotel shall collect the tax imposed in Section 12 1/4-2
hereof for the City of La Porte.
SECTION 12 1/=~-4 - REPORTS.
On the last day of the month following each quarterly
period, every Person required hereby to collect the tax imposed
by this Article shall file a report with the Tax Collector
showing the Consideration paid for all room occupancies in the
preceding quarter, the amount of the tax collected on the
City's behalf on such occupancies, and any other info rnation
as the Tax Collector may reasonably require; s~~ch reports
shall be in writing. Such Person shall pay over the tax due
on such occupancies at the time of filing such report. There
shall also be furnished to the Tax Collector of the City of
La Porte at the time of payment of such tax, a copy of the
quarterly tax report filed with the State Comptroller in con-
nection with the State of Texas Hotel Occupancy Tax. The
Person required to collect the tax may deduct and withhold from
the Person's payment to City, as reimbursement for the cost of
collecting the tax, an amount equal to one per cent (lo) of

the amount of tax collected and required to be reported to City.
Such reimbursement shall be forfeited in case of failure of
Person to pay the tax or file reports as required by City.
SECTION 12 1/4-5 - ADOPTION OF PROCEDURES, RULES & REGULATIONS;
ACCESS TO BOOKS, RECORDS.
The Tax Collector shall adopt such procedures, rules and
regulations as are reasonably necessary to effectively collect
the tax levied herein, and shall upon request of any Person
owning, operating, managing or controlling any Hotel furnish a
copy of such procedures, rules and regulations for the guidance
of such Person and facilitate the collection of such tax as
such collection is required herein. Such procedure, rules and
regulations shall be in writing and a copy thereof shall be
placed on file with the City Secretary. The Tax Collector
shall be permitted to have access to the books and records
during reasonable business hours as shall be necessary to
enable the Tax Collector to determine the correctness of the
amount due under the provisions of this article, or to determine
whether or not a report should have been filed and the amount,
if necessary, of taxes due.
SECTION 12 1/4-h - PENALTIES
(a) If any Person required by the provisions of this
article to collect a tax imposed herein or make reports as
required herein, and pay to the Tax Collector the tax imposed
herein, shall fail to collect such tax, file such report, or
pay such tax, or if any Person shall file a false report, or
any Person shall violate any of the provisions of this article,
such Person shall be deemed guilty of misdemeanor and upon
conviction shall be punished by a fine not to exceed two hundred
dollars (5200.00).

(b) If the operators of any Hotels shall fail to
file a report for any period as required by this article, or
shall fail to pay the tax fo.r any period as required by this
article, then the Tax Collector is hereby authorized to make an
assessment of the tax for such period. The tax assessed together
with any penalty provided by this article shall be a prior and
superior lien on the property of the Hotel. In addition, City
may enforce the payment of delinquent taxes hereunder, by bring-
ing suit to close down the particular Hotel or Motel until such
taxes are paid in full, as authorized by Art. 1269 i-4. 1, Sec-
t ion 3, V. A. T. S.
PART II.
If any section, sentence, phrase, clans?, or any part of
any section, sentence, phrase, or clause, of this ordinance
shall, for any reason, be held invalid, such invalidity shall
not affect the remaining portions of this Ordinance, and it is
hereby declared to be the intention of this City Council to
have passed each section, sentence, phrase or clause, or part
thereof, irrespecti~~e of the fact that any other section,
sentence, phrase or clause, or part thereof, may be declared
invalid.

This Ordinance shall be effective October 1, 1983. The
City Secretary shall give notice of the passage of this ordinance
by causing the caption hereof to be published in the official
newspaper in the City of La Porte at least twice within ten
(10) days after the passage of this ordinance.

PART IV.
The City Council officially finds, determines, recites
and declares that a sufficient written notice of the date,
hour, place and subject of this meeting of the City Council
was posted at a place convenient to the public at the City
Hall of the City for the time required by law preceding this
meeting, as required by the Open Meetings Law, Article 6252-17,
Texas Revised Civil Statutes Annotated; and that this meeting
has been open to the public as required by law at all times
during which this ordinance and the subject matter thereof has
been discussed, considered and formally acted upon. The City
Council further ratifies, approves and confirns such written
notice and the contents and posting thereof.

This agreement made and entered into effective the 1st day of
October, 1983, by and between the City of La Porte, a municipal
corporation, hereinafter called "City", and The La Porte - Bayshor~
Chamber of Commerce, a non-profit corporation chartered under the
Laws of the State of Texas, hereinafter called "Chamber",
W I T N E S S E T H:
WHEREAS, City has recently passed an ordinance providing for the
assessment and collection of a Hotel Occupancy Tax in the City of
La Porte of four percent (4~) of the consideration paid by the occupant
of a room, space or facility in any hotel; and
WHEREAS, the Chamber is well equipped to advertise and conduct
solicitation programs to acquaint potential users with public meeting
and convention facilities and to promote tourism and advertise the
City of La Porte; and
WHEREAS, it is to the mutual benefit of the City and Chamber that
the City provide .funds to the Chamber for the above stated purposes
and that the Chamber use such funds to the Chamber for the above stated
purposes and that the Chamber use such funds for such purposes;
NOW, THEREFORE, in consideration of the premises and of the mutual
covenants herein contained, City and Chamber hereby agree as follows:
1. Chamber shall employ its best efforts for general promotional
and tourist advertising of the City of La Porte and conducting solici-
tation and operating programs to contract conventions and visitors,
including the establishment and operation by Chamber of a convention
and visitors bureau.
2. As a consideration for the services set forth in Paragraph 1
C hereof, City agrees to pay to Chamber an amount equal to twenty-five

per cent (25~) of the amount actually collected by the City from the
Hotel Occupancy Tax in any City fiscal year during the term of this
agreement.
3. The City shall, on or before the 45th day following the end
of each quarter, pay twenty-five per cent (250) of any amount of the
monies collected for that quarter, less one percent (1$), to the
Chamber. The quarters will end on the 31st day of March, the 30th
day of June, the 30th day of September and the 31st day of December
of each year.
4. The Chamber agrees that it will record expenditures involved
in this program on a monthly basis in separate accounts. The books
of account will be maintained in a form approved by the City Manager
of the City of La Porte, and will be available for inspecting and
copying by the City Manager, his duly authorized agents and repre-
sentatives, during regular business hours of the Chamber.
5. Thirty days after the end of every year the Chamber will
furnish to City a performance report of its work finder this contract
in a form determined by the City Manager and which shall reflect
overall activity, meetings, conventions and conflerences conducted,

identity and amounts of advertising conducted, copies of literature
produced as well as a description of direct mailings in the last
year, and the expenditures during the year of the funds received
pursuant to this contract.
6. It is understood and agreed that Chamber shall not in any
sense be considered a partner or joint

7. Chamber does further agree to hold City harmless from any and
all claims by third parties for any injuries, damage or liability
occasioned by Chamber in connection with this agreement.
8. In is understood and agreed that this contract shall be ter-
minated upon occurrence of any of the following events:
(a) The giving of written notice by either party to the other
party at least ninety (90) days prior to the date of termination;
(b) The termination of the corporate existence of Chamber;
(c) The insolvency of Chamber, the filing of a petition in
bankruptcy, either by or against Chamber, or an assignment by Chamber
for the benefit of creditors;
(d) The breach by Chamber of any of the terms and conditions of
this agreement and the continuation of such breach for a period of ten
(10) days after written notice is given by City to Chamber of such
breach;
9. In the event of the termination of this agreement as provided
in Paragraph 8 hereof , Chamber shall submit to City a statement showing
any expenses incurred by it for the present year in which said termi-
nation takes place and City agrees to reimburse Chamber, to the
extent that said monies are collected from the Hotel Occupancy Tax
during that year, an amount equal to the lesser of the expenses
incurred by the Chamber during that year or the amount of tax collected
for that year. City also realizes that Chamber may have committed
themselves to pay expenses for conventions ttlat will occur after the
termination of this agreement, and City agrees to reimburse the
Chamber for such expenses up to the cumulative sum of S 1, 000.00 from
the Hotel Occupancy Tax.
10. Chamber shall not assign this contract without the written
consent of City first obtained in writing.

11. Any notice required to be given under. the terms and provi-
lions of this agreement shall be effective if and when given in writing
and deposited in the United States Mail, certified or registered mail,
return receipt requested, on the date so deposited and addressed to the
respective parties as follows:

12. All the terms, conditions and stipulations of this contract
are subject to all applicable federal laws, state laws, the Charter of
the City of La Porte, all ordinances passed pursuant thereto and all
judicial determinations relative thereto.
