CALL TO ORDER The meeting was called to order by Mayor Norman Malone at 6:00 p.m. Members of City Council Present: Councilpersons Guy Sutherland, Alton Porter, Peter Griffiths, Howard Ebow, Chuck Engelken, James Warren, Charlie Young, Jerry Clarke, and Norman Malone. Members of Council Absent: None Members of City Executive Staff and City Employees Present: City Manager Robert T. Harris, and a number of other citizens. 2. Reverend Mary L. Harris of Templo Mahamaim delivered the invocation. 3. Council considered approving the Minutes of the Regular Meeting and Public Hearing of La Porte City Council held on January 28, 2002 and Special Called Meeting held on February 5, 2002. Motion was made by Councilperson Clarke to approve the Minutes of the Regular Meeting and Public Hearing of La Porte City Council held on January 28, 2002 and ~ecial Called Meeting held on February 5, 2002 as presented. Second by Councilperson Warren. The motion carried. Ayes: Sutherland, Engelken, Ebow, Griffiths, Porter, Warren, Young, Clarke, and Malone. Nays: None Abstain: None 4. PETITIONS, REMONSTRANCES, COMMUNICATIONS, AND CITIZENS AND TAXPAYERS WISHING TO ADDRESS CITY COUNCIL The following citizens addressed City Council. • City Council Minutes - 2-11-02 -Page 2 Spero Pomonis of 218 Bay Colony Circle, La Porte, Texas 77571, is very much in favor of a moratorium on apartment buildings in La Porte. He is very pleased with all the homes being built throughout the City. Dan Marrouf of 10615 W. Main Street, La Porte, Texas 77571, is presenting a proposal to build some t-hangers at La Porte Airport. Since Houston Gulf will be closed as of April 1, 2002, there will be a demand for t-hangers to accommodate the Community. He submitted a proposal to the Director of Public Works Steve Gillett January 21, 2002. Mr. Gillett requested more details; he submitted them on February 5, 2002. He presented a copy to Council for review and ask Council to consider the proposal. He has been in the La Porte area over 28 years and very involved within the community. 5. PRESENTATIONS A. Citizen Bill White presented and introduced the American Legion Post 428 of La Porte High School representatives for 1998 Boys' State and Girls' State. B. Mayor Norman Malone recognized the Special Olympics with a presentation of a $500 check from Mr. Leonard Hines, of Southwest Bank. Also, Mayor Norman Malone recognized our Fire Department for their participation in a funeral service this past Sunday. He suggested we, as citizens of the Community, let them know how very proud of them we are when we see them. 6. CONSIDER APPROVAL OR OTHER ACTION REGARDING A RESOLUTION DECLARING A MORATORIUM ON CONSTRUCTION OF NEW APARTMENT BUILDING COMPLEXES FORA 180 DAY PERIOD City Manager Robert Herrera presented summary and recommendation and answered Council's questions. Assistant City Attorney read: RESOLUTION 2002-20 - A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF LA PORTE, TEXAS, PLACING A MORATORIUM ON THE ACCEPTANCE FOR FILING AND THE ISUSANCE OF BUILDING PERMITS AND ALL OTHER ZONING AND/OR DEVELOPMENT PERMITS FOR NEW CONSTRUCTION IN THE MID AND HIGH-DENSITY RESIDENTIAL ZONING DISTRICTS; PROVIDING THAT SUCH MORATORIUM SHALL EXPIRE AFTER ONE HUNDRED EIGHTY (180) DAYS OR DISPOSITION OF ZONING CHANGE PROCEEDINGS WITH REGARD TO SUCH DISTRICTS, WHICHEVER COMES FIRST, PROVIDING FOR SPECIAL EXCEPTIONS IN THE EVENT OF HARDSHIP; AND PROVIDING AN EFFECTIVE DATE. Motion was made by Councilperson Clarke to approve Resolution 2002-20 as presented by Mr. Herrera. Second by Councilperson Young. CONSIDER APPROVAL OR OTHER ACTION REGARDING AN ORDINANCE CALLING FOR THE REGULAR ANNUAL ELECTION OF THE CITY OF LA PORTE TO BE HELD ON MAY 4, 2002, AND CALLING FOR ARUN-OFF ELECTION, IF NECESSARY Assistant City Attorney John Armstrong presented summary and recommendation and answered Council's questions. Assistant City Attorney read: ORDINANCE 2002-2537 & 2537A - AN ORDINANCE CALLING THE REGULAR ANNUAL ELECTION OF THE CITY OF LA PORTE; CALLING ARUN-OFF ELECTION, IF NECESSARY; DESIGNATING ELECTION PRECINCTS AND POLLING PLACES; PROVIDING FOR THE USE OF VOTNG MACHINES; APPOINTING ELECTION OFFICIALS; PROVIDING FOR METHOD AND DATES OF EARLY VOTING; PROVIDING FOR AN EARLY VOTING BALLOT BOARD; PROVIDING FOR RETURN AND CANVASS OF VOTES OF SAID ELECTION; PROVIDING FOR NOTICE PROVIDING FOR FILING DEADLINE AND FILING FEES FOR CANDIDATES; PROVIDING A SAVINGS CLAUSE; FINDING COMPLIANCE WITH THE OPEN MEETINGS LAW; AND PROVIDING AN EFFECTIVE DATE HEREOF. Motion was made by Councilperson Engelken to approve Ordinance 2002-2537 and Ordinance 2002-2537-A as presented by Mr. Armstrong. Second by Councilperson Young. The motion carried. CONSIDER APPROVAL OR OTHER ACTION AUTHORIZING THE CITY MANAGER TO EXECUTE THE FIRST AMENDMENT TO AGREEMENT AND LEASE BETWEEN THE CITY OF LA PORTE AND D. E. AVIATION, INC. Assistant Director of Public Works Buddy Jacobs presented summary and recommendation and answered Council's questions. Assistant City Attorney read: ORDINANCE 2002-97-2205-A - AN ORDINANCE APPROVING AND AUTHORIZING A FIRST AMENDMENT TO THE AGREEMENT OF LEASE FOR FIXED BASE OPERATIONS AT THE CITY OF LA PORTE MUNICIPAL AIltPORT BETWEEN THE CITY OF LA PORTE, LESSOR, AND D.E. AVIATION, INC., LESSEE, EFFECTIVE FEBRUARY 1, 2002; MAKING VARIOUS FINDINGS AND PROVISIONS RELATING TO THE SUBJECT; • • City Council Minutes - 2-11-02 -Page 4 FINDING COMPLIANCE WITH THE OPEN MEETINGS LAW; AND PROVIDING AN EFFECTNE DATE HEREOF. CONSIDER, 1) APPROVING AN ORDINANCE AUTHORIZING THE CITY MANAGER TO EXECUTE A CONSTRUCTION CONTRACT WITH CONSTRUCTION MASTERS, INC. FOR CONSTRUCTION OF FIRE STATION NO. 4 IN THE AMOUNT OF $720,000, 2)AUTHORIZING THE CITY MANAGER TO EXECUTE CHANGE ORDER 1 IN THE AMOUNT OF $34,000, AND 3) PROVIDING $7,000 FOR CONTINGENCY FOR A TOTAL APPROPRIATION OF $761,000 TO FUND SAID CONTRACT Director of Planning Doug Kneupper presented summary and recommendation and answered Council's questions. Assistant City Attorney read: ORDINANCE 2002-2538 - AN ORDINANCE APPROVING AND AUTHORIZING A CONTRACT AND CHANGE ORDER NO. 1, BETWEEN THE CITY OF LA PORTE AND CONSTRUCTION MASTERS, INC., FOR CONSTRUCTION OF FIRE STATION N0.4; APPROPRIATING $754,000.00 PLUS A CONTINGENCY OF $7,000.00, TO FUND SAID CONTRACT AND CHANGE ORDER NO. l; MAKING VARIOUS FINDINGS AND PROVISIONS RELATING TO THE SUBJECT; FINDING COMPLIANCE WITH THE OPEN MEETINGS LAW; AND PROVIDING AN EFFECTIVE DATE HEREOF. CONSIDER APPROVAL OF ORDINANCE 1000-1-K TO ALLOW THE ISSUANCE OF A NEW ALCOHOL PERMIT Assistant City Secretary Sharon Harris presented summary and recommendation and answered Council's questions. Assistant City Attorney read: ORDINANCE 1000-1-K - AN ORDINANCE OF THE CITY OF LA PORTE, TEXAS, AMENDING CHAPTER 6, SECTION 6-78 OF THE CODE OF ORDINANCES OF THE CITY OF LA PORTE, BY ADDING AN AREA AT A RESTAURANT WHERE WINE AND/OR BEER FOR CONSUMPTION ON THE PREMISES MAY BE SOLD; FURTHER PROVIDING A SAVINGS CLAUSE; FINDING COMPLIANCE WITH THE OPEN MEETINGS LAW; PROVIDING A SEVERABILITY CLAUSE; AND PROVIDING FOR AN EFFECTIVE DATE. Motion was made by Councilperson Porter to approve Ordinance 1000-1-K as presented by Ms. Harris. Second by Councilperson Griffiths. Motion carried. CONSIDER APPROVAL FOR THE CREATION AND NECESSARY FUNDING OF A NEW POSITION, PROPERTY CUSTODIAN • City Council Minutes - 2-11-02 -Page 6 Chief Richard E. Reff presented summary and recommendation and answered Council's questions. Motion was made by Councilperson Engelken to approve new position as presented by Chief Reff. CONSIDER AWARDING BID NUMBER 0846 OILS, FLUIDS, AND LUBRICANTS TO HOUSTON-PASADENA APACHE OIL COMPANY AS RECOMMENDED BY STAFF Assistant Director of Public Works Buddy Jacobs presented summary and recommendation and answered Council's questions. Motion was made by Councilperson Engelken to approve Bid No. 0846 as presented by Mr. Jacobs. Second by Councilperson Ebow. Motion carried. ADMINISTRATNE REPORTS City Manager Robert Herrera reminded Council of the following items: The NLC Conference is scheduled for March 8-12, 2002 in Washington D.C.; and the Bayport Expansion Opposition Committee Meeting on Monday, February 18, 2002, at 6 p.m. in Council Chambers. 15. COUNCIL COMMENTS Councilpersons Sutherland, Ebow, Griffiths, Engelken, Porter, Warren, Young and Clarke brought items to Council's attention. 16. It has been fifteen (15) years since the City has performed a comprehensive review of its regulations on construction ofmulti-family building complexes. Since City Council has had continued concerns, staff recommends placing a 180 day moratorium on the acceptance for filing and the issuance of building permits and all other zoning and/or development permits for new construction of mid and high density developments. City Council needs to provide the Planning and Zoning Commission with direction to review existing regulations governing construction of mid and high-density developments. Approved for City Council Agenda ert era, ity Manager Date • RESOLUTION NO. ~ (~ ~ A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF CITY OF LA PORTE, TEXAS, PLACING A MORATORIUM ON THE ACCEPTANCE FOR FILING AND THE ISSUANCE OF BUILDING PERMITS AND ALL OTHER ZONING AND/OR DEVELOPMENT PERMITS FOR NEW CONSTRUCTION IN THE MID AND HIGH- DENSITY RESIDENTIAL ZONING DISTRICTS; PROVIDING THAT SUCH MORATORIUM SHALL EXPIRE AFTER ONE HUNDRED EIGHTY (180) DAYS OR DISPOSITION OF ZONING CHANGE PROCEEDINGS WITH REGARD TO SUCH DISTRICTS, WHICHEVER COMES FIRST; PROVIDING FOR SPECIAL EXCEPTIONS IN THE EVENT OF HARDSHIP; AND PROVIDING AN EFFECTIVE DATE. WHEREAS, there is undeveloped land in the City of La Porte, Texas, the development of which may significantly impact City services, such as water, sanitary sewer, traffic, sanitation, and fire and police protection; and WHEREAS, the construction of Mid and High Density Residential projects have raised concerns regarding the impact of these projects on adjacent properties; and WHEREAS, the City of La Porte has not conducted a thorough review of its Mid and High Density Residential regulations since 1987; and WHEREAS, the City Council of the City of La Porte desires to avoid the adverse effects such development may have on the public health, safety, and welfare of the citizens of the City of La Porte; and WHEREAS, the City Council of the City of La Porte, in order to avoid any adverse effects, to further the goals of the Comprehensive Plan update, to provide for orderly future development and growth, desires to establish a period of time in which to complete a review in regard to Mid and High Density Residential development regulations; and WHEREAS, continued refinement of development standards .ensures neighborhood compatibility, minimizes incompatible elements between abutting land uses and contributes to a higher quality of life; and WHEREAS, the City's Comprehensive Plan Update made the following recommendations: Provide an appropriate amount of land for various densities and types of residential uses and ensure the highest quality living environment. Seek to ensure that adjacent land uses are developed compatibly and take measures to mitigate land use transitions with differing intensities. • • Evaluate the appropriateness of design standards that include landscaping, screening, increased lot sizes and setbacks, and other methods to minimize negative effects among different land uses. Determine appropriate residential densities for various areas within the City on the basis of accessibility, utility availability, topography, proximity to shopping areas, and other relevant factors. Update the Zoning Ordinance and Official Zoning Map to reflect identification of various areas of particular densities. NOW THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF LA PORTE, TEXAS: SECTION 1. The City Council of the City of La Porte finds and determines that the premises hereof are true and correct. SECTION 2. The City Council further finds and determines that it is in the best interests of the public health, safety and general welfare of the citizens of the City to place a moratorium on the acceptance for filing and consideration, and the issuance of building permits and all other development and zoning permits, for all properties in the Mid and High Density Residential Districts in the City for a period of one hundred eighty (180) days from the date hereof, and such moratorium is hereby imposed. For purposes of this moratorium, the term "Mid Density and/or High Density Residential Districts", or words of similar import, shall include, but not be limited to development occurring within Zoning Districts R-2, R-3, NC, GC, LI, HI, and/or PUD. SECTION 3. That there is hereby established a moratorium on the issuance of permits for construction of any Mid Density or High Density Residential units within the City of La Porte, Texas for a period of up to one-hundred eighty (180) days from the date of passage of this Resolution. • • SECTION 4. That during the moratorium period no new Mid Density or High Density Residential building permits, or certificates of occupancy shall be issued and no letters of availability for utilities, as well as formal review or action by any City board, commission or department shall be authorized for any new Mid Density or High Density Residential location in the jurisdiction of the City of La Porte as described in Section 2 of this Resolution. SECTION 5. This moratorium shall remain in effect for a period of one-hundred eighty (180) days or until final action is taken on any proposed zoning and/or subdivision regulation changes affecting the Mid and High Density Residential Districts, or until final action is taken regarding amendment of the Comprehensive Zoning Ordinance and Map, and development regulations by the City Council, whichever comes first. SECTION 6. Any property owners subject to this moratorium may apply to the City Council for an exception in the event that a hardship results from its application, and the City Council is authorized to grant an exception to the moratorium imposed by this Resolution only when it finds that such hardship does exist. Any exception so granted shall not be a substitute for enforcement of current zoning, development or building regulations, policies and procedures of the City of La Porte. SECTION 7. This moratorium shall not apply to building permits within previously platted, duly recorded and properly zoned subdivisions approved by the City of La Porte Planning and Zoning Commission. Further, this moratorium does not apply to developments for which administratively complete applications for zoning permits, building permits, special conditional use permits, or any other development permits have been completed and filed with the City of La Porte prior to the passage of this ~J -~J resolution. In such event, the applicant may complete the permit review process and development approval process under existing City of La Porte regulations, policies, and procedures in connection with the proposed application. SECTION 8. The moratorium on the acceptance for filing and the issuance of building permits and all other development permits for new construction in the Mid and High Density Residential Districts for shall expire on July 11, 2002 at 11:59 p.m., Central Standard Time. SECTION 8. This Resolution shall take effect immediately from and after its passage, and it is accordingly so resolved. The City Manager is hereby authorized and directed to obtain, or cause to be obtained, the necessary electronic tabulating equipment, to arrange for the testing thereof as provided by law and to employ a duly qualified manager and a duly qualified tabulation supervisor to perform the duties respectively imposed on them by law with respect to the processing and tabulation of ballots at the Central Counting Station. That all election materials including notice of the election, ballots, instruction cards, affidavits and other forms which voters may be required to sign and all early voting materials shall be printed in both English and Spanish, or Spanish translations thereof shall be made available in the circumstances permitted and in the manner required by law. The City Secretary of the City of La Porte shall forthwith issue Notice of said election by causing a substantial copy of this Ordinance to be published one time in the BAYSHORE SUN, which is hereby found and declared to be a newspaper of general circulation in said City, not less than ten (10) days nor more than thirty (30) days prior to the date of the said election. Section 8. Upon a candidate tendering his application on the form prescribed, the City Secretary shall furnish to such candidate all information relative to the qualifications for the office being sought; the method of placing the candidate's name on the ballot; the amount of the required filing fee; and any other pertinent 9 • • information concerning said election; Section 9. Each candidate for the office of Councilperson-at- Large, Position B, must be a resident elector of the City. Each candidate for the office of District Councilperson must be a resident elector of the City, and must also be a resident of the district for which he files. Section 10. The deadline for a candidate to make application to have his name appear upon the ballot for such election, is hereby designated and established as 5:00 o'clock P.M., Wednesday, March 20, 2002. No application shall be accepted for filing prior to February 18, 2002. The filing fee for each candidate for the office of Councilperson is hereby established as Fifty Dollars ($50.00). The filing fees shall be used to defray the cost of the election, and said fees shall be prorated and any surplus shall be refunded to said candidates. As an alternative to paying a filing fee, a candidate may obtain a place on the ballot by filing a petition as provided for in City of La Porte Home Rule Charter, Article 2.04 c.3. Section 11. Said election shall be held in accordance with the provisions of the City Charter of the City of La Porte, and the general election laws of the State of Texas governing general and municipal elections, so far as same may be applicable thereto. Section 12. Immediately after said election, the officers holding the same shall make and deliver the returns of the results thereof and the accompanying records for use in the official canvass to the City Council of the City of La Porte, and the City Council shall canvass said returns at the earliest practicable time, and shall, immediately after canvassing the returns, declare 10 • the results of the election. u The Mayor shall immediately thereafter deliver to the candidate for whom the majority of votes has been polled for each respective office, a certificate of election. Such elected officials shall assume their duties within ten (10) days thereafter, Sundays excluded, upon their taking the oath of office . Section 13. Each and every provision,. paragraph, sentence and clause of this Ordinance has been separately considered and passed by the City Council. of the City of La Porte, Texas, and each said provision would have been separately passed without any other provision, and if any provision hereof shall be ineffective, invalid or unconstitutional, for any cause, it shall not impair or affect the remaining portion, or any part thereof, but the valid portion shall be in force just as if it had been passed alone. Section 14. This Ordinance shall be in effect immediately upon its passage and approval. Section 15. The City Council officially finds, determines, recites, and declares that a sufficient written notice of the date, hour, place and subject of this meeting of the City Council was posted at a place convenient to the public at the City Hall of the City for the time required by law preceding this meeting, as required by the Open Meetings Law, Chapter 551, Texas Government Code; and that this meeting has been open to the public as required by law at all times during which this ordinance and the subject matter thereof has been discussed, considered and formally acted upon. Seccion 5. El cuarto de conferencia del consejo de la ciudad de La Porte, esta aqui designado como la Estacion Central de Computar para recibir todas Las papeletas de votacion de dicha elecction y Martha A. Gillett es nombrada como la Gerente que precide dicha Estacion Central De Computacion. Dicha Gerente nombrara cualquier asistente para ayudar a recibir Las papeletas de votacion y otros documentos, y podra ejecutar otros trabajos delegados por dicha Gerente concernientes con dicho proyecto. El administrador de la ciudad esta autorizado a obtener o hacer que se obtenga el equipo electronico de tabular necesario, de ordenar la prueba de alli en adelante como es proveido por la ley y de emplear un administrador calificado y a un supervisor de tabulacion calificado para desempenar respectivamente impuestos por la ley con respecto al proceso y tabulacion de papeletas de votacion en la Estacion Central de Contabilidad. • • Seccion 6. Que todo el material de eleccion incluyendo aviso de eleccion, papeletas de votacion, tarjetas de instrucciones, juramentos y otras formas que requieran que el votante sea requerido a firmar y todo el material para la votacion temprana seran estampado en Ingles y Espanol, o la traduccion del Espanol sera disponible el las circumstancias permitidas y en la manera que to requiere la ley. Seccion 7. La Secretaria de la Ciudad de La Porte emitira enseguida un aviso de dicha eleccion al hacer que una copia verdadera de esta Ordenanza sea publicada una vez en el BAYSHORE SUN, el cual se ha encontrado y confirmado ser un Periodico de circulacion general de dicha Ciudad, no menos de diez (10) dias o mas de treinta (30) dias antes de la fecha de dicha eleccion. Seccion 8. Al entregar el candidato su aplicacion en la forma prescrita, la Secretaria de la ciudad, dara a dicho candidato toda la informacion necessaria para la calificacion de puesto que se esta buscando; el metodo de colocar el nombre del candidato en las papeletas de votacion; la cantidad de dinero requerido para registrarse; y cualquier otra informacion neccesaria que tenga que ver con la eleccion. Seccion 9. Cada candidato pars el puesto de Alcalde debera de ser un residente votante de la ciudad. Cada candidato para el puesto de Consejero de Distrito, tambien debera de ser residente del distrito por el cual se esta registrando. Seccion 10. La fecha de vencimiento para que el candidato Naga su aplicacion, pars que su nombre aparezca en las papeletas de votacion, esta aqui designado y establecido como las 5:00 P.M. (cinco de la tarde), Miercoles, 20 de Marzo del 2002. • Ninguna aplicacion sera aceptada para registrarse antes del 18 de Febrero del 2002. El precio del registro para cada candidato pars consejero esta establecido que sera de $50.00, (cincuenta dolares). Este dinero sera usado para costear los gastos de la eleccion, y dicho precio sera prorrateado y si hay sobrante .sera regresado a dichos candidatos. Como alternativa para pagar el registro, el candidato puede obtener un lugar en la papeleta de votacion al llenar una peticion proveida por la Carta constitucional del gobierno propio de la Ciudad de La Porte, Articulo 2,04 c.3. Seccion 11. Dicha eleccion sera llevada a Cabo de acuerdo con las proviciones de la Carta constitucional de La Porte, y las leyes de las elecciones generales del Estado de Tejas de gobernando elecciones generales y elecciones municipales, siempre y cuando esto sea aplicable a ello. Seccion 12. Inmediatamente despues de dichas elecciones, el official encargado hara le entrega de los resultados y de los documentos acomplanantes para el use de una encuesta official del Consejo Municipal de la Ciudad de La Porte; y el Consejo Municipal de la Ciudad interpretara dichos resultados to mas pronto posible, a irunediatamente despues de haberlos interpretado, declararan los resultados de la eleccion. El Alcalde inmediatamente le entregara al candidato por el cual la mayoria han votado para cada puesto, un certificado de eleccion, Dicho official elegido asumira sus responsabilidades en los sigientes diez (10) dias, excluyendo el Domingo, al haber recibido juramento al asumir el cargo. Seccion 13. Toda y Cade provicion, parrafo, oracion y clausula de esta Ordenanza, ha sido considerada separadamente y aprovada por el Consejo Municipal de • la Ciudad de La Porte, Tejas y cada dicha provision pudo haber sido aprovada separadamente sin ninguna otra provision, y si alguna provision de aqui en adelante no es efectiva, invalida inconstitucional, por cualquier motivo, no impedira o afectara el resto de la provicion, o ninguna otra parte, pero la parte valida sera enforzada Como si hubiese sido aprovada separadamente. Section 14. Esta Ordenanza estara en efecto inmediatamente al ser aprovada. Section 15. E. Aviation, Inc. on January 26, 1998. The Agreement is for two (2) acres and twenty-four (24) tie-downs for a twenty (20) year period, with two (2) five-year options. D. E. Aviation has proposed to lease three T-hanger sites and immediately construct two (2) ten-unit T-hangers and one (1) four-unit hanger on sites 1,2 and 3 as shown on Exhibit "A" of the proposed First Amendment to Agreement and Lease. Exhibit "C" is the proposed construction schedule for the three (3) T-hangers. Article IX, 1, C. of the original lease contains provisions for termination of the amendment "If the Lessee shall fail to perform, keep and observe all the covenants and conditions contained in this Agreement and Lease to be performed, kept and observed by it". Additionally, D. E. Aviation proposes to option T-hanger site 4 until December 31, 2004, with a first right of refusal within 30 days of the City receiving an offer to lease T-hanger site 4. Finally, D. E. Aviation proposes to lease, on a year-to-year basis, thirty four (34) tie-downs shown on Exhibit "B", with the City reserving the right to lease the thirty four (34) to a future lessee of the fixed-base operator site identified on Exhibit "B". The proposed lease rate for the three-(3) T-hanger sites is $1,645.00 per year per site, or $4,935.00 per year. The lease rate is subject annually to the Consumer Price Index for all Urban Consumers, with 2001 as the base year. Rental of these sites will commence on August 1, 2002 or upon issuance of a certificate of Occupancy by the City, whichever occurs first. The proposed option is subject to a $500 option fee, with the rental rate per year the same as the individual rental rate for the first three T-hangers. Finally, the lease rate for the thirty-four (34) tie-downs will be 30% of gross revenue or $144.00 per year per tie-down, whichever is greater. The cost of living provision will not apply to the tie-down area. D. E. Aviation has tendered $500.00 for the lease preparation fee, and $500.00 for the option fee. Rental will be billed monthly, and will begin as outlined in the Agreement. WHEREAS, the parties have heretofore entered .into an Agreement and Lease for Fixed Base Operation at the City of La Porte Municipal Airport, dated January 1, 1997; and WHEREAS, the parties hereto desire to enter into a First Amendment to said Agreement and Lease, effective February 1, 2002, for the use of additional premises and facilities at the Airport all as more fully hereinafter set forth; and WHEREAS, the parties agree that the Lease Agreement between the parties dated January 1, 1997, shall remain in full force and effect, except, and to the extent, amended hereby. NOW, THEREFORE, for and in consideration of the mutual covenants and agreements herein contained, the Lessor and the Lessee do hereby mutually undertake, promise and agree,. each for itself and its successors and assigns, as follows: ARTICLE I - TERM OF AGREEMENT AND LEASED PREMISES The term of this First Amendment to Agreement and Lease shall be for the period commencing February 1, 2002, and terminating on the following dates, unless sooner terminated as hereinafter provided: (a) as to the three T-Hangar sites shown on Exhibit "A" attached hereto, incorporated by reference herein and made a part hereof for all purposes, the term of this Agreement shall be for the period commencing February 1, 2002, and terminating January 31, 2022, unless sooner terminated as provided in the Lease Agreement dated the 1st day of January, 1997. The Lessee reserves the option to renew this lease as to the property described in this subparagraph (a), for two consecutive five year terms provided written notice is provided the Lessor within 30 days of lease termination, or termination of the first option term, as the case may be; and • • (b) as to the 34 tie downs shown on Exhibit "B" attached hereto, incorporated by reference herein and made a part hereof for all purposes, the term of this Agreement shall be for a one year period commencing February 1, 2002, and terminating January 31, 2003, unless sooner terminated as provided in the Lease Agreement dated the 1st day of January, 1997. Said lease term shall continue thereafter on a year to year renewal basis, without further action of the parties, unless cancelled by the Lessee by 30 days written notice prior to the expiration of the primary or any renewal term. Lessor reserves the right to cancel this Amended Lease, as to the property described in this subparagraph (b), in the event another party leases from Lessor, the fixed base operator site adjacent to the premises described in this subparagraph (b), and as more fully shown on Exhibit "B" attached hereto, incorporated by reference herein and made a part hereof for all purposes. Lessor shall give Lessee 120 days notice of such cancellation. (c) Lessor grants Lessee in consideration of the payment of a $500.00 lease option fee, a first option, which shall be effective through December 31, 2004, to lease the T- Hangar Site 4, as shown on Exhibit "A", attached hereto, incorporated by reference herein and made a part hereof for all purposes, upon the rental provided for T-Hangar sites in Article III, hereof, and for the term expiring as provided in Article I(a), hereof; provided, however, in the event that Lessor receives a bona fide offer from another party, for the lease of said T-Hangar Site 4, Lessee shall have 30 days from written notice by Lessor . to Lessee, to exercise Lessee's option. If Lessee fails within said 30 day time period, to exercise said option agreement on T-Hangar Site 4, and enter into an amended lease with Lessor for T-Hangar Site 4, said option herein granted to Lessee shall be null and void, and Lessor may lease T-Hangar Site 4 to another party, without further rights or claims by Lessee. The term of the original Agreement and Lease, dated January 1, 1997, shall continue to be for the period commencing on January 1, 1997, and terminating December 31, 2017, unless sooner terminated as therein provided. Lessee reserves the option to renew the original Lease for two consecutive five year terms provided written notice is provided the Lessor within 30 days of the lease termination, or the termination of the first option term, as the case may be. The construction schedule for the three T-Hangar sites shown on Exhibit "A", is attached hereto as "Construction Schedule (Exhibit "C")", incorporated by reference herein, and made a part hereof for all purposes. 2 • • ARTICLE III - RENTALS AND CHARGES Article III shall be amended by adding the following subparagraphs: l.a For the Leased Premises, as described in Article II, subparagraph (a), of the three T-Hangar sites as shown on Exhibit "A", and subparagraph (c), the option T-Hangar Site 4, rental shall be paid annually in advance in an amount of $1,645.00 per year, per T-Hangar site, or $4,935.00 per year for the three T-Hangar sites, based on January 1, 2 0 02 , rental rate of $ 0.14 per square foot per year. Rental for subsequent years under this paragraph shall be subject to increase in accordance with any increases in the Consumer Price Index for All Urban Consumers, with 2001 as a base year. Rental for the T- Hangar area shall commence on the earliest to occur of August 1, 2002, or the issuance of a certificate of occupancy by the City of La Porte. i.b For the Leased Premises, as described in. Article II, subparagraph (b), being the 34 tie down areas described on Exhibit "B" to this Amended Lease Agreement, the following rental: A. Lessee shall pay to Lessor, as additional rent, a sum equal to thirty. percent (30%) of the gross revenues obtained from rental of tie-down spaces; provided, however, Lessee shall guarantee Lessor a yearly rental of not less that $144.00, multiplied by the 34 tie-downs leased; B. Rental for the 34 tie-downs shall be paid monthly, in a sum equal to 1/12th of the annual rental due, in advance, on the 1st day of each and every month. Cost of living indexing shall not apply to the rental and charges for the tie-down areas. Except and to the extent as amended hereby, the Agreement and Lease for fixed base. operation at City of La Porte Municipal Airport, between the City of La Porte, as Lessor, and D.E.
