MINUTES OF THE SPECIAL CALLED REGULAR MEETING AND WORKSHOP MEETING OF THE
LA PORTE DEVELOPMENT CORPORATION
BOARD OF DIRECTORS
July 26, 2010
1. Call to order
President Richard Warren called the La Porte Development Corporation Board meeting to order at 5:04p.m.
Members Present: Woodard, Clausen, Warren, Pizzitola and Engelken
Members/Officers Absent: None
Staff Present: Assistant City Manager John Joerns, Assistant City Attorney Clark Askins, City Secretary
Martha Gillett, Finance Director Michael Dolby, City Attorney Knox Askins, Assistant City Secretary Sharon
Harris, Parks and Recreation Director Stephen Barr, Police Officer Chris Paige and Main StreeUEconomic
Development Coordinator Stacey Osborne.
Others Present: Patricia Muston, Dottie Kaminski, Kathryn Aguilar, Wayne Jones, Paul Chavez, Fred
Muston, David Janda and Adam Yanelli.
2. Presentation - Recognition of Patricia Muston's years of dedicated service to the community by serving on
the La Porte Development Corporation Board - S. Osborne
Economic DevelopmenUMain Street Coordinator Stacey Osborne recognized Ms. Muston for years of
dedicated service to the community by serving on the La Porte Development Corporation Board and
presented her with a plaque.
3. Consider approval or other action of the June 7, 2010 minutes of the Regular Meeting of the La Porte
Development Corporation Board of Directors - M. Gillett
A motion was made by Board Member Engelken to approve the June 7, 2010 minutes of the Regular
Meeting of the La Porte Development Corporation Board of Directors. Motion was seconded by Board
Member Clausen. The motion carried.
Ayes: Woodard, Clausen, Warren, Pizzitola and Engelken
Nays: None
Abstain: None
Absent: None
4. Consider approval or other action of a Development Agreement by and between the La Porte Reinvestment
Zone No.1, La Porte Redevelopment Authority, the City of La Porte, the La Porte Development Corporation
and Harris County, Texas, providing for reimbursement of advance funding for the Sylvan Beach Shoreline
Protection & Beach Nourishment Project - J. Joerns
A motion was made by Board Member Engelken to approve a Development Agreement by and between the
La Porte Reinvestment Zone No.1, La Porte Redevelopment Authority, the City of La Porte, the La Porte
Development Corporation and Harris County, Texas, providing for reimbursement of advance funding for the
Sylvan Beach Shoreline Protection & Beach Nourishment Project. Motion was seconded by Board Member
Warren. The motion carried.
Ayes: Woodard, Clausen, Warren, Pizzitola and Engelken
Nays: None
Abstain: None
Absent: None
5. Close the Special Called Regular Meeting and Open Workshop Meeting
The Special Called Regular Meeting was closed and the Workshop Meeting was opened at 5:12 p.m.
A. Discussion of Fiscal Year 2010-2011 Budget for the La Porte Development Corporation Board - S.
Osborne/J. Joerns
Finance Director Michael Dolby provided an overview of the Fiscal Year 2010-2011 Budget for the La Porte
Development Corporation Board.
Economic Development Coordinator Stacey Osborne provided an overview of the budget expenditures.
6. Close Workshop Meeting and Open Regular Meeting
President Warren closed Workshop Meeting and reconvened the Special Called Regular Meeting at
5:26 p.m.
7. Consider approval or other action adopting the Fiscal Year 2010-2011 Budget for the La Porte Development
Corporation Board - S. Osborne/J. Joerns
Motion was made by Board Member Engelken to approve adopting the Fiscal Year 2010-2011 Budget for
the La Porte Development Corporation Board. Motion was seconded by Board Member Engelken. The
motion failed.
Ayes: Clausen and Engelken
Nays: Woodard, Warren and Pizzitola
Abstain: None
Absent: None
Motion was made by Board Member Pizzitola to table this item. Second by Board Member Woodard.
The motion carried.

8. Executive Session - pursuant to provision of the Open Meetings Law. Chapter 551 Texas Government Code,

SUMMARY & RECOMMENDATION
The 2010/2011 Budget went before Council the week of August 9, 2010. Account 038 is funded by the Y2 cent Type
B Sales Tax that this Board oversees. We would like you to review the budget summary and let us know of any
questions, problems or concerns you may have.
During the Budget Hearings with City Council, the management of the Golf Course expressed a need for additional
bulkheads to be installed. Council requested that $180,000 of the cost of those bulkheads come from the Economic
Development Corporation. If this is amenable to you, we will need to include that expenditure in the 2010-2011
budget.
After the workshop we would like the Board to consider action adopting the 2010-2011 budget for the La Porte
Development Corporation Board prior to us submitting the Budget for a public hearing and Council's ratification in
September.

Scope of Sen'ices Suntmmy
The Economic Development Division works with the Economic Development Corporation Board to set
direction and polices related to economic development projects in the City. The Department and its activities
are funded through the collection of a 1/2 cent sales tax which must be spent on economic development projects
related to capital investment and job creation. The Board recently completed refurbishment of the city website,
an Economic Development Strategic Plan and a community branding campaign. Each of these initiatives was
designed to assist the City with focused, targeted marketing efforts that will effectively communicate why La
Porte is the ideal community to establish a business. These activities also allow the City to better emphasize the
many amenities La Porte has to offer such as affordable housing, parks, green space, hike & bike trails,
outstanding schools and Galveston Bay activities.
Projects for the upcoming FY 2010-11 include the completion of the Gateway Enhancements on Main Street,
new historical markers for Main Street and elsewhere, and a strong tourism marketing campaign. We will
continue to budget $200,000 for fayade grants for businesses along Main Street. We will also continue to work
with our community economic development paltners on business retention and expansion programs, small
business development, marketing efforts, workforce initiatives, transportation issues and quality of life issues
such as green space development and air and water quality. The Economic Development Coordinator will also
serve as the Business Ombudsman for the City of La Porte, working with new and existing businesses to help
them through the planning and zoning processes.

SUMMARY & RECOMMENDATION
Alton Ogden and adjacent owners desire to develop approximately 20 acres of land adjacent to South 14th Street
between West "D" and West "0" Streets (Sector 23 Area). He has recently acquired several properties in the area in
order to aggregate land for development. Additionally, several adjacent property owners have joined Mr. Ogden in
filing an application to close the existing rights-of-way required to facilitate the development.
On April 28th of 2008, Staff requested direction from Council on Mr. Ogden's request to apply the funds from the
right-of-way closings toward the cost of constructing South 14th Street which is integral to the development. At that
time, Council advised Staff that it was agreeable to Mr. Ogden's request to partner in constructing South 14th Street
using the abandonment proceeds.
Currently, Mr. Ogden's Street/Alley Closing application is administratively complete. A subsequent appraisal of the
rights-of-way to be closed has established fair market value at $1.75 per square foot. The application calls for
closing 180,120 square feet of right-of valued at $315,210. By ordinance, the value ofthe subject rights-of-way will
be discounted 25% resulting in total closing fees of $236,407.50.
The total cost estimate for construction of Mr. Ogden's project is $612,240 and is detailed below:
. Paving: $174,240
. Drainage: $215,000
. Sanitary Sewer Extension: $10,000
. Water Extension $117,000
. Engineering (% will apply to each party) $55,000
. Surveying (% will apply to each party) $30,000
. Landscaping $11,000

Upon applying all funds from the proposed street & alley closings, the project will require additional funding of
$375,832.050 to be constructed.
Staff requests direction from the Board on determining if the Economic Development Corporation will further
participate in infrastructure requirements of the Sector 23 development.

Type B Board to initiate projects falling under the definition of "project" in Chapter 501 of the LGC. Section 501.103 says

found by the board of directors to be required or suitable for infrastructure necessary to promote or develop new or
expanded business enterprises, limited to ... streets and roads, rail spurs, water and sewer utilities, electric utilities, or gas
utilities, drainage, site improvements, and related improvements..... (emphasis added). Several AG opinions support the
use of Development Corporation funds to build streets, so long as the board of directors makes a factual determination
that the infrastructure development "promotes or develops new or expanded business enterprises". Closest on point is
Opinion LO-95-072, which concerned the development of sanitary sewer lines in an existing residential subdivision. While
the AG expressed doubt that the installation of the sewer line in a residential development had a nexus with "new or
expanded enterprises", it found that it couldn't exclude the possibility as matter of law. I don't believe the fact that the
proposed sewer main was in an existing development was an issue;the question centered around the fact that it serviced
a residential development. Appears that an infrastructure project will satisfy the defintion of project even if within existing
street, so long as it can shown to have a direct impact on development of new or expanded business enterprises.

Would caution that unless this proposed expenditure clearly falls under a previously approved project, the Type B Board
will need to hold a public hearing, as required by LGC 505.159 and 505.160.
