MINUTES OF THE SPECIAL CALLED REGULAR MEETING AND WORKSHOP
LA PORTE DEVELOPMENT CORPORATION
BOARD OF DIRECTORS
January 10, 2011
1. Call to order
President Richard Warren called the La Porte Development Corporation Board meeting to order at 5:00
p.m.
Members Present: Woodard, Warren, Pizzitola, Zemanek, Ojeda, Clausen and Engelken
Council Members Present: Jay Martin and Daryl Leonard
Members/Officers Absent: None
Staff Present: City Manager Ron Bottoms, Assistant City Attorney Clark Askins, Finance Director Michael
Dolby, Assistant City Manager Tracy Leach, City Secretary Martha Gillett, GIS Manager Brian Sterling,
Planning Director Tim Tietjens, Sr. Engineer Julian Garza and /Economic Development Coordinator
Stacey Osborne.
Others Present: Karen Rigby, Ted Powell, Kathryn Aguilar, Phillip Hoot and David Janda.
2. Consider approval or other action of the November 15, 2011 minutes of the Special Called Regular
Meeting of the La Porte Development Corporation Board of Directors - M. Gillett
A motion was made by Board Member Clausen to approve the November 15, 2010 minutes of the Special
Called Regular Meeting of the La Porte Development Corporation Board of Directors. Motion was
seconded by Board Member Engelken. The motion carried.
Ayes: Woodard, Warren, Pizzitola, Zemanek, Ojeda, Clausen and Engelken

3. Presentation of Projects of the La Porte Economic Development Corporation - S. Osborne
La Porte Economic Development Corporation Coordinator Stacey Osborne made the presentation and
answered the Board's questions.
4. Close Regular Meeting and Open Workshop Meeting
Chairman Engelken closed regular meeting and opened Workshop Meeting at 5:10 p.m.
Assistant City Attorney Clark Askins began the discussion of the Economic Development Corporation law,
rules and regulations, including differences from rules governing municipal government/city councils, in the
State of Texas
The board recommended the By-Laws be changed to state they will follow the State Purchasing laws.
The board directed staff to place this as an action item to change the By-Laws at a future meeting.
Chairman Engelken closed the Workshop Meeting and reconvened the Regular Meeting at 5:28 p.m.
5. Executive Session - pursuant to provision of the Open Meetings Law. Chapter 551 Texas Government
Code, Sections 551-071 through 551.076, 551.087 (consultation with attorney, deliberation regarding real
property, deliberation regarding prospective gift or donation, personnel matters, deliberation regarding
security devices, or excluding a witness during examination of another witness in an investigation,
deliberation regarding Economic Development Negotiations).

SUMMARY & RECOMMENDATION
City Council and the Economic Development Corporation (EDe) approved the funding of$75,000 for way-fmding
signage for the City of La Porte as part of the Fiscal Year 2009-10 budget. Staff has been working with Landscape
Architects Clark Condon & Associates to create the design for the signs and establish the locations where the signs
should be erected. Clark Condon presented several design options to staff, and we narrowed down the choices to the
three you will see tonight. They also presented suggestions for sign placement in the City.
This evening we will present the three design options and discuss the placement of the signs. Representatives from
Clark Condon will be available to answer any technical questions you may have. We would appreciate your
guidance in moving forward.

SUMMARY & RECOMMENDATION
City Council and the Economic Development Corporation (EDe) approved the funding of $200,000 for an
enhancement grant program in the Main Street Overlay district as part of the Fiscal Year 2008-09 budget. At the
time, the grant program was being administered in conjunction with the La Porte Main Street Program, and to
receive grants the applicant had to first obtain a Main Street Design Certificate, which was contingent upon
adherence to the now-defunct Main Street Design Guidelines. Because the City no longer has a Main Street
Program, and because the Design Guidelines were never approved or enforced in the Main Street District, that part
of the application is now null. Staff and the Enhancement grant Evaluation Committee also noticed that the original
grant application was repetitive and difficult to understand and complete, and they recommended that we revise it to
eliminate language that no longer applies and to streamline the application process.
Until recently, we did not have any applicants for the grant program, and staff decided to wait to revise the grant
application until after we had gone through the application process with a single grant applicant. Sandra Baldwin of
A Statement in Glass was our first applicant, and after going through the process with her, we came up with the
attached revisions to the grant application.
In addition to the revisions we are suggesting tonight, many business owners whose businesses are located outside
of the Main Street Overlay have requested that they also be included in the Enhancement Grant Program, and I told
them I would take it to you for your consideration.
I am including the original application-which consists of both a five-page Design Certificate Application and a
nine-page Enhancement Grant Application-as well as my revised application that consists of three-page Program
Description and a two-page Grant Application, the Enhancement Grant Evaluation form which we used to evaluate
the first grant, and a map of the Main Street District.
Upon review of these revisions, we would like EDC Board Members to provide any feedback you may have about
the new application. Once it has been amended to your approval, we will submit it to the City Attorney for a legal
review before distributing it to potential applicants.
Staff recommendation is to proceed with the application as revised, and to consider adding the rest of the Main
Street District to the Enhancement Grant Program.

WHEN A MAIN STREET DESIGN CERTIFICATE Is NOT REOUIRED
Ordinary maintenance and repair is any work, the sole purpose and effect of which is to correct deterioration,
decay or damage, including repair of damage caused by fire or other disasters and which does not result in a
change in the existing appearance or materials of a property. General maintenance that does not alter the
exterior appearance of the building or site does not require a Design Certificate; however, some ordinary
maintenance and repair may still require a building permit. Some examples of work not requiring a certificate
may include, but are not limited to the following:
· Replacement of existing mechanical equipment;
· Repairing or repaving of flat concrete work in side and rear yards;
· Roofing work, if no change in appearance occurs; such as color
How To ApPLY FORA MAIN STREET DESIGN CERTlFlCA TE
1. Contact the Main Street Coordinator (281-470-5017) as early on in your project as possible. After an
initial consultation, the coordinator will schedule a predevelopment meeting with you and the Main Street
Design Assistance Review Team (MS DART). This will give you an opportunity to receive guidance on

acceptable designs and ask questions before you begin the process of planning your project, as well as
familiarize the MS DART with the general nature of your project.
2. Applications for a Main Street Design Certificate (MS DC) must be consistent with the City's Building,
Zoning, and Fire Codes and go through the standard permitting process. Receipt of a Main Street Design
Certificate is required before the Permitting Division or Planning Department may approve your plans.
3. Submit your completed Main Street Design Certificate packet to the Main Street Development office at
604 W. Fairmont Parkway. The packet should include the following:

FACTORS CONSlDEREDFoR CERTIFICATION .. ...
Before approving an application, the MS DART must find that the application satisfies the following general
criteria:

The architectural and historic integrity of an illdividual historic structure is preserved;
New buildings or additions should be designed compatible with the nmge of architectural styles
found on the north side ofthe300 block ofMai -from the late 1800's to the 1950's;
Existing structures should either con:vert to their original historic condition or be renovated to resemble
their current look;
The overall character of the Main Street District is protected and enhanced.

REVIEW & ApPROVAL PROCESS
1. Upon receipt, the Main Street Coordinator will review the packet to verify all pertinent information is
enclosed. Once the completed packet is received it will be forwarded to the MS DART for their
recommendation. If packet is incomplete, you will be notified and may be asked to pick it up and return it
completed.
2. After due consideration, the MS DART will approve or disapprove the application by majority vote, and
be signed by the City Manager's office. The best assurance you have for a project to be approved is to
work closely with the MS DART at every juncture of your project. In an effort to make it feasible for you
to resubmit a successful packet, they will state the reasons it was denied. The decisions made by the Main
Street Design Assistance Review Team may be appealed to the Planning and Zoning Commission if
resolution is not obtained.
3. Upon receipt of your Main Street Design Certificate, the Permitting Division and Planning Department
may proceed with any applications you have on file with them. They cannot approve permits without a
design certificate.

The Main Street EQhancement GraI\t (MS EO) .provides matchfM funds to enhance existing building
design in the Main Street Design Certificate (MS DC) area (see attached map). Owners and tenants may
be eligible for the reimbursement grant as incentive to partndr with. the City of La Porte to achieve a
mutual goal of visually enhancing your business and the Main Street District.

The review criteria may incJude,but shaU not be limited to, project compliance with all current
building standards, perceived need for propOsed renovations to bttilding, historical accuracy of
proposed renovations, design quality of the proposed renovations, the compatibility of design in
relation to other buildings, projecteotllpatibility with streetscape objectives and project compatibility
in relation to downtown development goals at time of application.
Definition of the MS EO: The La Porte Development Corporation is providing funds for up to a 50/50%
reimbursement match for no less than $2,500 and no more than $25,000 per grant for work approved by
the Main Street Design Assistance Review Team (MS DART). Multiple applications may be submitted
for the same property of an aggregate up to $25,000 within a three (3) year cycle from the date of the
initial grant on the same property.
Example: If in year one the applicant is awarded $15,000, and in year two they are awarded $7,000, in
year three they may be eligible for a matching grant of up to $3,000.
Reimbursement grants are available for the following types of projects:
· FaJ;ade Rehabilitation/Enhancement
Definition: Work done on existing structures, such as removing non-historic/added facades,
repointing brick or replacing mortar joints, replacing or restoring cornices, removing paint from
brick, replacing windows, restoring transom windows, repairing facades, etc.

Definition: Replacing, adding or repairing awnings, canopies, porches, & signs. Signs may
include signboards, projecting signs, pedestrian signage, window signs, hanging signs, and
awning/canopy sign.
o Beautification Projects
Definition: This may include public art, landscaping, and other beautification projects as
approved by the Main Street Design Assistance Review Team.

3. In general, grants are available for converting existing structures to the original historic condition or to
renovate them to resemble their current 100k.
4. Grants will be processed and considered for award on, a first-come, first-served basis until funds are
depleted, or Wltil the program ends, whichever comes first. .
5. No grants will be awarded for work that has already been started or completed, or for work that is
covered by insurance. If desired work is above what insurance will pay and is considered an upgrade
and enhancement in the opinion of MS DART it may be eligible for grantfunds.
6. An grants will be awarded on a reimbursement basis once completed-work has been verified by the
MS DART as compliant with the plans proposed in the approved application. Any deviation from the
approved grant project may result in the total or partial withdrawal of the grant.
7. All submitted work will be reviewed and grants awarded by the MS DART based upon general
application of guiding principles, such as: .

8. Grant applications and awards can be made in any of the reimbursable activities listed above and may
be combined for any single property or project. An applicant is defined as an owner, tenant, or
combination thereof occupying an eligible property within the MS ADS area. A single owner of
multiple properties may apply for grant funds for each property owned but match must be for no less
than $2,500 and may not receive more than $25,000 per property in a three (3) year period of time.

ninety (90) days prior to the Application request. Bids shall be submitted on the contractor's or
project architect's letterhead and shall contain the contractor's name, address, telephone number
and shall itemize the bid in a manner that allows the MS DART to determine the bid components
and authenticity ofthe bid.
(d) Applicants receiving approval by the MS DART shall commence construction described in the
Application within ninety (90) days from the date the grant is awarded. All Applicants must
complete the construction described in the Application within one (1) year from the date the grant

the date the grant is approved or complete construction within one (1) year from the date the grant
is approved, the Applicant may submit a written request for an extension for the commencement

good cause determined solely by them. The extensions, if granted, shall be for the term and for

condition, or to renovate them to resemble the buildings currently on Main Street.
3. Grants will be processed and considered for award on a first-come, first-served basis until funds
are depleted or until the program ends, whichever comes first.
4. No grants will be awarded for work that has already been started or completed, or for work that
is covered by insurance. If desired work is above what insurance will pay and is considered an
upgrade and enhancement in the opinion of the ~G~C, it may be eligible for grant funds.

approval from the La Porte ~conomic Development Corporation (~DC). The review criteria
includes the following:

. That the project will add to the beautification of Main Street
. That the project will enhance Main Street's appeal to new businesses and visitors

APPLlCA liON PROCESS
1. Determine eligibility: Discuss project plans with Main Street/Economic Development
Coordinator. Coordinator will set up a pre-development meeting with the EGEC.
2. Fill out the application and sign the agreement form. All grant applications must include the
following:
a. A scale drawing by the project architect or design professional of all grant work.
b. Samples-e.g. paint samples, fabric swatches, sign material, etc.-that will enable the
EGEC to envision the finished project.
c. Itemized work estimates on all project work from contractors or project architects.
Self-contracted work will be reimbursed for actual legitimate expenses, excluding
labor.
d. Photographs of the building's exterior. The Applicant shall be required to provide
before and after photographs of the building before the reimbursement grant can be
awarded. For the initial application, before photographs will suffice, but photographs
of the completed project must be submitted before the grant can be considered for
approval.
3. Return the completed application form, with all applicable items, to the Economic
Development Office, 604 W. Fairmont Parkway, La Porte, TX 77571.
4. Application will undergo an approval process, which includes but is not limited to the
following:
a. All projects must meet current building standards and codes, as well as building
permit requirements.
b. The EGEC will only consider applications that have been properly and fully
completed and which contain all information requested in the application and/or by
the committee.
c. All construction bids submitted by the Applicant must be current and must be dated

members of the Committee. The extensions, if granted, shall be for the term and for
the conditions determined exclusively by the ~G~C. An extension denial cannot be
appealed and shall be final.
e. As a condition of this grant Application, the Applicant consents and shall allow the
~G~C to request city inspections to determine that the grant. if awarded, will not be
used for construction on any building that is not in compliance with the City Municipal
Codes and Ordinances that are applicable to the construction contemplated in the
application.
f. The ~G~C and ~DC shall have sole discretion in awarding grants. They shall award
grants considering the amount requested. grant funds available, the guidelines of the
grant program, condition of the building in which the grant funds will be used,
economic impact, other grant requests, the type and nature of the construction, and
the proposed construction results considering the grant program.
g. No Applicant has a proprietary right to receive grant funds. The ~G~C shall consider
any application within its discretionary authority to determine what grant amount
would be in the best interest of the grant program.
h. The Applicant shall be required to furnish photographs of the building's exterior, and
any other site locations that are included as part of the application request and shall
provide photographs after the construction is completed as a condition of final grant
disbursement.
I. The EGEC has the final discretion with regard to funding and reserves the right to
recommend modifications or reject any project or elements of any project.
5. Reimbursement. When the entire grant project has been satisfactorily completed, the
Applicant shall present the ~conomic Development Office with the following:
a. Copies of all paid invoices, including copies of cancelled checks and/or credit card
receipts for a single payment reimbursement of the approved funding
b. Photographs of all completed work
6. When the project has been reviewed and signed off by the ~G~C and their recommendations
have been presented and approved by the EDC, a reimbursement check will be issued.

At the January 10,2011 meeting of the EDC, Board Member and Councilmember John Zemanek requested a list of
businesses that came to the City of La Porte in calendar year 2010 because of the EDC. The requested list is
attached, and I will be happy to answer any questions you may have about them.

Capital Investment: $7M +

The Gtyof La Porte announced that they were selling the 81-acre tract of land in the Port/Bayport
area in October, 2010, and that it would be marketed by Cushman & Wakefield. I added that
property to the list of available properties in the Gty, and we submitted it for several projects with
the Governor's office. The property actually made the short list for a Korean company called
Daiyang Metals. That company sent representatives to the states for a tour of the short-listed
properties, hosted by the Bay Area Houston Economic Partnership (BABEP) and the Greater
Houston Partnership (GHP). The tour included a visit to the La Porte property and to La Porte Gty
Hall, and I was included as a representative from the Gty. The company ended up locating in
Pasadena, but shortly thereafter Paul Chavez from BABEP suggested that I speak to Les Bujko
from Kuraray because he had heard that they were seeking property that matched the description of
our property. I answered Mr. Bujko's questions about the Gty and put them in touch with Cushman
and Wakefield, and they ended up being the winning bid on the property.
GIS
Capital Investment: $2.9M
Expected Job Creation: 13
GIS moved into the location on their own, based on information they had gathered about La Porte's
location and industrial district incentives. We assisted them in creating a map of the property that
they used in all of the news releases about the project, and we have been working with the company
to help them publicize their new location in La Porte.
Invista (Expansion)
Capital Investment: $37.5M
Expected Job Creation/Retention: 133
This was an expansion project of the Texas Enterprise Zone. Invista learned about the Texas
Enterprise Zone from the Economic Alliance Houston Port Region. Mter learning more about the
program, they enlisted the assistance of the tax firm Price Waterhouse (})oper to help them
complete the application. I had met the representative from Price Waterhouse (})oper at the 1EDC
Wmter Meeting in January, 2010, and he contacted me to help with the Gty's part in the application,
which included presenting the project to (})uncil for their approval. During the process of

completing the application, Mr. Smith also garnered the assistance of BAHEP in gathering needed
data and information about the plant and its operations in the Bay Area. The application was
approved by the State in August, 2010.
E. 1. DuPont de Nemours (Expansion)
Capital Investment: $39.3M
Expected Job Creation/Retention: 490
TIlls was another expansion project of the Texas Enterprise Zone, also recommended by the
Economic Alliance Houston Port Region. I worked with the plant manager and the representative
from Deloitte & Touche to complete the application and presented the project to Council for their
approval. The project is currently being reviewed by the State, and we expect that it will be
approved.
Bostco
Capital Investment: more than $100M
Expected Job Creation/Retention: 70 permanent; 200 - 300 temporary construction
Bostco approached me in August to discuss some boundary issues with their property in the
Battleground Industrial District. Yau may remember it because we were using the code name
"Project Spilled Milk" at the time, which received a great deal of interest. I helped answer their many
questions, working with my partners in both the Alliance and BAHEP to find appropriate contacts
and steered them towards the appropriate contacts at the Port and elsewhere so they could figure
out their property issues. Now that they are moved into the property, we have been helping them
with getting utilities, emergency services, etc. set up and helping them with an Industrial District
Agreement.
MAIN STREET BUSINESSES
There were several business owners who chose to open their businesses on Main Street in 2010.
While their reasons for locating on Main Street varied, all of them cited the increased traffic and
attention on Main Street as a reason for locating there, and that increased traffic and attention can
be attributed to the infrastructure improvements made by the EDC in the last few years.
These businesses will add minimally to the Otis tax revenues and provide additional jobs, but
perhaps even more importantly, they add to the quality of life for the residents of La Porte, and help
attract additional businesses to the area and enhance our revitalization efforts in the Main Street
District.

to improve their existing facades, largely because of the improvements made on either end of Main
Streets through projects of the EDC
