Gentlemen
This letter will serve to confirm the agreements reached between
representatives of Bickham Industries Inc and the City of La
Porte concerning the improvement of the Old La Porte Road right of
way
Attached to this letter as Exhibit A is a plat showing the
relative locations of the private street section adjoining the
Bickham Industries Inc site1 and the public right of way per deed
description adjacent thereto also adjacent to the Bickham
Industries Inc site1 and the portion of the public right of wayadjacenttoprivateresidentialpropertiesAttachedtothis
agreement as Exhibit B is a metes and bounds description of the
public right of way and attached to this agreement as Exhibit C
is a metes and bounds description of the private right of way
Bickham Industries Inc will assume responsibility for the
performance of the following
1 Bickham Industries Inc agrees to complete the paving of the
Private right of way as described on Exhibit C as well as
that portion of the public right of way per deed dedication
adjacent thereto and shown as the area of private Maintenance
on Exhibit An attached hereto Following paving Bickham
Industries Inc agrees to permanently maintain this portion of
the paved right of way Bickham Industries Inc will be
responsible for the receiving of quotes hiring and supervisionofthecontractorsforthepavingofthatportionoftherightofwayandpayingallbillsforlaborandmaterialsforthe
construction of such paving
2 Bickham Industries Inc further agrees to pave the public
portion of the Old La Porte Road right of way on its existingalignmentfrom26thStreetwesterlytotheBickhameast
property line being the portion of the right of way described
by metes and bounds as public right of way on Exhibit Bn
attached hereto and made a part hereof for all purposes and

being the portion of public street subject to publicmaintenanceshownonExhibitAattachedheretoAll pavingwillbetoCityofLaPortespecificationsTheCityofLa
Porte will accept this public portion of the paved right of wayofOldLaPorteRoadforpermanentmaintenanceuponits
completion by Bickham s contractor Bickham Industries Incwillberesponsibleforthereceivingofquoteshiringand
supervision of the contractors and payment of all bills forlaborandmaterialforsuchpavingTheCityofLaPorte
reserves the right to approve the contractor contract
documents insurance etc Work is to be performed according tothespecificationsrecommendedbyAvilesEngineeringCorporationinMay1989AnyadditionalbasematerialsuppliedbytheCityofLaPortewillbespreadmixedandcompactedbytheBickhams
contractor
3 Bickham Industries Inc agrees to execute and deliver to the
City of La Porte easements for existing City of La Porte water
and sewer mains in place In addition the City of La Porte
shall have the right under the terms of such easement to
construct other and further water sewer and public drainagefacilitieswithinthe60rightOfwayofOldLaPorteRoad
described on Exhibit C attached hereto as may be necessaryIncludedintheeasementrightsaretherightofentryonthe
paved portion of such road for City of La Porte and other publicutilityserviceandemergencyvehicles
The City of La Porte will assume responsibility for the performanceofthefollowing
1 The City of La Porte agrees to prepare plan profile drawings forthepublicportionoftheroadwayimprovementAnyshortagein
base material will be supplied by the City material only
2 The City agrees to prepare drawings for drainage improvementsforbothpublicandprivatesectionsoftheroadway
3 The City agrees to perform excavation and placement of drainagestructuresforboththepublicandprivatesectionsofthe
roadway and to return the surface of driveways to pre existingcondition
If this letter accurately sets forth your understanding of the terms
and provisions of the agreement between Bickham Industries Inc and
the City of La Porte please sign and return one copy of this letter
to the City of La Porte retaining the other copy as your copy of
the agreement

mentioned in that certain instrument where by Frederick N
Staashen conveyed Lots 8 and 9 of the F A Staashen Subdivision
to A W Bill on April 26 1948 as evidenced by the instrument
recorded in Volume 1760 Page 93 Harris County Deed Records
This particular part of Old La Porte Houston Road is more
particularly described by metes and bounds as follows
Beginning at the Northwest corner of the aforementioned 2 0
acre Wayne Shireman Tract which is also the Northwest corner ofthatcertain07467acretractoflandconveyedbyDCAllento1WBickhamJronAugust271979asevidencedbythe
instrument recorded under Harris County Clerk s File No G
