For the sum of $10.00 and other good and valuable ��1),

general partnership, doing business in Harris County, Texas, 444A"'
under the assumed name of HOUSTON ASSOCIATES-CALIFORNIA GENERAL ��"�
PARTNERSHIP, (hereinafter called "HOUSTON ASSOCIATES") to they
CITY OF LA PORTE, receipt and sufficiency of which is hereby
acknowledged and confessed by the CITY OF LA PORTE, and for
which no lien, express or implied, is hereby created or
retained, the CITY OF LA PORTE, for itself and its successors
and assigns, hereby makes the following representations and
agreements unto HOUSTON ASSOCIATES, its successors and assigns:
1. Whereas the •CITY OF LA PORTE is the grantee named in
that one certain Utility Easement dated October 21, 1982, filed
:for record under Clerk's File No. J609017 in the Official
Public Records of Real Property of Harris County, Texas, a true
and correct copy of which is attached hereto and made a part
hereof and marked Exhibit A, hereinafter called "Utility
Easement", said CITY OF LA PORTE hereby represents and agrees
that the CITY OF LA PORTE has made no conveyance or assignment
of such Utility Easement,
2. The CITY OF LA PORTE hereby agrees that HOUSTON
ASSOCIATES and its successors and assigns may build such
private roads and may grant such utility easements to public
utilities providing such services as telephone, gas, and
electrical and other utilities over, under, on, and through
such Utility Easement as may be reasonably necessary for the
management and development of the following property by HOUSTON
ASSOCIATES and its successors and assigns:
That one certain 28.2125 acre tract of land being part of
and out of Lots 29, 28, 27, 26, and 25, Strang Subdivision
per map or plat of said Subdivision recorded in Volume 75,
Page 22 of the Deed Records of Harris County, Texas, said
28,2125 acre tract of land being more particularly
described by metes and bounds as set forth in the attached

exhibit dated December 17, 1990, prepared by Don Denson,
Registered Professional Land Surveyor No. 2068, State of
Texas, entitled "Field Note Description", marked Exhibit B
and made a part hereof as if set forth herein verbatim.
3. Without limiting the above and foregoing, the CITY OF
LA PORTE expressly grants HOUSTON ASSOCIATES and its successors
and assigns the right to create an easement and right-of-way
on, under, over and across the following described portion of
the above described property:
That one certain ten (10) foot strip of land lying over and
across the above described property said ten (10) foot
strip of land being more particularly described by metes
and bounds as set forth in the attached

Denson, Registered Professional Land Surveyor No. 2068,
State of Texas, entitled "PUBLIC UTILITY EASEMENT", marked
Exhibit "C" and made a part hereof as if set forth herein
verbatim.
The CITY OF LA PORTE understands and agrees that such "PUBLIC
UTILITY EASEMENT" crosses on, over, under, and through the
Utility Easement. Such right-of-way, easement, rights, and
privileges herein granted shall be used only for the purpose of
placing, constructing, operating, repairing, maintaining,
rebuilding, replacing, relocating and removing gas, electric,
telephone, and other utility lines, f rm thO " use

4. The rights, and privileges herein granted shall be
perpetual.
5. The easement, rights, and privileges granted herein are
non-exclusive and the CITY OF LA PORTE reserves and retains the
right to convey similar rights and easements to such other
persons as it may deem proper provided that such conveyance
shall not unreasonably interfere with the rights and privileges
herein granted.
6. This Agreement shall bind and inure to the benefit of
the respective parties named herein, their personal
representatives, successors, and assigns.
