ORDINANCE NO. 1409
AN ORDINANCE PROVIDING FOR THE APPROVAL OF THE AGREEMENT DATED
OCTOBER 3, 1984, BETWEEN THE STATE OF TEXAS AND THE CITY OF
LA PORTE, FOR THE CONTINUED EXISTENCE, USE, OPERATION, AND
MAINTENANCE OF HIGHWAY TRAFFIC SIGNALS AT THE LOCATIONS SHOWN
ON EXHIBIT I, ATTACHED HERETO AND MADE A PART HEREOF, IN THE
CITY OF LA PORTE; PROVIDING FOR THE EXECUTION OF SAID AGREEMENT;
AND DECLARING AN EFFECTIVE DATE HEREOF.
BE IT ORDAINED BY THE CITY COUNCIL OF THE CITY OF LA PORTE:
Section I. That the certain agreement dated October 3, 1984,
between the State of Texas and 'the City 'of La Porte, for the con-
tinued existence, use, operation.,. and maintenance of certain
highway signals at the locations shown'on EXHIBIT I, attached
hereto and made a part hereof, in the City of La Porte, be and the
same is hereby approved, and the Mayor is hereby authorized to
execute said agreement on behalf of the City of La Porte, and to
transmit the same to the State of Texas for appropriate action.
Section 2. That this Ordinance take effect immediately from
and after its passage.
Section 3. The City Council officially finds, determines,
recites and declares that a sufficient written notice of the date,
hour, place and subject of this meeting of the City Council was
posted at a place convenient to the public at the City Hall of
the City for the time required by law preceding this meeting, as
required by the Open Meetings Law, Article 6252-17, Texas Revised
Civil Statutes Annotated; and that this meeting has been open to
the public as required by law at all times during which this
ordinance and the subject matter thereof has been discussed, con-
sidered and formally acted upon. The City Council further ratifies,
approves and confirms such written notice and the contents and
posting thereof.

traffic signal(s) having been installed, operated, and maintained by the
State at a time when said location(s) were covered under other existing
agreements.
WHEREAS, it is not now the policy of the State to install, operate, or
maintain highway traffic signals inside the corporate limits of cities of
15,000 population and over (latest Federal Census), except on expressway
type facilities; and
WHEREAS, the City, which now equals or exceeds 15,000 population, has
requested the State to leave the highway traffic signal(s) in place at the
location(s) shown on EXHIBIT 1 and has authorized the continued existence,
use, operation, and maintenance of the highway traffic signal(s) by Ordinance
passed on the

NOW, therefore, in consideration of the premises and of the mutual
covenants and agreements of the parties hereto to be by them respectively
kept and performed as hereinafter set forth, it is agreed as follows:
1. The State will leave the highway traffic signal(s) in place at the
location(s) sho'wu on EXHIBIT 1.
2. The City will operate and maintain the signal(s) at their expense.
3. The City will pay all power costs for operating the signal(s).
4. The City will obtain written approval of the State Department of
Highways and rublic Transportation before making any changes in the design
of operation and timing of the signal(s) or before removing any part of the
installation(s).
5. The City will return any and all parts of said highway traffic signal
installation(s) to the State should (they) be removed by the City for any
reason other than for installation on a State or Federal numbered highway
route at a location approved by the State.
6. In the event the signal installation(s) covered by this Agreement
become unnecessary or (are) removed for any reason, this agreement shall terminate.
7. Indemnification.
The City agrees to indemnify the State against any and all damages
and claims for damages to adjoining, abutting or other property for which the
State is or may be liable arising out of, incident to or in any way connected
with the existence or the use of such signal installation(s) and does hereby
agree to indemnify the State against any and all court costs, attorney's fees
and all expenses in connection with suits for such damage and shall, if
requested to do so in writing" assist or relieve the State from defending any
such suits brought against it.

Nothing herein contained shall be construed to place upon the State
any manner of liability for injury to or death of persons or for damage to
or loss of property arising out of or in any manner connected with the use
of the project, and the City will save the State harmless from any damages
arising from said maintenance and/or use of said project.
8. The Department will not incur any financial obligation to the City
as a result of this agreement.

Dear Mr. Herrera:
Thank you for your letter inquiring about the liability coverage
for the contractual indemnification obligations assumed by the
city under the Traffic Signal Agreement with the State Department
of Highways and Public Transportation.
Although your letter does not reflect it, I assume the type of
liability to which you are referring is the liability of the
city to third parties who suffer injury or property damage as
a proximate result of the installation, placement or operation
of the traffic signals under the Traffic Signal Agreement.
Although the contract with the State appears to be one of ad-
hesion, it is probably enforceable against the City of La Porte.
In any event, our liability coverage would provide a defense to
any such suit seeking damages arising out of an accident or event
which occurred during the time that the city is a member of the
Fund.
To give an example, if an automobile collision occurs because of
an alleged malfunction of the traffic signal and a suit were filed
against both the state and the city, the city would have an obli-
gation under the contract to indemnify and hold the state harmless.
The suit would be defended by the Fund and if the state sought in-
demnity under the Traffic Signal Agreement, the Fund would also
defend the city regarding those allegations. However, without
knowing the details of the actual occurrence, the manner in which
the suit is alleged and the actions of the State in trying to en-
force the obligations assumed by the city under the contract, it
is difficult to give you a more definitive answer.
Based upon my previous experiences litigating these types of con-
tracts with the State, let me make the following s

a. With the assistance of your City Attorney, attempt to
negotiate for removal of Section 7 of the Indemnity
Agreement. Installation of a traffic signal is a bene-
fit both to the city and the state and it is an obliga-
tion of both the city and the State Department of High-
ways and Public Transportation to provide for safety on
the public roadways. You should be more successful in
negotiating this point if the highway location is a
state or county roadway.
b. Since the agreement is a standard form agreement,
if the state is unwilling to negotiate for the
removal of Section 7, before signing the document
ask the state official in charge of negotiating the
contract what will happen if the contract is not
signed in its present form. The response that you
can anticipate would be that the state will not pro-
vide the traffic signal unless the agreement is signed.
Thus, by having that question answered, the city has
placed itself in a position of signing a contract of
adhesion. In other words, if you don't sign the con-
tract the way it is written, the state will not provide
the traffic signals~

THE CITY-OF La Porte PROVIDING FOR THE EXECUTION OF
SAID AGREEMENTi AND DECLARING AN EFFECTIVE DATE.
BE IT ORDAINED BY THE CITY COUNCIL OF THE CITY OY

SECTION 1. That the certain agreement dated
between the State of Texas and the City of La Porte
for the continued existence, use, operation, and maintenance of
certain highway traffic signal (s) at the location (s) shown on
EXHIBI~ 1, attached hereto and made a part hereof, in the City of
La Porte , be and the same is hereby approved, and
The Mayor is hereby authorized to execute said
agreement on behalf of the City of La Porte , and to
transmit the same to the State of Texas for appropriate action.
SECTION 2. That this Ordinance takes effect immediately from
and after its passage, and it is accordingly so ordained.
