<br />e <br /> <br />e <br /> <br />April 23, 1997 <br /> <br />BYLAWS <br />OF <br />CHANNEL INDUSTRIES MUTUAL AID <br /> <br />ARTICLE I <br /> <br />NAME AND PURPOSE <br /> <br />1.1 Name. The name of the corporation is Channel Industries Mutual Aid <br />(sometimes referred to herein as "CIMA"). <br />1.2 Puroose. The purposes for which the corporation is organized are as <br />stated in the Articles and as further described herein: <br />CIMA is an organization whose primary purpose is the joining together of <br />fire-fighting, rescue, hazmat, and emergency medical manpower and facilities among <br />Houston Ship Channel industries for mutual assistance in case of emergency situations <br />- either natural or man-made, including but not limited to acts of war or terrorism. <br />Each company participating in this plan must reserve manpower, material, <br />and equipment for its own protection before releases can be made in an emergency. <br />This matter is entirely the judgment of the management of each member. No member, <br /> <br />therefore, is obligated by their manpower and equipment listings. <br />ARTICLE II <br />MEMBERS <br /> <br />2.1 (a) <br />(b) <br /> <br />One Class. There shall be one class of members. <br />Members Shall Direct Corooration. The direction and management <br /> <br />of the affairs of the corporation and the control and disposition of its assets shall be <br />vested in the members. <br />2.2 General Membershio Reauirements. A prospective member must have <br />adequate resources to deal with ordinary emergencies Y'hich may arise. These will <br />include but not be limited .to: <br />
