<br />e <br /> <br />e <br /> <br />other facilities and appurtenances necessary or desirable in conjunction with the operation of the <br /> <br /> <br />Cable System. The City agrees that any public utility owning or controlling such poles or <br /> <br /> <br />underground conduits may, without amendment to its franchise, allow, and is encouraged to allow, <br /> <br /> <br />the Grantee to make such use thereof pursuant to any agreement reached between such utility and <br /> <br /> <br />the Grantee. The Grantee shall notify the Director within thirty (30) days of receipt of any request <br /> <br /> <br />by a third party, not holding a franchise from the City, to lease or otherwise use the Grantee's pole <br /> <br /> <br />or conduit space. <br /> <br />Section 21. RECORDS AND REPORTS. <br /> <br /> <br />1. Books of Account. The Grantee shall keep complete and accurate books of <br /> <br /> <br />accounts and records of its business and operations under and in connection with this Franchise. <br /> <br /> <br />All such books of accounts and records shall be accessible at the Grantee's principal office in the <br /> <br /> <br />Service Area during regular business hours, upon thirty (30) days written notice. <br /> <br /> <br />2. Access by the City. The Director, or his/her duly designated officers, agents, or <br /> <br /> <br />representatives, shall have access to all books of accounts and records of the Grantee as may be <br /> <br /> <br />reasonably necessary for the purpose of ascertaining the correctness of any and all reports required <br /> <br />by this Franchise. For purposes related to the enforcement of the Franchise, access shall be given <br /> <br />by the Grantee to such officers, agents or representatives of the Director at all reasonable times to <br /> <br />the Grantee's records of Gross Revenues, such of the Grantee's plans, contracts, engineering, <br /> <br />planning, financial, statistical, customer and Subscriber service records relating to the properties <br /> <br /> <br />and operation of the Cable System, and to all other records and reports required to be kept or which <br /> <br /> <br />are kept by the Grantee. The City agrees to treat any information disclosed by the Grantee as <br /> <br /> <br />confidential and only to disclose it to employees, representatives and agents thereof that have a <br /> <br /> <br />need to know, or in order to enforce the provisions hereof.
