<br />e <br /> <br />e <br /> <br />compensation, which are mutually agreed upon by and between LA <br />PORTE and GTG, shall be incorporated in written amendments. <br /> <br />12. Termination of Contract. This Contract and any Task Order <br />Agreements under this Contract may be terminated by either LA <br />PORTE or GTG with 14 days written notice. In the event of such <br />termination, all finished or unfinished documents, data, studies, <br />surveys, drawings, maps, models, photographs, and reports prepared <br />, by GTG shall, at the option of LA PORTE, become its property. GTG <br />shall be entitled to receive just and equitable compensation for work <br />accomplished prior to the termination. <br /> <br />13. Assignabilitv. This Contract shall not be assigned or transferred by <br />either GTG or LA PORTE without the prior written consent of the <br />other. <br /> <br />14. Liabilitv and Standard of Care. GTG shall perform services for client in <br />a professional manner, using that degree of care and skill ordinarily <br />exercised by consultants practicing in the same or similar locality as <br />the project. The total liability of GTG whether in contract, tort (including <br />negligence, whether sole or concurrent), or otherwise arising out of, <br />connected with or resulting from the services provided pursuant to this <br />agreement shall not exceed the total fees paid for the Work Order <br />Agreement in question, or fifty thousand dollars, whichever is less. <br /> <br />LA PORTE acknowledges that GTG is a Corporation and agrees that <br />any claim made by LA PORTE arising out of any act or omission of <br />any director, officer or employee of GTG in the execution or <br />performance of this agreement shall be made against GTG and not <br />against such director, officer, or employee. <br /> <br />GTG will maintain the following minimum limits of insurance during the <br />term of this agreement: <br /> <br />1. General Liability <br />Each Occurrence: $1,000,000 <br />Fire Damage (Anyone fire) $50,000 <br />Medical Expenses (Anyone person) $5,000 <br />Personal & Adv Injury $1,000,000 <br />General Aggregate $2,000,000 <br />2. Automobile Liability - Combined Single Limit $1,000,000 <br />3. Worker's Compensation Statutory <br />Each Accident $100,000 <br />Each Disease - Each Employee$100,OO <br />Each Disease - Policy Limit $500,000 <br />
