<br />e <br /> <br />e <br /> <br />-4- <br /> <br />IX. <br />The parties anticipate that LA PORTE will annex the territory <br />presently comprising the Bayshore Municipal Utility District, to the <br />City of La Porte, with an effective date of December 31, 1988. The <br />final passage of an annexation ordinance by LA PORTE, annexing the <br />Bayshore Municipal Utility District, shall be a condition precedent <br />to this Agreement taking effect January 1, 1989. <br />Thereafter, LA PORTE will seek approval of such annexation <br />proceedings under Section 5 of the Federal Voting Rights Act. <br />Should LA PORTE fail to receive approval of such annexation under <br />the Federal Voting Rights Act, or should such annexation be declared <br />invalid by the final judgment of a court of competent jurisdiction, <br />LA PORTE may terminate this Agreement upon ninety (90) days written <br />notice to SHOREACRES, in which event LA PORTE shall reconvey to <br />SHOREACRES, the personal property described on Exhibit "A" attached <br />hereto, the real property lease described herein shall be cancelled, <br />and the parties shall be restored to their original positions. <br /> <br />x. <br /> <br />LA PORTE reserves the right to build a new fire station <br />building during the term of this Agreement, which may be located <br />either within the corporate limits of SHOREACRES, within the former <br />boundaries of the Bayshore Municipal Utility District, or on McCabe <br />Road. Further, LA PORTE reserves the right to make upgrades, <br />deletions, additions, or trade-ins, of the personal property <br />described on Exhibit "An attached hereto, during the term of this <br />Agreement. Such changes, if any, shall equal or better existing <br />equipment, and at least two (2) fire engines shall always be <br />provided at Fire Station No.4, except in cases of downtime for <br />repairs or maintenance. <br />
