<br /> 1. THE CITY OF LA PORTE, a Texas municipal corporation, hereinafter referred to
<br /> as the "City," whose address is 604 W. Fairmont Parkway, La Porte, Harris County, Texas
<br /> 77571, is the owner of Lots Twelve (12) and Thirteen (13) in Block One Thousand One Hundred _B
<br /> Twenty Nine (1129) of the Town of La Porte, an addition in Harris County, Texas, according to
<br /> the map or plat thereof recorded in Volume 60, Page 114 of the Deed Records of Harris County,
<br /> Texas, referred to hereinafter as the "City Tract."
<br /> 2. HARRIS COUNTY FLOOD CONTROL DISTRICT, a body corporate and politic
<br /> under the laws of the State of Texas, hereinafter referred to as the "District," whose address is
<br /> 9900 Northwest Freeway, Houston, Texas 77092, is the owner of Lots Fifteen (15) and Sixteen
<br /> (16) in Block One Thousand One Hundred Thirty (1130) of the Town of La Porte, an addition in
<br /> Ni Harris County, Texas, according to the map or plat thereof recorded in Volume 60, Page 114 of
<br /> the Deed Records of Harris County, Texas, referred to hereinafter as the "District Tract."
<br /> 3. The City and the District are willing to exchange their respective tracts referred to
<br /> above and desire to consummate such exchange by executing and delivering to each other this
<br /> Exchange Deed.
<br /> B. Conveyances
<br /> N 1. The City, in consideration of the conveyance of the District Tract to it by the
<br /> District, the receipt and sufficiency of which is hereby acknowledged and confessed, has
<br /> GRANTED, SOLD, and CONVEYED, and by these presents does GRANT, SELL, and
<br /> CONVEY, unto the District the City Tract, together with all improvements thereon.
<br /> This conveyance is made and accepted subject to all applicable zoning laws,
<br /> regulations, and ordinances of municipal and /or governmental authorities and is further made
<br /> subject to all restrictions, covenants, conditions, agreements, assessments, maintenance
<br /> charges, easements, previously conveyed or reserved mineral and royalty interests, and other
<br /> title matters, but only to the extent they are in effect and shown of record in the hereinabove
<br /> mentioned County and State, and applicable to a political subdivision of the State of Texas.
<br /> TO HAVE AND TO HOLD the City Tract, together with all and singular the rights and
<br /> appurtenances thereto in anywise belonging unto the District, its successors and assigns,
<br /> forever; and the City does hereby bind itself, its successors and assigns, to WARRANT and
<br /> FOREVER DEFEND, all and singular the said property unto the District, the District's
<br /> successors and assigns, against every person whomsoever lawfully claiming, or to claim the
<br /> same, or any part thereof, by, through, or under the City but not otherwise.
<br /> 2. The District, in consideration of the conveyance of the City Tract to it by the City,
<br /> the receipt and sufficiency of which is hereby acknowledged and confessed, has GRANTED,
<br /> SOLD, and CONVEYED, and by these presents does GRANT, SELL, and CONVEY, unto the
<br /> City the District Tract, together with all improvements thereon.
