<br />Gentlemen:
<br />
<br />This letter will serve to confirm the agreements reached between
<br />representatives of Bickham Industries, Inc. and the City of La
<br />Porte, concerning the improvement of the Old La Porte Road right-of-
<br />way.
<br />
<br />Attached to this letter as Exhibit "A" is a plat, showing the
<br />relative locations of the private street section adjoining the
<br />Bickham Industries, Inc. site1 and the public right-of-way per deed
<br />description, adjacent thereto, also adjacent to the Bickham
<br />Industries, Inc~ site1 and the portion of the public right-of-way
<br />adjacent to private residential properties. Attached to this
<br />agreement as Exhibit "B. is a metes and bounds description of the
<br />public right-of-way, and attached to this agreement as Exhibit "C"
<br />is a metes and bounds description of the private right-of-way.
<br />
<br />Bickham Industries, Inc. will assume responsibility for the
<br />performance of the following:
<br />
<br />1. Bickham Industries, Inc. agrees to complete the paving of the
<br />Private right-of-way as described on,Exhibit "C", as well as
<br />that portion of the public right-of-way per deed dedication
<br />adjacent thereto, and shown as the area of .private Maintenance"
<br />on Exhibit "An attached hereto. Following paving, Bickham
<br />Industries, Inc., agrees to permanently maintain this portion of
<br />the paved right-of-way. Bickham Industries, Inc. will be
<br />responsible for the receiving of quotes, hiring and supervision
<br />of the contractors for the paving of that portion of the right-
<br />of-way, and paying all bills for labor and materials for the
<br />construction of such paving.

<br />2. Bickham Industries, Inc. further agrees to pave the public
<br />portion of the Old La Porte Road right-of-way, on its existing
<br />alignment, from 26th Street westerly to the Bickham east
<br />property line, being the portion of the right-of-way described
<br />by metes and bounds as public right-of-way on Exhibit "Bn
<br />attached hereto and made a part hereof for all purposes, and
