<br /> The purpose for which the easement and right-of-way
<br />is herein granted shall be, for the sole purpose of entitling
<br />

<br />Grantee to enter upon and construct, reconstruct, maintain,
<br />
<br />operate, inspect, replace, repair and remove a water line and
<br />appurtenant facilities required for the transmission of water
<br />
<br />to the Grantee (collectively "water facilities").
<br />
<br />Grantee
<br />
<br />shall be entitled to appropriate ingress and egress from and to
<br />the Subject Property for purposes of carrying out its
<br />responsibilities in connection with the water facilities being
<br />constructed, reconstructed, maintained, operated, inspected,
<br />
<br />replaced, repaired or removed from the Subject Property.
<br />
<br />In its acceptance of the wi thin easement, Grantee,
<br />for itself , its successors and ass igns, does hereby release,
<br />
<br />discharge,
<br />
<br />indemnify and hold Grantor,
<br />
<br />its
<br />
<br />successors,
<br />
<br />purchasers and assigns, harmless from and against any and all
<br />
<br />claims,
<br />
<br />causes
<br />
<br />of
<br />
<br />action,
<br />
<br />suits,
<br />
<br />actions,
<br />
<br />proceedings,
<br />
<br />judgments, costs or expenses (including court costs and
<br />reasonable attorneys' fees), as well as all liability of
<br />
<br />whatsoever nature or kind (coll,ecti vely "exposures"), based on
<br />
<br />property damage, personal injury or death ,of any party and
<br />
<br />which exposures arise or result from, or are attributable to,
<br />the within easement grant, or any activities undertaken on the
<br />Subj ect Property or Grantor's adj acent lands by Grantee, its
<br />
<br />licensees, invitees, customers, contractors, agents, legal
<br />
<br />representatives, successors or assigns.

<br />The obligations of
<br />
<br />this indemnification shall exist and subsist in favor of
<br />
<br />Grantor, its successors, purchasers and assigns.
<br />
<br />In addition to. the easement, rights and privileges
<br />herein conveyed, Grantee shall,.!tave the___~ight to use so much of
<br />the surface of the Subject Property as may be reasonably
<br />
<br />necessary

<br />construct,
