<br />e <br /> <br />e <br /> <br />not proprietary functions for purposes of the Texas Tort Claims Act, Section 101.001 et <br />seq., Texas Civil Practice and Remedies Code. The Authority shall have the power to <br />acquire land in accordance with the Act as amended from time to time. <br /> <br />ARTICLE II <br /> <br />BOARD OF DIRECTORS <br /> <br />* Section 1. Appointment, Classes, Powers, Number, and Term of Office. All <br />P9wers of the Authority shall be vested in the Board of Directors (the "Board"). The Board <br />shall initially consist of nine (9) persons. The Directors of the Board shall be increased to <br />the number of directors on the board of the La Porte Reinvestment Zone in the event such <br />board is increased to more than nine (9) directors. Directors of the Authority shall be <br />appointeq by position to the Board by the Mayor of the City with the consent and approval <br />of City Council and shall be the same persons appointed to the corresponding position of <br />the board of the La Porte Reinvestment Zone. Appointment of a person to the <br />corresponding position of the board of the La Porte Reinvestment Zone shall constitute <br />appointment of such person to the corresponding position of the Board by the City. Each <br />taxing unit that appoints a directors to the La Porte Reinvestment Zone shall be assigned'a <br />position number on the Board corresponding to the position number of that taxing unit <br />appointee on the board of the La Porte Reinvestment Zone.' Appointment of a person to <br />the corresponding position of the board of the La Porte Reinvestment Zone by any taxing <br />unit shall constitute nomination of such person to the corresponding position of the Board, <br />by such taxing ynit. The Mayor of the City shall always appoint the Chainnan of the Board. <br /> <br />Each Director shall serve for a tenn which expires on the date set forth below for the <br />position to which such person was appointed, or until his or her successor is appointed by <br />. the City unless such Director has been appointed to fill an unexpired tenn in which case the <br />term of the Director shall expire on the expiration date of the term of the Director whose <br />position he or she was appointed to fill. Any Director may be removed from office at any, <br />time, with or without cause, by the City Council. The number of Directors may only be <br />increased or decreased by an amendment to .the Bylaws with the consent of the City <br />Council of the City. " <br /> <br />*' <br /> <br />The tenn of each position shall be cotenninous with the tenn of the corresponding <br />position on the board of the La Porte Reinvestment Zone as established by City Ordinance <br />99-2325 as may be amended from time to time. <br /> <br />~ <br /> <br />The following persons, or their designee, shall serve as an ex-officio, non-voting <br />memQers of the Board. <br /> <br />(1) City Manager; <br /> <br />(2) Assistant City Manager <br /> <br />; <br />I <br />1 <br /> <br />. <br />. <br /> <br />2 <br /> <br />I <br />I <br />! <br /> <br />" <br />
