Section 7 Advisory Committees <br />Committees may be created, modified, or dissolved upon recommendation of the President and confirmation <br />by the Board of Directors. <br />ARTICLE VII -EXECUTIVE DIRECTOR AND STAFF <br />Section 1 Employment and Staff <br />The Board of Directors shall employ an Executive Director who shall serve at the pleasure of the Board <br />of Dl rectors. <br />Section 2 Responsibilities of Executive Director <br />The Executive Director shall be the chief administrative officer of the Houston-Galveston Area Council, <br />and shall, subject to the rules and regulations of the Board of Dl rectors, act for and in the name of <br />the Houston-Galveston Area Council and appoint and remove all subordinate employees of the Houston- <br />Galveston Area Council. The Executive Director shall have the power, subject to the rules and regula- <br />tions of the Board of Directors, to acquire and/or dispose of all materials, equipment and property <br />required for the operation of the Houston-Galveston Area Council and shall annually prepare a budget for <br />approval Dy the Board of Directors. <br />Section 3 Employment of Consultants <br />The Executive Director shall recommend the employment of consultants to the Board of Directors. <br />ARTICLE YIII - FINANCE <br />Section 1 Dues Schedule <br />Each governmental unit becoming a member of the Houston-Galveston Area Council shall pay annual dues on <br />the basis of the following schedule, effective with 1914: <br />a. Towns, cities, and counties shall pay annually x200.00 or four cents (x.04) per capita, whichever <br />is greater. <br />b. Population figures shall be as set forth in the last preceding Federal Census. <br />c. School Districts shall pay annually x200.00 each or three cents (E.03) per Average Daily Attendance <br />for the last preceding Federal Census year. whichever is greater. <br />d. Soil and Water Conservation Districts shall pay annually 525.00 each. <br />Section 2 Annual Dues <br />Each member Shall pay an amount equal to one year's dues to the HoustonGalveston Area Council within <br />thirty (30) days from the date of joining. Annual dues shall be due January 1 of each calendar year at <br />the rates set forth in these Bylaws. <br />Section 3 Members in Arrears <br />A member which is more than six months 1n arrears in its dues as set forth by Article VIII of these <br />Bylaws shall be denied its voting privileges until such time as such dues are paid. <br />Section 4 Fund Sources <br />The Houston-Galveston Area Council may apply for, contract for, receive and expend funds or grants from <br />the State of Texas, the Federal Government, or any other source. The Houston-Galveston Area Council <br />shall have no power to levy any character of tax whatever. <br />Section 5 Depository and Expenditures <br />Funds of the Houston-Galveston Area Council shall be deposited in a depository to be designated by the <br />Board of Directors and may be expended upon check or warrant signed by the Secretary-Treasurer, counter- <br />signed by the President, or in the absence or inability of the President to act, by the Vice President. <br />Section 6 Fidelity Bond <br />The Board of Directors shall require the Secretary-Treasurer to furnish a fidelity Bond 1n such amount <br />as the Board of Directors may determine, but in any event, not less than E5,000.00. <br />Section 7 Fiscal dear <br />The fiscal year of the Houston-Galveston Area Council shall be the Calendar Year. <br />Section 8 Mnual Mork Program and Budget <br />The Executive Director shall prepare an annual budget and work program of the Houston-Galveston Area <br />Council for each fiscal year and faithfully execute all other duties and responsibilities vested in or <br />required of him by the Board of Directors and providing further herein, that the annual budget and work <br />program must be submitted for majority approval of the Board of Directors prior to January of each year. <br />ARTICLE IX - AlENOlENT <br />Section 1 Ballot <br />These Bylaws, with the exception of Article VIII, Finance, may be amended by unanimous vote of the <br />members of the Board of Directors. Such vote shall be made by the submission of a written ballot by <br />each member of the Board of Directors prior Lo the meeting at which sych amendment is to be acted upon; <br />
