• • <br />however, any such proposed amendment must be fully set out in writing and in ballot form furnished to <br />each member of the Board of Directors by United States Mail, Certified, Return Receipt Requested, at <br />• least ten (10) days in advance of the meeting at which such amendment is to be acted upon. Each member <br />of the Board of Directors shall thereupon execute and return his ballot in a sealed envelope marked <br />"Ballot Envelope" prior to the meeting at which such amendment is to be acted upon. <br />Section 2 Ballot Canvassing Committee <br />The Board of Directors shall appoint a Ballot Canvassing Committee which shall be charged with the <br />responsibility of canvassing the results of an election to amend these Bylaws of the Houston-Galveston <br />Area Council. The Committee shall consist of not less than three (3) nor more than five (5) members of <br />the Board of Directors and shall be appointed at least ten (10) days prior to the meeting at which such <br />amendment is to be acted .upon. All Ballot Envelopes received shall remain sealed and be delivered to <br />the Ballot Canvassing Committee at the meeting of the Board of Directors at which an amendment is to be <br />acted upon. The Ballot Canvassing Committee shall open and canvass the ballots received and present the <br />results thereof to the Board of Directors. <br />Section 3 Amendment of Finance. Article YIII <br />Article VIII, Finance, of these Bylaws may be amended upon the occurrence of the following actions in <br />the following order: (1) the submission by the Board of Directors of the proposed amendment for informa- <br />tion to the governing bodies of the member governmental units at least sixty (60) days prior to the <br />meeting of the Board of Directors at which action thereon is to be taken; (2) the unanimous assent to <br />such amendment by the governing bodies of the cities of Houston and Galveston, and the counties of <br />Austin, Brazoria, Chambers, Colorado, Fort Bend, Galveston, Harris, Liberty, Matagorda, Montgomery, <br />Walker, Waller, and Wharton; and (3) vote of the members of the Board of Directors pursuant to the proce- <br />dures set forth in Section 1 and 2 of this Article IX. <br />Section ~ Applicability <br />If any word, phrase, clause, sentence, paragraph, section, or other part of these Bylaws or the applica- <br />tion thereof to any circumstance conflicts with any other word, phrase, clause, sentence, paragraph, <br />section, or other part duly adopted by the Houston-Galveston Area Council as a part of these Bylaws <br />shall prevail. <br />ARTICLE X - ANNUAL REPORT AND AUDIT <br />• <br />Section 1 Annual Report <br />The Houston-Galveston Arpa Council shall prepare an annual report which shall be submitted to all member <br />governmental units. <br />Section 2 Annual Audit <br />An audit of the Area Council's financial accounts and transactions during the preceding fiscal year <br />shall be made annually by an outside firm of certified public accountants approved by the Board of <br />Directors. A report of such audit shall De presented to the Board of Directors by no later than the <br />regular board meeting in March of each year. <br />ARTICLE XI - AFFILIATES AID ASSOCIATES OF H-GAC <br />1. Governmental units in the region not eligible to become full members of the Houston-Galveston Area <br />Council under Article 1II. Section 2, of these Bylaws, are eligible to become affiliates of the <br />HoustonGalveston Area Council. Affiliates shall receive ail data and reports published by the <br />Houston-Galveston Area Council and shall be advised of the progress of its planning activities. <br />2. Businesses and citizens in the 13-county service region are eligible to become associates of the <br />Houston-Galveston Area Council entitled to receive the results of regular H-GAC planning activities <br />end publications. <br />3. An annual service fee for affiliates and associates shall be established by the Board of Directors. <br /> <br />
