• • <br />4.1 Upon final completion and acceptance of the Work, and <br />upon CONTRACTOR submitting to OWNER evidence in the form <br />of an affidavit, that all bills owed by CONTRACTOR for <br />labor, materials, and equipment associated with the <br />PROJECT have been paid, OWNER shall then undertake to <br />pay the amount provided in Article 3.3 or 3.5. No <br />partial payments are contemplated in this agreement. <br />4.2 The making and acceptance of final payment will <br />constitute a waiver of all claims by CONTRACTOR against <br />OWNER. <br />Article S. CONTRACTOR'S REPRESENTATIONS. <br />5.1 The CONTRACTOR makes the following representations to <br />the OWNER: <br />a. CONTRACTOR has examined and carefully studied the <br />Contract Documents, given the OWNER notice of all <br />conflicts, errors, ambiguities, or discrepancies <br />discovered by CONTRACTOR, and the Contract Documents <br />are generally sufficient to indicate and convey <br />understanding of all terms and conditions for <br />performance and furnishing of the Work. <br />b. CONTRACTOR has visited the site and become familiar <br />with and is satisfied as to the general, local and <br />site conditions that may affect cost, progress, <br />performance, or furnishing of the Work. <br />C. CONTRACTOR is familiar with and is satisfied as to <br />all federal, state and local laws and regulations <br />that may affect cost, progress, performance, or <br />furnishing of the Work. <br />d. CONTRACTOR is a corporation duly organized and <br />existing under the laws of the State of Texas. Joe <br />M. Furlow, Vice President, has full corporate <br />authority to enter into this Agreement and to <br />obligate CONTRACTOR to the terms and conditions <br />stated herein. CONTRACTOR is not in bankruptcy, or <br />any other reorganization, either voluntary or <br />involuntary, that affects its ability to perform <br />the services contemplated in the Agreement. <br />Article 6. INSURANCE. <br />6.1 The CONTRACTOR shall furnish proof of insurance in the <br />following minimum amounts: <br />3 <br />
