<br />. <br /> <br />e <br /> <br />Grantee's governing body. Such amendments shall not invalidate this Agreement, nor <br />relieve or release Grantee or Subrecipient from its obligations under this Agreement, and <br />must confonn to 24 CFR 85.30. <br /> <br />Grantee may, in its discretion, amend this Agreement to conform with federal, state or <br />local governmental guidelines, policies and available funding amounts, or for other <br />reasons. If such amendments result in a change in the funding, the scope of services, or <br />schedule of the activities to be undertaken as part of this Agreement, such modifications <br />will be effected only by written amendment signed by both Grantee and Subrecipient. <br /> <br />H. Suspension or Tennination <br /> <br />Grantee and Subrecipient may terminate this Agreement in whole or in part at any time in <br />writing signed by both parties, specifying the effective date of the termination. Partial <br />terminations of the Scope of Service in Paragraph 1.A. above must state the portion to be <br />terminated. In the event of any termination, all finished or unfinished documents, data, <br />studies, surveys, maps, models, photographs, reports or other materials prepared by either <br />party under this Agreement shall become the property of the party designated in the <br />termination Agreement, which Agreement shall state whether the other party will be <br />entitled to receive just and equitable compensation for any satisfactory work completed <br />on such documents or materials prior to the termination. <br /> <br />1. Reversion of Assets <br /> <br />Upon expiration of the term of this Agreement, the subrecipient shall transfer to the <br />recipient any CDBG funds on hand at the time of expiration and any account receivable <br />attributable to the use of CDBG funds. For any year following the expiration or <br />termination of this contract that Subrecipient holds personal property attributable to funds <br />hereunder, Subrecipient shall submit an Annual Report of Personal Property identifying <br />the property and its location, with such report being filed with the Harris County <br />Community Development Agency and the Harris County Auditor. <br /> <br />Grantee may also suspend or terminate this Agreement, in whole or in part, if <br />Subrecipient materially fails to comply with any term of this Agreement, or with any of <br />the rules, regulations or provisions referred to herein; and the Grantee may declare the <br />Subrecipient ineligible for any further participation in Grantee Agreements, in addition to <br />other remedies as provided by law. In the event there is probable cause to believe the <br />Subrecipient is in noncompliance with any applicable rules or regulations, the Grantee <br />may withhold up to fifteen (15) percent of said Agreement funds until such time as the <br />Subrecipient is found to be in compliance by the Grantee, or is otherwise adjudicated to <br />be in compliance. <br /> <br />8 <br />
