■ Chief Inspection Officer <br />■ United States Coast Guard <br />O Harris County Fire Marshal's Office <br />■ Harris County Sheriffs Department <br />e Port of Houston <br />The CIMA Specialists and a representative of each municipal member are ex-officio <br />members of the Steering Committee. They shall be invited to the meetings and <br />participate in all aspects except that they may not vote. <br />5.2 Special Committees. The Chairman or the Chairman of the Steering <br />Committee may designate one or more special committees as are necessary and which <br />are not in conflict with other provisions of these bylaws, and the duties of any such <br />special committees shall be prescribed by the members upon their designation. Each <br />such special committee shall consist of two or more persons, who may, but need not <br />be, limited to members (or their representatives) of the corporation. A special <br />committee shall limit its activities to the accomplishment of the tasks for which it is <br />designated and shall have no power to act except as specifically conferred by action of <br />the Chairman or the Chairman of the Steering Committee. Upon the completion of the <br />task for which designated, such special committee shall stand dissolved. <br />5.3 Quorum and Voting. A majority of the members of a committee shall <br />constitute a quorum for the transaction of business at any meeting of such committee <br />and the act of a majority of the committee members present at a meeting at which a <br />quorum is present shall be the act of the committee. <br />5.4 Meetings and Notices. Meetings of a committee may be called by the <br />Chairman or the chair of the committee. Each committee shall meet as often as is <br />necessary to perform its duties. Notice may be given at any time and in any manner <br />reasonably designed to inform the members of the time and place of the meeting. Each <br />committee shall keep minutes of its proceedings. <br />4M/97 <br />23 <br />
