0 • <br />5.5 Resignations and Removals. Any member of a committee may resign at <br />any time by giving notice to the chairman of the committee or the Recording Secretary <br />of the corporation. Unless otherwise specified in the notice, such resignation shall take <br />effect upon receipt thereof, and the acceptance of such resignation shall not be <br />necessary to make it effective. The members may remove at any time with or without <br />cause any member of any committee. who was originally appointed thereto by the <br />members as provided in these bylaws. <br />5.6 Vacancies. A vacancy on a committee shall be filled for the unexpired <br />portion of the term of the former occupant in the same manner in which an original <br />appointment to such committee is made. <br />ARTICLE VI <br />AMENDMENTS <br />6.1 Amendments. These bylaws may be amended by the members at any <br />regular or special meeting of the members at which a quorum is present by the <br />affirmative vote of a majority of the voting members present at such meeting; provided, <br />that notice of the proposed amendment shall have been given to each member in <br />writing at least ten days and not more than 50 days prior to such meeting. <br />ARTICLE VII <br />INDEMNIFICATION OF DIRECTORS AND OFFICERS <br />7.1 Indemnification. The corporation shall indemnify the directors (including <br />those members who are deemed to act in the place of directors), officers, employees, <br />and agents (including, but not limited to, CIMA Specialists and other member personnel <br />assigned by CIMA) of the corporation to the fullest extent required or permitted by <br />Article 2.22A of the Texas Non -Profit Corporation Act, or corresponding provisions <br />hereafter in effect, unless there are restrictions to the contrary in the Articles of <br />Incorporation. The corporation shall have the power to purchase and maintain at its <br />cost and expense insurance on behalf of such persons to the fullest extent permitted by <br />4/23/97 <br />24 <br />
