0 • 5.5 Resignations and Removals. Any member of a committee may resign at any time by giving notice to the chairman of the committee or the Recording Secretary of the corporation. Unless otherwise specified in the notice, such resignation shall take effect upon receipt thereof, and the acceptance of such resignation shall not be necessary to make it effective. The members may remove at any time with or without cause any member of any committee. who was originally appointed thereto by the members as provided in these bylaws. 5.6 Vacancies. A vacancy on a committee shall be filled for the unexpired portion of the term of the former occupant in the same manner in which an original appointment to such committee is made. ARTICLE VI AMENDMENTS 6.1 Amendments. These bylaws may be amended by the members at any regular or special meeting of the members at which a quorum is present by the affirmative vote of a majority of the voting members present at such meeting; provided, that notice of the proposed amendment shall have been given to each member in writing at least ten days and not more than 50 days prior to such meeting. ARTICLE VII INDEMNIFICATION OF DIRECTORS AND OFFICERS 7.1 Indemnification. The corporation shall indemnify the directors (including those members who are deemed to act in the place of directors), officers, employees, and agents (including, but not limited to, CIMA Specialists and other member personnel assigned by CIMA) of the corporation to the fullest extent required or permitted by Article 2.22A of the Texas Non -Profit Corporation Act, or corresponding provisions hereafter in effect, unless there are restrictions to the contrary in the Articles of Incorporation.
