<br />FOOD PREPARATION AGREEMENT <br /> <br />THIS AGREEMENT is made and entered into this day by and between INTERFAITH <br />MINISTRIES, Y.W.C.A. OF HOUSTON, NEIGHBORHOOD CENTERS INC., <br />BAYTOWN SENIOR CENTER, CITY OF JACINTO CITY, THE SALVATION ARMY, <br />THE CITY OF SOUTH HOUSTON, CITY OF LAPORTE (LAPORTE SENIOR <br />CITIZEN CENTER), and the JEWISH COMMUNITY CENTER ("Client" individually and <br />"Clients" collectively), and VALLEY SERVICES, INC., a corporation formed and existing <br />under the laws of the State of Mississippi, with its office and place of business in Jackson, <br />Mississippi, hereinafter called "Valley". <br /> <br />WIT N E SSE T H; <br /> <br />The parties agree and obligate themselves and successors and assigns as follows: <br /> <br />1. Harris County AAA RFQ: Harris County AAA issued a certain Request for Qualifications <br />(issued on June 17, 2002 and revised on July 5, 2002) for services for preparing and delivering <br />meals to various sites in and around Harris County (the "RFQ"). Harris County AAA issued the <br />RFQ on behalf of the Clients. Valley submitted a bid to provide the food services as per the <br />terms of the RFQ (the "Bid"). Subsequent to the Bid, Harris County AAA awarded the food <br />service business as detailed in the RFQ to Valley. The terms and conditions of the RFQ and the <br />Bid are incorporated by reference into this Agreement and are a part of this Agreement. Any <br />conflict between the terms and conditions of the Rf'Q and the Bid and the terms and conditions <br />of this Agreement shall be governed uy the terms and conditions of this Agreement. <br /> <br />2. Term: The term of this Agreement shall commence on the 26th day of March, 2004, and shall <br />continue until the 30th day of September, 2004, This Agreement is automatically renewed at the <br />termination date for successive one (1) year terms unless written notice is provided by either <br />party to the other at least thirty (30) days prior to the expiration of the term then in effect. <br /> <br />3. Termination: Either party may terminate this Agreement with or without cause by giving <br />thirty (30) days written notice to the other party of its intention to terminate this Agreement at <br />the end of such thirty (30) days. <br /> <br />4. Notice: Any notice required or permitted to be given shall be in writing and shall be mailed by <br />registered mail or personally delivered. A notice shall be deemed to be given three (3) days after <br />it is mailed or upon receipt if personally delivered. Any notice to Valley shall be addressed to: <br />Valley Services, Inc., Attn: Legal Services, P.O. Box 5454, Jackson, Mississippi 39288-5454; <br />and in the case of the Clients to the address for each Client as detailed on the attached Exhibit <br />" A" . <br /> <br />1 <br /> <br />
