<br />5. Obli2ations of Valley: Valley shall be responsible for the preparation of meals including: (a.) <br />providing and maintaining a production kitchen and equipment for the preparation of meals (the <br />"Food Preparation Facilities"); (b.) maintaining the Food Preparation Facilities in a sanitary <br />condition; (c.) performing all buying and record keeping functions; (d.) employing and training <br />food service employees; (e.) furnishing supervisory personnel to establish and maintain the <br />operation at a high standard. <br /> <br />6. Obli2ations of the Client: The Client shall be responsible for: (a.) providing and <br />maintaining sites and personnel for the serving of meals (the "Serving Sites"); (b.) maintaining <br />the Serving Sites in a sanitary condition; (c.) maintaining the Serving Sites in accordance with <br />all laws, regulations, orders, directives, statutes, and other rules of any federal, state, or local <br />government bureau or department applicable to the Serving Sites; (d.) maintaining Valley's <br />equipment located at the Serving Sites, if any; (e.) serving the meals at the Serving Sites; (f.) <br />providing for any and all real or personal property tax or similar tax related to the Serving Sites; <br />(g.) maintaining adequate fire and hazard insurance on the Serving Sites; and (h.) administering <br />the nutrition services in compliance with all rules and regulations of the U.S. Department of <br />Health and Human Services (HHS). <br /> <br />6A. Relationship of Each Client to Every Other Client: Execution of this Agreement by any <br />given Client does not impute any obligation of one Client to any other Client. In addition, a <br />breach of this Agreement by any given Client does not impute a breach upon any other Client. <br /> <br />7. Client's Ri2ht to Inspect: Valley shall operate the Food Preparation Facilities in a manner <br />reasonably satisfactory to the Client. The Client shall have the right to inspect the Food <br />Preparation Facilities and the preparation of the meals therein to determine if such are being <br />operated in a safe, sanitary, and proper manner. <br /> <br />8. Compliance With Regulations: Valley shall comply with all laws, ordinances, regulations, <br />orders, directives, statutes, and other rules of any federal, state, or local government bureau or <br />department applicable to the preparation of food. <br /> <br />Valley's employees and agents shall also comply with applicable rules and regulations <br />concerning conduct on the Client's premises which the Client imposes upon its employees and <br />agents provided such rules and/or regulations are not in violation of any federal, state, andlor <br />local laws. <br /> <br />9. Ownership of Inventory: Valley shall maintain title to all inventories purchased by Valley. <br /> <br />10. Proprietary Information: During the term of this Agreement, the Client acknowledges that <br />it may acquire or obtain access to proprietary information or materials (the "Proprietary Items") <br />of Valley. Proprietary Items are defined as confidential information or materials related to the <br />business of Valley which include, but are not limited to, trade secrets, signage, trademarks, logo, <br />trade dress (including product package design), symbols, slogan emblem, computer software, <br /> <br />2 <br /> <br />
