<br />3. Documentation of Insurance Coverage <br />La Porte shall cause its Contractor to submit to the County documentation that its Contractor has <br />obtained insurance coverage as required in this Agreement within thirty (30) days of the <br />execution of this Agreement and prior to payment of any monies hereunder. County will be listed <br />as an additional insurance on all insurance policies. <br />4. Payment and Performance Bonding <br />La Porte shall cause its Contractor to furnish the County with Certificate of Insurance as proof <br />that it has obtained and paid for a certificate of Payment Bond and Performance Bond, as <br />required by State law, see Exhibit D. County shall be listed as a third party beneficiary of the <br />bond. La Porte shall ensure the Contractors keep their bonds current for the duration of the term <br />of the Agreement. <br />D. Forum and Venue <br /> <br />This Agreement is governed by the laws of the State of Texas. The exclusive forum for any action <br />arising out of, in connection with, or in any way relating to the Agreement is in a state or federal court of <br />competent jurisdiction in Texas. The exclusive venue for any action arising out of, in connection with, <br />or in any way relating to the Agreement is in a state or federal court of competent jurisdiction in <br />Houston, Harris County, Texas. The County does not agree to binding arbitration or mediation. The <br />County does not waive its right to a trial by jury. <br /> <br />VII.ADMINISTRATIVE REQUIREMENTS <br />A. Financial Management <br /> <br />La Porte agrees to (1) comply with requirements set out in OMB Super Circular 2 CFR Part 200; (2) <br />adhere to the accounting principles and procedures required therein; (3) utilize adequate internal <br />controls; and (4) maintain necessary source documentation for all costs incurred. La Porte shall <br />administer its Program in conformance with OMB Super 2 CFR Part 200, for all costs incurred whether <br />charged on a direct or indirect basis. <br />B. Record-Keeping, Reports, and Audits <br /> 1. Records to be Maintained <br /> <br />La Porte shall maintain all records required by this Agreement, records required by 49 U.S.C. <br />5307 and records that are pertinent to the activities to be funded under this Agreement, including <br />but not be limited to: <br />a. Records providing a full description of each activity undertaken; <br />b. Records demonstrating that each activity undertaken is an eligible activity under <br /> Page 13 of 58 <br /> <br />
